Easement. Lot 1, Block 1, Market Street Station
BACKGROUND
Kraus-Anderson Inc. has requested that the current sanitary sewer and watermain
easement legal description be amended and replaced with a new legal description
covering the current location of the utilities.
At the time of development of Market Street Station, the developer granted the City a
sanitary and watermain easement over the existing utilities. The sanitary and watermain
on the site needed to be moved to accommodate the proposed building. The original
agreement stated that the sanitary sewer and watermain easement would be amended after
the relocation of the utilities to cover the new location of the utilities. Since the sanitary
sewer and watermain have been relocated, it is time to amend the easement.
Staff and the City Attorney have reviewed the easement amendment and
acceptable.
RECOMMENDATION
Staff recommends approval of the amendment to the sanitary sewer and watermain
easement.

AMENDMENT TO
SANITARY SEWER AND W ATERMAIN EASEMENT
THIS AMENDMENT is effective as of the day of
200_, (the "Effective Date") and is made by and between KRAUS-ANDERSON,
INCORPORATED, a Minnesota corporation ("KAI") as successor-in-interest to MARKET
STREET STATION, LLC, a Minnesota limited liability company ("MSS") and the CITY
OF CHANHASSEN, a Minnesota municipal corporation ("City").
RECITALS
A. KAI is the current owner of a certain parcel of land legally described on Exhibit A to
this Amendment (the "MSS Parcel") having acquired fee title from MSS; and
B. MSS and the City are parties to that certain Sewer and Watermain Easement dated
March 20,2004, recorded May 20,2004, in the office of the County Recorder in and
for Carver County, Minnesota, as Document No. 387171 ("S&W Easement "); and
C. The S& W Easement creates certain easements over the MSS Parcel for the benefit of
the City; and
D. Section 4 of the S&W Easement states that the Utility Lines within the easements
were to be relocated in connection with the construction of planned improvements
upon the MSS Parcel and, upon such relocation, the parties were to amend the S&W
Easement to describe the new easement areas and release the original easements
areas; and
E. The Utility Lines have now been relocated and the parties now wish to amend the
S& W Easement to revise the legal description of the "Easement Area" referred to in
Section 1, described in Exhibit B and shown on Exhibit C of the S& W Easement.
NOW, THEREFORE, in consideration ofthe foregoing premises and other good and
valuable consideration paid, the receipt and sufficiency of which is hereby acknowledged,
the parties hereby agree that the S&W Easement shall be and hereby is amended as follows:
1. The legal description ofthe MSS Parcel shown on Exhibit A to the S& W
Easement shall be and hereby is deleted and shall be and hereby is replaced by the legal
description shown on Exhibit A to this Amendment. From and after the Effective Date of
this Amendment, the phrase "MSS Parcel" as used in the S&WEasement shall mean the
real property described on Exhibit A to this Amendment.
2. The legal description of the "Easement Area" (referred to in Section 1 ofthe
S&W Easement) set forth on Exhibit B to the S&W Easement is hereby deleted and shall be
and hereby is replaced by the legal description shown on Exhibit B to this Amendment. In
addition, the "Easement Area" as shown on Exhibit C to the S& W Easement is also hereby
deleted and shall be and hereby is replaced by Exhibit C-l and Exhibit C-2 to this
Amendment. From and after the Effective Date of this Amendment, the phrase "Easement
Area" as used in the S&W Easement shall mean the area legally described on Exhibit B to
this Amendment and as shown on Exhibit C-l and Exhibit C-2 to this Amendment.
3. By its execution and delivery ofthis Amendment, the City hereby quit
claims, conveys, waives and releases all of its rights, title and interest in and to that portion
of the MSS Parcel that was described in Exhibit B to the original S&W Easement that is not
included within the Easement Area described on Exhibit B to this Agreement (the "Released
Parcel") and acknowledges that the City's easements right over the Released Parcel are now
null and void.
4. Except as modified by this Amendment, the original terms ofthe S& W
Easement remain in full force and effect and are hereby ratified by the parties.
