Paul Oehme, Dir. of Public Works/City Engineer I' FROM: DATE: January 11,2010 ()~ SUBJ: TH 212, Project No. 03-09: Approve MnDOT Traffic Signal Agreement PROPOSED MOTION "The City Council approves Traffic Signal Agreement No. 87681M with MnDOT." City Council approval requires a simple majority vote of the City Council present. DISCUSSION This signal agreement is for the signals on TH 101 from TH 5 to the south loop of TH 212. In conjunction with the tumback ofTH 101 to the County, the agreements for the signals along the corridor need to be updated. The County and MnDOT policies have the local jurisdiction pay for the power to operate the signal and lights at the intersection and maintenance for the lights. The City would participate in the major maintenance or replacement of the signal in the future depending on the signal. The attached agreements provide operations, maintenance and electrical power for the traffic control signals, street lights, and emergency vehicle pre-emption. The agreements have been reviewed and are consistent with the current cost participation policies. The City attorney has also reviewed the agreement. RECITALS Minnesota Statutes Section 161.20 authorizes the Commissioner of Transportation to enter into agreements with any governmental authority for the purposes of constructing, maintaining and improving the Trunk Highway system. The County and the State agreed to transfer to the County jurisdiction of a portion of Trunk Highway No. 101 including a section that was realigned, in accordance with Cooperative Agreement No. 90023-R, between the County and the State. The portion of Trunk Highway No. 101 to be transferred t9 the County is from Trunk Highway No. 5 (Arboretum Boulevard) southward to Trunk Highway No. 212, South Ramps. Upon completion of the transfer of Trunk Highway No. 101, including the realigned section, the new roadway designation henceforth shall be County State Aid Highway No. 101. During the Trunk Highway 101 realignment, Lake Susan Drive was constructed eastward from old Trunk Highway No. 101 to intersect with Trunk Highway No. 212, North Ramps. The City and the State agreed to convey to the City the section of old Trunk Highway No. 101, including Lake Susan Drive, in accordance with Cooperative Agreement No. 87187, between the City and the State. -2- 87681 The parties determined that there is justification and in the public's best interest to provide maintenance and electrical energy for the existing traffic control signal including street lightst signing and interconnect (Traffic Control Signal(s)) and the existing emergency vehicle pre-emption (EVP System(s)) on Trunk Highway No. 5 (Arboretum Boulevard) at County State Aid Highway No. 101 (Old Trunk Highway No. 101)/Market Boulevard [System "A"] i and install new traffic control signals including street lightst signing and interconnect (Traffic Control Signal(s)) on Trunk Highway 212t North Ramps/Lake Susan Drive at County State Aid Highway No. 101 (Old Trunk Highway No. 101) [System "B"];- and on Trunk Highway 212t South Ramps at County State Aid Highway No. 101 (Old Trunk Highway No. 101) [System "CII] . The City requested and the State agreed to the installation of Emergency Vehicle Pre-emption Systems (EVP System(s)) as part of the new Traffic Control Signal installations. The CountYt the City and the State will participate in the maintenancet power and operation of the existing. and new Traffic Control Signals and EVP Systems. CONTRACT 1. The State (for Systems "B" and "C") prepared the necessary plant specifications and proposal (Preliminary Engineering) i and performed all necessary construction inspection (Construction Engineering) . -3- 87681 2. The State, with its own resources or by contract, installed new Traffic Control Signals and EVP Systems on Trunk Highway 212, North Ramps/Lake Susan Drive at County State Aid Highway No. 101 (Old Trunk Highway No. 101) [System "B"] i and on Trunk Highway 212, South Ramps at County State Aid Highway No. 101 (Old Trunk Highway No. 101) [System "C"], pursuant to the plans and specifications for State Project No. 1017-12 (T.H. 101=187). The cost participation for the new Traffic Control Signals and EVP Systems pay items (including State-furnished Materials) for this project is covered in Municipal Agreement No. 87187, between the City and the State. 3. The cost and application to secure an adequate power supply to Systems "B" and "C" is included in the City's lump sum paYment covered in Municipal Agreement No. 87187, between the City and the State. The City will paY,all monthly electrical service expenses necessary to operate the new and existing Traffic Control Signals and EVP Systems (Systems "A", "B" and "C") . 4. Upon completion of this project, (System "A"), a) The County will, at its cost and expense: (l)relamp the existing traffic control signal, (2) clean and paint the existing traffic control signal, and (3) clean the outside of the existing controller and service cabinets; b) The City will, at its cost and expense: (1) maintain the existing luminaires and all their components, including replacement of the luminaire if necessary; (2) relamp the existing street lights; and (3) clean and paint the existing luminaire mast arm extensions; and c) The State -4- 87681 will maintain the signing and interconnect, and perform all other traffic control signal and street light maintenance. Painting will be in accordance with Mn/DOT Standard Specification 2565.3T, unless approved by the State's District Traffic Engineer. 5. Upon completion of this project, (System "B"), a) The County will, at its cost and expense: (1) replace the new signal system L.E.D. indications, (2) clean and paint the new traffic control signal, and (3) clean the controller and service cabinets; b) The City will, at its cost and expense: (1) maintain the new luminaires and all their components, including replacement of the luminaire if necessary; (2) relamp the new street lights; and (3) clean and paint the new luminaire mast arm extensions; and c) The State will maintain the signing and interconnect, and perform all other traffic control signal and street light maintenance. Painting will be in accordance with Mn/DOT Standard Specification 2565.3T, unless approved by the State's District Traffic Engineer. 6. Upon completion of this project, (System "C"), a) The County will, at its cost and expense: (l)replace the new signal system L.E.D. indications and relamp the new street lights, (2) clean and paint the new traffic control signal and luminaire mast arm extensions, (3) maintain the new luminaires and all their components, including replacement of the luminaire if necessary; and (4) clean the outside of the controller and service cabinets; and b) The State will maintain the signing and interconnect, and perform all other traffic control signal and -5- 87681 street light maintenance. Painting will be in accordance with Mn/DOT Standard Specification 2565.3T, unless approved by the State's District Traffic Engineer. 7. The existing and new EVP Systems (Systems "A", "B" and "Cn) will be installed, operated, maintained, or removed in accordance with the following conditions and requirements: a) All maintenance of the EVP Systems will be' performed by the State. b) Emitter units may be installed only on authorized emergency vehicles, as defined in Minnesota Statutes Section 169.01, Subdivision 5. Authorized emergency vehicles may use emitter units only when resporiaing to an emergency. The City will provide the State's Metropolitan pi strict Engineer or his designated representative a list of all vehicles with emitter units, upon request. c) Malfunction of the EVP Systems must be reported to the State immediately. d) In the event the EVP Systems or its components are, in the opinion of the State, being misused or the conditions set forth in Paragraph b above are violated, and such misuse or violation continues after the City receives written notice from the State, the State may remove the EVP Systems. Upon -6- 87681 removal of the EVP Systems pursuant to this Paragraph, all of its parts and components become the property of the State. e) All timing of the EVP Systems will be determined by the State. 8. Each party will be solely responsible for its own acts and omissions, and the results thereof, to the extent authorized by law. The State's liability is governed by the Minnesota Tort Claims Act, Minnesota Statutes Section 3.736: The County's and City's liabilities are governed by Minnesota Statutes Chapter 466. Each party will be solely responsible for its own employees for any Workers Compensation Claims. 9. All timing of the new and existing Traffic Control Signals will be determined by the State, and no changes maybe made except with the approval of the State. 10. Upon execution and approval by the County, the City, and the State, this agreement will supersede and terminate the maintenance, power and operation terms in Agreement No. 68072, Dated April 4, 1991 between the parties for the intersection of Trunk Highway 5 (Arboretum Boulevard) at old Trunk Highway No. 101 (Market Boulevard) . 11. Any amendment to this Agreement must be in writing and will not be effective until it has been executed and approved by the same parties who executed and approved the original Agreement, or their successors in office. -7- 87681 12. ,If any party fails to enforce any provisions of this Agreement, that failure does not waive the provision or its right to enforce it. 13. This Agreement contains all negotiations and agreements between the parties. No other understanding regarding this Agreement, whether written or oral, ~ay be used to bind either party. 14. Minnesota law governs this contract. Venue for all legal proceedings arising out of this Agreement, or its breach, must be in the appropriate state or federal, court with competent jurisdiction in Ramsey County, Minnesota,. 15. This Agreement is effective on the date the State obtains all required signatures under Minnesota Statutes 16C.05, Subdivision 2, and will remain in effect until terminated by written agreement of the parties. 16. The State's obligation to perform any work, or to let a Contract for the performance of the work, on the State Project referenced above, is subject to the availability of funding from the Minnesota Legislature or other funding source. 17.
