DISCUSSION On occasion, tile City is involved in various projects that require the services of a registered land surveyor. Because of the amount and irregular needs, it is more cost effective to contract for this type of work. AGREEMENT FOR PROFESSIONAL SERVICES THIS AGREEMENT, made and executed this 6th day of August, 2002, by and between the City of Chanhassen, hereinafter referred to as the "CITY", and Otto Associates, hereinafter referred to as the "CONSULTANT", WITNESSETH: CITY and CONSULTANT, for the consideration hereinafter stated, agree as follows: CONSULTANT hereby covenants and a~ees to provide professional services for general land surveying. II. CITY agrees to pay and CONSULTANT a~'ees to receive and accept payment for services as set forth in the CONSULTANT Standard Fee Schedule attached hereto, or in accordance with a proposal prepared by CONSULTANT and accepted by CITY. III. Payments to CONSULTANT by CITY shall be made as follows' CONSULTANT shall submit itemized bills for services provided to CITY on a monthly basis. Bills submitted shall be paid in the same mam2er as other claims made to CITY. IV. CONSULTANT agrees to fully and satisfactorily complete the work contemplated by each proposal in accordance with the prescribed schedule. V. The term of this Agreement shall end December 31, 2003. This Agreement may be extended upon the written mutual consent of the parties for such additional period as they deem appropriate, and upon the terms and conditions as herein stated. VI. This Agreement may be terminated by either party by seven day's written notice delivered to the other party. Upon termination under this provision, CONSULTANT shall be paid for services rendered and reimbursable expenses until effective date of termination. VII. CONSULTANT shall not enter into subcontracts for any of the services provided for in this Agreement without the express written consent of CITY. VIII. During the performance of this contract, CONSULTANT shall not discriminate against any employee or applicant for employment because of race, color, creed, religion, national origin, sex, marital status, status with regard to public assistance, disability, or age. CONSULTANT shall post in places available to employees and applicants for employment, notices setting forth the provisions of this non-discrimination clause and stating that all qualified applicants will receive consideration for employment. IX. CONSULTANT shall indemnify and hold harmless CITY, its employees and agents, for all claims, damages, losses, and expenses, including but not limited to, attorney's fees, which they may suffer or for which they may be held liable, as a result of and to the Xo XI. extent of, the negligent or wrongful acts of the CONSULTANT, his employees, or anyone else for whom he is legally responsible in the performance of the A~eement. During the term of this A~eement, CONSULTANT shall maintain a general liability insurance policy with limits in the following amounts for each occurrence and aggregate, for both personal injury and property damage: $1,000,000.00. CONSULTANT must also maintain during the term of this Ageement a professional liability insurance policy with the same limits as for general liability. COMPENSATION The City shall compensate for services on an hourly basis documented by written reports submitted to the City. Please provide the hourly rate that includes any multipliers and/or pay factors associated xvith overhead and profit and any additional charges such as mapping, mileage, telephone, photocopying or clerk expenses.
