The language changes have been underlined for your convenience. Some of the major changes include: · Sharing any rental income derived from the rooms. · The city may operate food and drink vending machines and retain 100% of the revenue from the machines. · The city. will be responsible for all utilities and maintenance of the facility. RECOMMENDATION Staff recommends approval of the attached Modified Agreement with the Carver County Library System for library services. ATTACHMENTS 1. CARVER COUNTY LIBRARY SYSTEM AGREEMENT WITH CITY OF CHANHASSEN FOR LIBRARY SERVICE THIS AGREEMENT, made and entered into this day of , 2003, by and between the Carver County Library Board, (hereinafter "Library Board"), the County of Carver, (hereinafter "County"), a public body corporate and politic, and the City of Chanhassen, (hereinafter "Municipality"), a municipal subdivision located within the County of Carver, State of Minnesota. WITNESSETH: WHEREAS, the Library Board, through the Carver County Board of Commissioners, has voted to establish a county library system as authorized by Minnesota Statute § 134.09, and has previously appointed a county library board which is the managing and direction authority for said library system, and WHEREAS, the Library Board currently operates a branch library in the Chanhassen Municipal Building, a building owned by the Municipality, and WHEREAS, the parties have previously entered into an agreement dated June 15, 1981 concerning the maintenance of a branch library, and WHEREAS, the parties have agreed to relocate the branch library from the Chanhassen Municipal Building to a new building to be constructed by the Municipality, NOW THEREFORE, in consideration of the mutual covenants herein contained, and pursuant to the authority granted by Minnesota Statutes {}471.59 known as the Minnesota Joint Powers Act, it is agreed by and between the parties hereto as follows: 1. That the Library Board shall establish a branch of its library system within the corporate limits of the Municipality in the building known as the Chanhassen Public Library located at That the Library Board shall provide the necessary library materials, personnel, furniture, shelving, services, alarm systems, equipment, and supplies as deemed necessary by the Library Board, all of which shall be in such quantifies or amounts as determined from time to time by the Library Board. The Library Board shall have authority to establish procedures for use of the public meeting rooms located in the library. The Library Board and Municipality shall equally share any rental income derived from use of the public meeting rooms by third parties. . Library Board. The Library Board shall be responsible for the monthly fees for data lines for the library building and the Municipality shall be responsible for the monthly fees for voice lines for the library building. The Library Board shall reimburse the Municipality for long distance telephone charges within thirty (30) days of receipt of billing information from the Municipality. The Municipality shall provide billing information to the Library Board on an annual basis. 4. The Municipality shall provide a building for the library and shall at its own expense provide all necessary utilities including air-conditioning, heat, water and sewer, lighting, fire extinguisher service and repair, garbage removal, janitorial services and all other miscellaneous services or repairs to maintain the premises in a functional condition. The Municipality shall also be responsible for maintenance of the exterior of the building including, but not limited to, snow removal from the sidewalk and parking lot, maintenance and/or repair of the parking lot, lawn and landscape care and all other services or repairs to maintain the exterior of the premises in a functional condition. The Municipality may operate food and drink vending machines in the vending area in the library lobby. The Municipality shall be responsible for maintaining the vending machines and shall retain all revenues from the machines. 5. This -contract shall be binding upon each of the parties for a period of five (5) years commencing the ~ day of ,2003, and shall automatically renew for additional periods of five (5) years upon the expiration of each term unless twelve (12) months prior to the expiration thereof, either party has notified the other of its intent to cancel the contract, said notice to be in writing and addressed to the other party at its legal mailing address. 6. The Municipality shall provide for all necessary insurance on the building housing the library property and liability coverage as deemed appropriate by the Municipality to adequately cover the building. The County will adequately insure the contents of the library, including library materials, furniture and equipment to the extent deemed necessary by the County. 7. The basic conditions and provisions of this agreement are standard and shall apply throughout the entire County of Carver. IN WITNESS WHEREOF, each of the parties has caused this Agreement to be executed by its appropriate officials the day and year first above written.
