City Council approval requires a simple majority vote of the City Council present. DISCUSSION The City of Victoria has asked the City of Chanhassen to consider plowing the Tristian Heights neighborhood. This development is mainly west of Minnewasta Parkway and north of TH 5. Staff has reviewed Victoria's request and believes Chanhassen city forces can add this area into the snow and ice control route without any decrease in service to Chanhassen residents. Chanhassen trucks currently maintain a portion of 77 Street, Minnewashta Parkway, Ridge Hill Road and Kings Road for continuation of the plow route reasons. Adding the additional street segments to the system should not decrease service levels. Victoria will still take care of customer complaints and any damage associated with plowing activities. A fee of $350 per event will be charged to the City of Victoria for this service. This fee can be adjusted annually based on anticipated cost to complete the work. RECITALS This Agreement is made pursuant to the authority conferred upon the parties pursuant to Minnesota Statutes 471.59. The purpose of this Agreement is to have the City of Chanhassen provide street snow and ice control operations in the City of Victoria on the streets shown on the attached Exhibit A ( "Designated Streets "). NOW, THEREFORE, the parties agree as follows: 1. Chanhassen will clear ice and snow from the Designated Streets as part of Chanhassen's snow and ice control operations in the City of Chanhassen. 2. Victoria will pay Chanhassen $350 per event for snow and ice removal. Chanhassen will submit periodic invoices to Victoria and Victoria will pay the invoices within thirty -five (35) days of receipt. Upon sixty (60) days advance written notice to Victoria Chanhassen may change the charge per event effective September 1 St each year. Victoria may elect to terminate this Agreement by notifying Chanhassen of the termination within thirty (3 0) days of receipt of the notice of the fee increase. 3. Victoria agrees to defend, indemnify and hold harmless Chanhassen and its elected officials, employees, contractors, agents and insurers ( "Released Parties ") from and against any and all claims, costs, losses, expenses, demands, actions, or causes of action, including reasonable attorneys' fees and other costs and expenses of litigation, which maybe asserted against or incurred by the Released Parties or for which the Release Parties may be liable in the performance of this Agreement, including damage to mail boxes, curbs, streets, sod, grass, trees and shrubs except those which arise solely from the gross negligence, or willful misconduct of the Released Parties. Nothing herein shall be construed to waive or limit any immunity from, or limitation on, liability available to either party, whether set forth in Minnesota Statutes, Chapter 466 or otherwise. 4. Each party shall be responsible'for workers' compensation coverage and costs for its own employees and coverage for its own equipment and supplies and waives any rights to recover for these costs, coverages or damages from the other party. 161983v01 1 RNK:01 /06/2012 5. This Agreement can be terminated on the part of either party by giving thirty (30) days written notice to the other party after May 1 of each year.
