Approval requires a simple majority vote of the City Council. BACKGROUND On February 13, 2012, the council approved the plans and specifications for City Project No. PK &T for the T.H. 41 Trail Extension, At -Grade Pedestrian Crossing and Stairway Connector and authorized the advertisement for bids. The pedestrian crossing includes a flashing beacon system that requires a MnDOT agreement be approved by both the city and State of Minnesota governing maintenance, operation and provision of electricity for the new rectangular rapid flashing beacon system at the intersection of Trunk Highway No. 41 and Chaska Road. On May 29, the City of Chanhassen received the proposed agreement for review and approval by the City Council. By this agreement the city assumes all responsibility for the installation and maintenance of the flashing beacon system, the installation and cost of electrical service, performs all Gopher State One System locating, will own the lighting system and be responsible for future system replacement if necessary. The initial cost of the procurement and installation of the Flashing Beacon Pedestrian Crossing System and associated amenities is estimated to be $65,000. Upon council approval of this agreement, the full project will be bid with an anticipated award date of August 13, 2012, and substantial completion by November 15, 2012. Please present this agreement to the City Council for its approval and execution that shall include original signatures of the City Council authorized officers on all three (3) enclosed signature forms. Also required are three (3) original copies of a resolution passed by the City Council authorizing its officers to sign the agreement in its behalf. Three (3) copies of a suggested form of such resolution are attached to this agreement. Upon this action, please return these documents to me for further execution by MnDOT. RECITALS Minnesota Statutes Section 161.20 authorizes the Commissioner of Transportation to enter into agreements with any governmental authority for the purposes of constructing, maintaining and improving the Trunk Highway system. The City has applied for and the State has granted a Limited Use Permit to install a new rectangular rapid flashing beacon system, (Flashing Beacon System) at the location set out in this Agreement. The City will be responsible for the cost, maintenance, and electrical energy of the new Flashing Beacon System. CONTRACT 1. The City, with its own resources or by contract, will install a new Flashing Beacon System on Trunk Highway No. 41 at Chaska Road, pursuant to City Project No. PK &T -110 and Limited Use Permit No. 1008 -0024 (T.H. 41 =260), all at the cost and expense of the City. 2. The City will perform all construction engineering and inspection functions (Construction Engineering) in connection with the contract construction and perform all other acts and functions necessary to cause the construction contract to be completed in a 00887M 2 r 4 - satisfactory manner. The State reserves the right to periodically inspect the construction 3. The City will be responsible for the cost and application to secure an adequate power supply to the service pad or pole. Upon completion of this project, the City will thereafter pay all monthly electrical service expenses necessary to operate the Flashing Beacon System. Upon completion of this project, the City will own the Flashing Beacon System, maintain and keep in repair the Flashing Beacon System, perform all Gopher State One system locating, and be responsible for future system replacement, all at the City's cost and expense. 4. Each party will be solely responsible for its own acts and omissions and the results thereof, to the extent authorized by law. The State's liability is governed by the Minnesota Tort Claims Act, Minnesota Statutes Section 3.736. The City's liability is governed by Minnesota Statutes Chapter 466. Each party will be solely responsible for its own employees for any Workers Compensation claims. 5. Any amendment to this Agreement must be in writing and will not be effective until it has been executed and approved by the same parties who executed and approved the original Agreement, or their successors in office. 6. If any party fails to enforce any provisions of this Agreement, that failure does not waive the provision or its right to enforce it. 00887M 3 F 7. This Agreement contains all negotiations and agreements between the parties. No other understanding regarding this Agreement, whether written or oral, may be used to bind either party. 8. Minnesota law governs this contract. Venue for all legal proceedings arising out of this Agreement, or its breach, must be in the appropriate state or federal court with competent jurisdiction in Ramsey County, Minnesota. 9. This Agreement is effective on the date the State obtains all required signatures under Minnesota Statutes 16C.05, Subdivision 2, and will remain in effect until terminated by written agreement of the parties. 10.
