(hereinafter 1 "Sunlink /Datasery ") and the CITY OF CHANHASSEN. ' The assessment appeal of Sunlink /Datasery (Parcel No. 18- 116 -22 -21 -0002) relating to Improvement Project No. 89-6 (Hennepin County District Court File No. AP 91- 20769) is settled as follows: 1 1. The original assessment adopted October 8, 1991 in the amount of $651,308.00 is abated. A copy of the Special 1 Assessment Record is attached hereto as Exhibit "A ". ' 2. Sunlink /Datasery (Parcel No. 18- 116 -22 -21 -0002) shall be assessed as of October 8, 1991 the amount of $422,233.00. The ' new assessment, after credits for installments paid on the original assessment in 1992 and 1993, shall be as set forth in ' Exhibit "B" hereto. ' 3. As consideration for the assessment reduction, Sunlink /Datasery shall contemporaneously with the execution of ' this Settlement Agreement, provide to the City the following: a. An executed Warranty Deed, a copy of which is attached ' hereto as Exhibit "C ", conveying fee title to the Lake Drive East extension right of way consisting of approximately 3.52 acres; ' b. A customary affidavit that there are no unsatisfied judgments of record, no actions pending in any state or federal courts, no tax liens, and no bankruptcy ' proceeding filed against Seller, and no labor has or materials have been furnished to the subject property for which payment has not been made, and that to the best of Seller's knowledge that are no unrecorded interests relating to the subject property; and 5316 5/3/93 c. Any other documents necessary to establish marketable title. 4.
