1. Procedurally, the Declaration Declaring Null And 1
Void a Certain Previous Declaration And A certain Roadway
And Utility Easement And A Certain Landscaping Easement II would be filed first i>idmediately followed by the plat of
Chan Haven Plaza Fourth" Addition immediately followed by the
Declaration of Roadway and Utility Easements and Landscaping
Easement immediately followed by the conveyance documents to

Beisner Ltd. Company, a Minnesota corporation. once the two
Declarations are in their final form, an amendment to the
CHC /Beisner Purchase Agreement should probably be drafted in
I
which Beisner agrees to purchase the property subject to the
proposed Declarations.
I have purposely left out any reference to the number 1
of square feet in each lot, the wetlands, or the easement
itself. There is no need to explain or rationalize the 111 percentages finally'arr,ived at. Those percentages will be
the result of some negotiation and once the percentages are
put into the Declaration and signed by the parties they will
be binding. It will make no difference how they were

arrived at.
2. I have tried to make the maintenance
I
responsibility for the roadway a somewhat democratic process
without getting bogged down in 15 pages of detailed
procedural rules and regulations.

I know that these documents have to meet the approval,
of three corporations and the City of Chanhassen. 1 fully

expect that there will be changes but 1 urge all the parties
to keep the reasonab2.e' and not overly detailed.

Plaza Third Addition Association, Inc., (the "Association"),

WHEREAS, the Association was never formed and the
desired legal description for the Roadway Easement has
changed and it is now do desire of the parties that the new '
and slightly different Roadway Easement not be owned and
maintained by an Association, and
WHEREAS, it is the.desire of the parties to create a

Roadway and Utility Easement and Landscaping Easement which
will not be owned nor maintained by an Association.
NOW THEREFORE, the parties hereto declare that the
following documents as specifically identified in the ,
preceding recitals shall henceforth be null and void;

Roadway and Utility Easement dated March 26, 1991. ,

and that the easements created thereby are hereby declared
to be vacated by the City and surrendered and quitclaimed by
