SUBJ: Approve Traffic Control Signal Agreement No. 71020 between the Minnesota
Department of Transportation and the City of Chanhassen
Project Nos. 92 -3 and 88 -22B
Attached is Traffic Control Signal Agreement No. 71020 between the Minnesota Department of
Transportation and the City of Chanhassen for the installation of traffic control signals for the
intersections of West 78th Street at County Road 17 (Powers Boulevard), West 78th Street at
Trunk Highway 101 (Great Plains Boulevard), West 78th Street at Trunk Highway 101 (Dakota
Avenue). This agreement basically specifies the traffic signal elements such as poles,
controllers /cabinets, lighting, emergency vehicle pre - emption (EVP) and signal interconnection
along with the respective agency cost -share responsibilities for these intersections. The long and
short of the agreement basically amounts to that the City is responsible for all costs for the
1 design and installation of these signal system improvements with the exception that MnDOT will
share a 50/50 cost split for the installation of the signal interconnect wire between the Trunk
Highway 101/West 78th Street signal and signal at Dakota Avenue/Trunk Highway 5. The
estimated cost for this work item is $6,100.
The traffic signals to be installed on West 78th Street at County Road 17 (Powers Boulevard)
1 and at Trunk Highway 101/Dakota Avenue will need to interface with existing traffic signals at
adjacent intersections on Trunk Highway 5. Therefore, we will be supplying their signal
controllers and cabinets at these two signal systems to insure compatibility with the Trunk
Highway 5 signal system. The City will reimburse MnDOT for the cost of the controllers
estimated at $21,000 each.
1 Upon completion of the project it will be the City's responsibility and cost to maintain the
luminaires, relamp and paint the traffic control signal poles and mast arms, maintain the
emergency vehicle pre - emption system and interconnection and provide the electrical power
source. The State will be responsible for maintaining the traffic control signal cabinet and
controller equipment, repair knockdowns of the traffic control system and be responsible for the

timing operation of the new traffic control signals, on a reimbursable basis with the City, for the
' two signal systems on West 78th Street at County Road 17 (Powers Boulevard) and at Trunk
Highway 101/Dakota Avenue. The State and the City will enter into a Traffic Control Signal
Maintenance Agreement covering maintenance responsibilities of the traffic control signal system.

It is therefore recommended that the City Council approve Traffic Control Signal Agreement No.
71020 between the State of Minnesota Department of Transportation and the City of Chanhassen
pertaining to the traffic signals to be installed on West 78th Street at Powers Boulevard, Great
Plains Boulevard and Trunk Highway 101/Dakota Avenue, Project Nos. 92 -3 and 88 -22B.

THIS AGREEMENT made and entered into by and between the
State of Minnesota, acting through its Commissioner of
Transportation, hereinafter referred to as the "State ", and the
City of Chanhassen, hereinafter referred to as the "City ",
WITNESSETH: ,
WHEREAS, Minnesota Statute, 161.20 authorizes the
Commissioner of Transportation to make arrangements with and '
cooperate with any governmental authority for the purposes of
constructing, maintaining and improving the Trunk Highway system;
and '
WHEREAS, it is justified and considered mutually
desirable to install a new traffic control signal with street 1
lights, interconnect and emergency vehicle pre - emption on West
78th Street at Powers Boulevard; install and remove a temporary
traffic control signal with street lights and install a new 1
traffic control signal with street lights, interconnect and
emergency vehicle pre - emption on Trunk Highway No. 101 (West 78th '
Street) - West 78th Street at Trunk Highway No. 101 (Great Plains
Boulevard); install a new traffic control signal with street '
lights, signing and emergency vehicle pre - emption on Trunk

Highway No. 101 at West 78th street; and install interconnect on
Trunk Highway No. 101 from West 78th Street to Trunk Highway No.
5; and
WHEREAS, it is considered in the public's best interest '
for the State to provide a cabinet and controller for said

temporary traffic control signal on Trunk Highway No. 101 (West
1 78th Street) - West 78th Street at Trunk Highway No. 101 (Great
' Plains Boulevard), at its own cost and expense;
WHEREAS, it is considered in the public's best interest
for the State to provide two (2) new cabinets and controllers for
said new traffic control signals on West 78th Street at Powers
Boulevard, and on Trunk Highway 101 at West 78th Street. Such
materials as described immediately above shall hereinafter be
referred to as "State furnished materials "; and
WHEREAS, the City and the State will participate in the
cost, maintenance and operation of the traffic control signals
and interconnect, as hereinafter set forth;
NOW, THEREFORE, IT IS AGREED AS FOLLOWS:
' 1. The City shall prepare the necessary plan,
1 specifications and proposal which shall constitute "Preliminary
Engineering ". The City shall also perform the construction
inspection required to complete the items of work hereinafter set
froth, which shall constitute "Engineering and Inspection ".
2. The contract cost of the work or, if the work is
1 not contracted, the cost of all labor, materials, and equipment
rental required to complete the work, except the cost of
1 providing the power supply to the service poles or pads shall
constitute the actual "Construction Cost" and shall be so
referred to hereinafter.

3. The City with its own forces and equipment or by
contract shall perform the traffic control signal work provided II
for under State Aid Project No. 10- 617 -10 and City Project No.'s
I
92 -3 and 88 -228 with the Construction Costs shared as follows:
a) West 78th Street at Powers Boulevard. System "A ".

d) Trunk Highway No. 101 from West 78th Street to 1
Trunk Highway No. 5. Install interconnect.
Estimated Construction Cost is $6,100.00. State's

4. The State will furnish to the City the State
furnished materials to be installed with the City work provided
in Paragraph 3a and 3c. Estimated cost for State furnished
materials is $42,000.00. City's share is 100 percent.
5. Upon execution of this agreement and a request in
writing by the State, the City shall advance to the State an
1 amount equal to its portion of the costs as specified in
Paragraph 4. The City's cost shall be based on the estimated
costs for State furnished materials.
1 6. Upon compilation of the actual costs for State
furnished materials, the amount of the funds advanced by the City
1 in excess of the City's share will be returned to the City
' without interest and the City agrees to pay to the State that
amount of its share which is in excess of the amount of the funds
1 advanced by the City.
7. Upon completion of the work provided for in
Paragraph 3d hereof to the satisfaction of the State's Assistant
Division Engineer at Roseville or his duly authorized
representative, the State shall pay to the City the State's share
of the actual Construction Costs.
8. The amount to be encumbered for payment to the
City from Trunk Highway Funds for the construction work performed
under this Agreement is $3,050.00 which is the State's share of
' the Construction Costs. In the event that at any time it appears
that such reimbursement will exceed said sum, the City shall

promptly notify the State's Assistant Division Engineer at
Roseville or his duly authorized representative of the reason for 1
the increase in cost and the amount of additional funds necessary
to complete the project. If approved by the State's Assistant
Division Engineer at Roseville or his duly authorized 1
representative, additional funds shall be encumbered by the State
and notice by the State's Assistant Division Engineer at ,
Roseville or his duly authorized representative to the City of
that additional encumbrance will permit the City to complete this
project. '
9. Payment to the City will be made by the State for
such work which is complete and approved and upon submission by
the city of an invoice in quintuplicate itemizing the actual 11 Construction Cost and certified by a responsible City official
that said work has been completed under the terms of this ,
Agreement. The invoice and supporting records are subject to
audit by the State's representative at the direction of the
State.
10. In the event the City advertises for bids for all
or a portion of the work in Paragraph 3d hereof, the City shall ,
submit to the State a certified copy of the low bid received and
an abstract of all bids received by the City, together with the '
City's request for concurrence by the State in the award of a
construction contract. Award of the contract shall not be made '
until the State advises the City in writing or its concurrence.

' 11. The construction work provided for herein shall be
under the direction and supervision of the City. It is agreed,
1 however, that the State shall have the right to periodically
inspect said cost sharing construction work.
' 12. Upon completion of the work contemplated in
Paragraph 3a hereof, it shall be the City's responsibility, at
' its cost and expense, to: (1) maintain the luminaries and all
its components, including replacement of the luminaire if
necessary; (2) relamp the new traffic control signal and street
lights; (3) clean and paint the new traffic control signal,
cabinet and luminaire mast arm extensions; (4) maintain the
emergency vehicle pre - emption, and interconnect, and (5) provide
the necessary electrical power for the new traffic control signal
with street lights installation. It shall be the State's
' responsibility, to maintain the traffic signal cabinet and
control equipment, repair knockdowns of the traffic control
signal system, perform all other traffic control signal and
' street light maintenance, and be responsible for the timing and
operation of the new traffic control signal, all on a
reimbursable basis with the City.
13. The State and the City shall enter into Traffic
Control Signal Maintenance Agreement No. 71198 -R covering
maintenance of the traffic signal cabinet and control equipment,
repair of knockdowns of the traffic control signal system,
performance of all other traffic control signal and street light

maintenance not performed by the City, and the responsibility for
the timing and operation of the traffic control signal by State ,
Forces and the terms and conditions covering payment therefore by
the City.
14. The City shall provide an adequate electrical '
power supply to the service pad or pole and upon completion of
said temporary and new traffic control signals with street lights 1
installations provided for in Paragraph 3b, shall provide
necessary electrical power for their operation at the cost and
expense of the City. i
15. Upon completion of the work provided for in
Paragraph 3b hereof, the City shall maintain and keep in repair '
the temporary traffic control signal with street lights, and the
new traffic control signal with street lights, interconnect and ,
emergency vehicle pre - emption, at its own cost and expense.
16. The City shall provide an adequate electrical
power supply to the service pad or pole, and upon completion of
said new traffic control signal with street lights installation
provided for in Paragraph No. 3c, shall provide necessary '
electrical power for its operation at the cost and expense of the
City.
17. Upon completion of the work contemplated in 1
Paragraph 3c and 3d hereof, it shall be the City's
responsibility, at its cost and expense, to: (1) maintaining the
luminaries and all its components, including replacement of the

luminaire if necessary; (2) relamp the traffic control signal and
street lights; (3) clean and paint the traffic control signal,
' cabinet and luminaire mast arm extensions; and (4) maintain the
emergency vehicle pre - emption. It shall be the State's
1 responsibility, at its cost and expense, to maintain the signing
and interconnect, and perform all other traffic control signal
1 and street light maintenance.
18. The Emergency Vehicle Pre - emption Systems provided
' for in Paragraph 3a, 3b and 3c hereof shall be installed,
1 operated, maintained, revised or removed in accordance with the-
following conditions and requirements:
1 a. All modifications, revisions and maintenance of
the Emergency Vehicle Pre - emption Systems
considered necessary or desirable, for any reason,
1 shall be done by the City.
b. Emitter units may be installed and used only by
emergency vehicles responding to an emergency as
defined in Minnesota Status Chapter 169.01,
1 Subdivision 5 and 169.03. The City will provide
the State's Assistant Division Engineer or his
duly appointed representative a list of all such
1 vehicles with emitter units.
c. The City shall maintain and require others using
the Emergency Vehicle Pre - emption Systems to
maintain a log showing the date, time and type of

emergency for each time the traffic control
signals covered hereby are actuated and controlled
by the Emergency Vehicle Pre - emption Systems, and
that said logs shall be made available to the
State upon request. ,
d. In the event said Emergency Vehicle Pre - emption
Systems or components are, in the opinion of the 11
State, being misused or the conditions set forth ,
in Paragraph b. above are violated, and such
misuse or violation continues after receipt by the '
City of written notice thereof from the State, the
City shall remove the Emergency Vehicle Pre- '
emption Systems.
19. Any and all persons engaged in the aforesaid work
to be performed by the City shall not be considered employees of '
the state and any and all claims that may or might arise under
the Worker's Compensation Act of this State on behalf of said ,
employees while so engaged, and any and all claims made by any
third party as a consequence of any act or omission on the part
of said employees while so engaged on any of the work 1
contemplated herein shall not be the obligation and
responsibility of the State. The City shall not be responsible 1
under the Worker's Compensation Act for any employees of the
State.

20. Timing of the temporary and new traffic control
' signals provided for in Paragraph 3b shall be initially
11 determined by the City's Traffic Engineer. Adjustments of said
signal timing may be determined by the State, through its
1 Commissioner of Transportation, and no changes shall be made
therein except with the approval of the State.
' 21. Timing of the new traffic control signal provided
for in Paragraph 3c shall be determined by the State, through its
Commissioner of Transportation, and no changes shall be made
' therein except with the approval of the State.

RESOLUTION
BE IT RESOLVED that the City of Chanhassen enter into
an agreement with the State of Minnesota, Department of
Transportation for the following purposes, to wit:
' To install a new traffic control signal with street lights,
interconnect and emergency vehicle pre - emption on West 78th
Street at Powers Boulevard; install and remove a temporary
traffic control signal with street lights and install a new
traffic control signal with street lights, interconnect and
emergency vehicle pre - emption on Trunk Highway No. 101 (West
78th Street) - West 78th Street at Trunk Highway No. 101
(Great Plains Boulevard); install a new traffic control
signal with street lights, signing and emergency vehicle
pre - emption on Trunk Highway No. 101 at West 78th street;
and install interconnect on Trunk Highway No. 101 from West
78th Street to Trunk Highway No. 5 in accordance with the
terms and conditions set forth and contained in Agreement
No. 71020, a copy of which was before the Council.
1 BE IT FURTHER RESOLVED that the proper City officers be
and hereby are authorized to execute such agreement, and thereby
assume for and on behalf of the City all of the contractual
obligations contained therein.
