SUBJ: Accept Soil Exploration Proposal for Old Public Works Site

As will be recalled , the City sold Lot 1 , Arbor Park West, which
1 was the site of the Public Works auxiliary storage buildings, to
Nordic Track for their site expansion. In 1988 , the City had
removed the old gasoline storage tanks from this site. When
1 Nordic Track graded this property for their site expansion,
contaminated soils were excavated from an area in the northeast
corner of this site. Gasoline-impacted soils were encountered at
I one location and diesel fuel-impacted soils were encountered at
another nearby location . Soils were excavated to the approximate
elevation of the proposed site grade and the remaining impacted
soils were left in place.
ICity staff has been in communication with the Minnesota Pollution
Control Agency (MPCA) to address this situation. The site has
I been identified by the MPCA as ID #LEAK0001873 . The MPCA, as
noted in the attached February 22, 1990 letter, is requesting
that the City take the necessary steps to investigate and clean
up the release in accordance with the Petroleum Tank Release
I investigation criteria. To do this, it is necessary to hire a
qualified consulting firm who has experience in conducting these
investigations and qualified to make corrective recommendations.
1 The attached proposal dated March 30, 1990 from STS Consultants
has been prepared to address this need. As noted therein, STS
I Consultants was under contract with Nordic Track and is familiar
with the site and the impacted soil area. They are qualified to
conduct the exploration work necessary and to advise the City as
to corrective measures . The purpose of the proposed soil
I exploration is to attempt to determine the vertical extent of
petroleum impacted soils at the site. Ground water monitoring
wells are not proposed at this time and will not be necessary
I unless the vertical contamination extends below the ground water
level .

As noted in the proposal , STS estimates the soil expiration and
corrective treatment investigation services are estimated to
' range from $7 ,918 to $11 , 920. 90% of this expense should qualify
for a reimbursement from the State 's Petro Fund. The application
for Petro Fund reimbursement would be prepared by City staff and
' therefore this element of the proposal is not proposed to be
accepted. It is believed at this time, based on discussions with
STS personnel , that the City ' s exposure in this matter is to
identify the vertical extent of the contamination and then to
landspread the existing excavated soils (approximately 600 cubic
yards) . This would be done on site in accordance with PCA land
application criteria by Public Works staff .
' It is therefore recommended that the March 30 , 1990 proposal from
STS Consultants for soil exploration for petroleum contamination
at Lot 1 , Arbor Park West be accepted with the exception of the
Petro Fund application element.

The Minnesota Pollution Control Agency (MPCA) has reason to believe that ,
a release of petroleum has occurred from storage tank facilities which you have
owned and/or operated. The first report of the release was made to MPCA staff
on October 23, 1989.
Federal and state laws require that persons legally responsible for storage tank
releases notify the MPCA of the release, investigate the extent of the release
and take actions needed to ensure that the release is cleaned up.
A person is considered legally responsible for a tank release if the person
owned or operated the tank either during or after the release. I understand
that the tanks were removed 4-5 years ago by the city of Chanhassen, and that
the city owned and operated the tanks at that "'time.
I understand that petroleum contaminated soil remains on site. The MPCA staff
is therefore requesting you to take the necessary steps to investigate and clean
up the release in accordance with the enclosed "Petroleum Tank Release
Investigation Report." To do this it is recommended that a qualified consulting
firm be hired who has experience in conducting petroleum release site
investigations and corrective actions.
If you do perform the requested work, the state may reimburse you for a major
portion of your costs. The Petroleum Tank Release Cleanup Act establishes a
fund which in certain circumstances provides partial reimbursement for petroleum
tank release cleanup costs. This fund is administered by the Petroleum Tank
Release Compensation Board (Petro Board). More specific eligibility rules are
available from the Petro Board (612/297-4017).

Re: Proposed Soil Exploration for Petroleum Contamination at Lot 1,

Dear Mr. Warren:
' STS Consultants. Ltd. is pleased to have the opportunity to submit this proposal to provide
engineering services associated with a proposed soil exploration to define the horizontal
and vertical extent of petroleum impacted soils at Lot 1, Arbor Park West in Chanhassen,
' Minnesota. STS, while under contract with NordicTrack, observed the excavation of petro-
leum impacted soils at the site during October 26, 27 and 30, 1989. Contaminated soils
' were excavated from an area in the northeast corner of the site which was lowered in con-
junction with site grading for a proposed NordicTrack facility. Gasoline impacted soils
were encountered at one location while diesel fuel impacted soils were encountered at
another nearby location. Excavation was discontinued at approximately the elevation of the
'- proposed grade. Impacted soils were observed at the base of both excavations. Therefore,
petroleum impacted soils were left in-place at the site.
Exploration of Impacted Soil
STS Consultants, Ltd. was contracted by NordicTrack to observe the excavation of petroleum
impacted soils. The information gathered during the excavation operations will be incor-
porated into the report along with the results of the proposed soil .exploration. Mr. Glen
Pauls of NordicTrack granted STS permission to release the above-referenced information to
the City of Chanhassen. STS proposes to present the information in the form of a documen-
tation report of the observations made during excavation operations and the proposed soil
exploration at the site. The information provided defines the horizontal extent of the
impacts.
The purpose of the proposed soil exploration is to attempt to determine the vertical extent
of petroleum impacted soils at the site. Soil borings are proposed in the two petroleum
impacted areas. Soil boring depths will be field determined. If petroleum impacts are
observed at or below groundwater level, installation of groundwater monitoring wells may be
recommended to evaluate groundwater impacts. Groundwater monitoring wells are not proposed
at this time.

An environmental geologist/scientist will observe and direct the drilling operations at the
site. The environmental geologist/scientist will screen soil samples for the presence of
volatile organic compounds (VOC's) using a meter equipped with a photoionization detector
(PID). Based on the results of the qualitative screening, soil samples will be selected
for quantitative laboratory analysis of total petroleum hydrocarbons (TPH) and benzene. I
•
toluene, ethylbenzene and xylene (BTEX).
A report will be prepared to document the results of the soil exploration including the 1
observations which were made during the excavation of petroleum impacted soils. The report
would include recommendations about (1) the treatment of impacted soils which were exca-
vated and stockpiled on-site, (2) the treatment/proposed disposition of petroleum impacted
soils left in-place at the site, and (3) the need for installation of groundwater monitor-
' ing wells and/or additional remedial work.
Proposed Treatment Area
Two soil borings to a depth of approximately 10 feet each are also proposed near the south I
boundary of the property to evaluate soil conditions within an approximately 3 acre area
- proposed for landspreading of petroleum impacted soils. Soil texture and groundwater con-
ditions will be evaluated relative to MPCA guidelines for soil suitability for application '
of petroleum impacted soils. Based on preliminary site observations made after completion
of the site grading, the proposed site will likely prove to be suitable for treatment of
petroleum impacted soils by landspreading. The services to be provided include those I
required for obtaining MPCA approval for landspreading at the proposed location. Costs for
soil analyses for pH (soil acidity) and soil nutrients are included in this proposal.
Costs associated with engineering and testing services required during the actual treatment I
process are not included in this proposal.
Petrofund Application ,
Costs for engineering services and remediation of the petroleum release can be submitted to
the Minnesota Petrofund Board for reimbursement consideration. Up to 90% of these costs
can be reimbursed to the identified responsible party.
1 STS can assist Chanhassen in the preparation of the Petrofund application and be present at
the Petrofund Board meeting. An estimate of costs required to provide these services is
included in this proposal.
Estimate of Costs
STS Consultants, Ltd. proposes to provide these engineering services to the City of
Chanhassen on a reimbursable basis consistent with the attached Fee Schedule. Monthly I
invoices will reflect only the actual hours and associated fees involved with performing
these services. An environmental impairment surcharge will also be included. This insur-
ance surcharge will permit STS to provide $1.000.000 in environmental impairment insurance
applicable to STS's own errors, negligent acts or omissions. The cost estimate that fol-
lows is for the scope of work as defined in this proposal. Three aspects of the project

SUPPLEMENTAL CONDITIONS OP SERVICE
HAZARDOUS SUBSTANCES
In the event that services under this Agreement may involve or relate to hazardous substances, or
constituents, including hazardous waste (as defined by federal, state or local statutes, regulations or
ordinances),whether or not involvement or relationship was contemplated at the time this Agreement
was made or when services by STS began under this Agreement,the following conditions shall also be
incorporated into the Agreement and be made applicable thereto:
1. In the event that samples collected by or received by STS on behalf of the Client contain hazardous
constituents, including hazardous waste, STS will,after completion of testing and, at Client's ex-
I pence,(i)return such samples to Client,or(ii)using a manifest signed by the Client as generator,
have such samples transported to a location selected by the Client for final disposal. The Client
agrees to pay all costs associated with the storage,transport,and disposal of samples.The Client
I recognizes and agrees that STS is acting as a bailee and at no time assumes title to said samples or
substances.
2. All laboratory and field equipment contaminated in performing services under this Agreement
which cannot be reasonably decontaminated shall become the property and responsibility of the
Client.All such equipment shall be delivered to the Client or disposed of in a manner similar to that
Iindicated for hazardous samples above.The Client agrees to pay the fair market value of any such
equipment which cannot reasonably be decontaminated and all other costs associated with the
storage,transport and disposal of such equipment.
3. Notwithstanding any other provision of this Agreement,it is further agreed that the Client shall
indemnify and hold harmless STS and its employees,agents and contractors from and against all
claims,damages,losses and expenses,direct and indirect,or consequential damages,including but
f° not limited to fees and charges of attorneys and court and arbitration costs, arising out of or
_ resulting from the performance of the work by STS,or claims against STS arising from the work of
others,related to hazardous substances or constituents,including hazardous waste.
The above indemnification provision extends to claims against STS which arise out of,are related to,or
are based upon,the dispersal,discharge,escape,release,spillage or saturation of smoke,vapors,soot,
fumes, acids, alkalis, toxic chemicals, liquids, gases or any other material, irritant, contaminant or
Ipollutant in or into the atmosphere,or on,onto,upon,in or into the surface or subsurface(a) soil,(b)
water or watercourses, (c) objects, or (d) any tangible or intangible matter, whether such event or
circumstance is sudden or not.

GENERAL CONDITIONS OP SERVICE
These General Conditions of Service,including any Supplemental Conditions of Service which are or may become'
applicable to the services described in STS's Proposal,are incorporatedby reference into the foregoing Proposal and
shall,if said Proposal is acceptedby Qient,be part of the Agreement under which services are to be performedby STS'
for Client.

SECTION 1:SCOPE OP WORK
a. It is understood that the scope of work and the time schedules defined in the Proposal are based on the
information provided by the Qfent. If this information is incomplete or inaccurate,or if site conditions are
encountered which materially vary from those indicated by the Client,or if the Client directs STS to change the
original scope of work established by the Proposal,a written amendment to the Agreement equitably adjusting'
the costs and/or performance time thereunder,shall be executed by the Client and STS as soon as practicable.
Consent to amendments shall not be unreasonably withheld '
b. STS shall perform all services,specified in the Proposal,which are reasonably necessary and appropriate for the
effective and prompt fulfillment of STS's obligations under the Agreement.The relationship between the Client
and STS created under this Agreement is that of principal and independent contractor.All of the services
provided by STS shall be subject to the provisions of the Agreement,including these General Conditions,
supplemental conditions incorporated herein,and any written amendments as referenced above. STS shall
invoice its costs,and Client shall provide payment for all services provided in accordance with Section 3 below.,
SECTION 2:CLIENT DISCLOSURES
a. It shall be the duty of the Client to notify STS of any known or suspected hazardous substances which are or
be related to the services to be provided. Such hazardous substances shall include but not be limited to
substance which poses or may pose a present or potential hazard to human health or the environment whether
contained in a product,material,by-product,waste or sample and whether it exists in a solid,liquid,semi-solid
or gaseous form.This duty shall also apply to any of the foregoing substances which STS may be provided or,
obtain or which exist or may exist on or near any premises upon which services are to be performed by STS's
employees,agents or contractors.The Client shall notify STS of all such hazardous substances of which it has
knowledge or which it reasonably suspects exist upon entering into this Agreement.Thereafter,disclosure and
notification to STS Rh,01 be required immediately upon discovery of any other hazardous substances or upon
discovery of increased concentrations of previously disclosed substances where the increased concentration
makes them hazardous. '
b. Following any disclosure as set forth in the preceding paragraph,or if any hazardous substances are discovered
or reasonably suspectedby STS after its services are undertaken,STS may,at its discretion,suspend its services.
Whether or not STS suspends its services in whole or in part,the Client and STS agree that the scope of services,,
terms and conditions, schedule and the estimated fee or budget shall be adjusted in accordance with the
disclosed information or condition,and STS may,at its discretion,terminate the Agreement.In the event that
the Agreement is terminated pursuant to this Section,the Client shall pay STS for services and all termination'
expenses as set forth in Section 11 of this Agreement.
C. If all or any part of the scope of work is to be performed in the general vicinity of a facility or in an area where'
dust,fumes,gas,noise,vibrations or other particulate or nonparticulate matter is in the atmosphere where it
raises a potential health hazard or nuisance to those working in the area of such conditions,Client shall notify
STS of such conditions,potential health hazard or nuisance and thereafter STS shall take all necessary and
reasonable measures to protect its employees against such possible health hazards or nuisances. The
reasonable direct cost of such measures shall be borne by the Client.

SECTION 3:BILLINGS AND PAYMENTS
Ia. Unless otherwise specifically provided in the Proposal or Agreement,billings will be based on actual units used
at the standard rates shown on the attached fee schedules, travel costs and other expenses. The Client
understands and agrees that the estimates of total, incremental, or phase project costs are reasonable
I projections provided for informational purposes in the Proposal,and are not a representation or warranty of
the actual costs which will be incurred in the performance of STS's services.STS shall submit invoices monthly
for services performed and expenses incurred and not previously billed or included on any preceding invoice.
I Payment is due upon receipt.For all amounts unpaid after thirty(30)days from the invoice date,as set forth on
STS's invoice form,Client agrees to pay STS a finance charge of one and one-half percent(1-1/2%)per month,
eighteen percent (18%) annually. The billing rates described in this Agreement may be increased on the
Ianniversary of the effective date of this Agreement.
b. The Client shall provide STS with a clear,written statement within fifteen(15)days after receipt of the invoice
I of any objections to the invoice or any portion or element thereof.Failure to provide such a written statement
shall constitute acceptance of the invoice as submitted.
c. The Client has the obligation to pay for the services performed under this Agreement.Client shall not off-set any
amounts due to STS because of the Client's inability to obtain financing,zoning,approval of governmental or
regulatory agencies,or any other cause,reason,or contingency.No deduction shall be made from any invoice on
account of penalty or liquidated damages nor will any other sums be withheld from payments to STS.Client
I further agrees to pay STS any and all expenses incurred in recovering any delinquent amounts due,including
reasonable attorney's fees and court costs.
SECTION 4:RIGHT OP ACCESS
I a. If services to be provided under this Agreement require the agents,employees,or contractors of STS to enter
onto the Project site,Client shall provide right-of-access to the site to STS,its employees,agents and contractors,
1 to conduct the planned field observations or services. STS shall take reasonable precautions to minimize
damage to the site due to its operations,but has not included in its fee the cost of restoration for any damage
resulting from its operations.
1 b. If the scope of services includes performance of soil borings or test pit excavations by STS,it is understood that
the Client will furnish STS with a diagram(s) indicating the location and boundaries of the site,subsurface
structures(pipes,tanks,cables,sewers,other utilities,etc.)and boring/test pit location(s).STS reserves the
I right to deviate a reasonable distance from the boring/test pit location(s).At Client's request and cost,STS will
restore the site to the conditions existing prior to STS's operations.STS shall not be responsible for,and assumes
no liability on account of,damage to subsurface structures,or injury or loss arising from damage to subsurface
Istructures,which are incorrectly located or not indicated on the diagram(s)provided.
SECTION S:SAMPLES
I a. All samples of soil and rock will be discarded sixty(60)days after submission of the report unless the Client
advises STS in writing to the contrary.Upon request,the samples will be delivered,shipping charges collected,
or stored at the rate indicated in the fee schedule attached.
ISECTION 8:REPORTS AND OWNERSHIP OP DOCUMENTS
a. STS shall furnish six (6) copies of each report to Client. Additional copies shall be furnished at the rates
I specified in the fee schedule.With the exception of STS reports to Client,all documents,including original boring
logs,field data,field notes,laboratory test data,calculations and estimates are and remain the property of STS.
Client agrees that all reports and other work furnished to the Client not paid for in full will be returned upon
' demand and will not be used for design,construction,permits or licensing.
SECTION 7:STANDARD OP CARE
a. STS represents that it will perform its services under this Agreement in conformance with the care and skill
Iordinarily exercised by reputable members of the professional engineering community practicing under
similar conditions at the same time in the same or similar locality.

sole use to fulfill the purpose of this Agreement and STS is not responsible for interpretation by others of the
information developed.The Client recognizes that subsurface conditions beneath the Project site mayvaryfrom
those encountered in borings,surveys or explorations and the information and recommendations developed by I

STS are based solely on the information available.
d. The services of STS's field personnel neither include responsibility for the superintendence of the construction ,
project nor direction or control of the actual work of the contractor,its subcontractors,or other materialmen or
service providers not engaged by STS.It is further agreed that STS is not responsible for,nor is it to review,the
adequacy ofjob safety on the Project.
SECTION 8:LIMITaTION OF PROFN88IONAL LIABILITY,
a. IT IS AGREED THAT THE CLIENTS MAXIMUM RECOVERY AGAINST STS FORME PROFESSIONAL SERVICES
PERFORMED UNDER THIS AGREEMENT,WHETHER IN CONTRACT,TORT OR OTHERWISE,IS$50,000 OR THE
AMOUNT OF STS'S FEE,WHICHEVER IS GREATER IT IS EXPRESSLY AGREED THAT THE CLIENT'S SOLE AND
EXCLUSIVE REMEDY AGAINST STS FOR PROFESSIONAL SERVICES PERFORMED UNDER THIS AGREEMENT,
WHETHER BASED IN CONTRACT,TORT OR OTHERWISE,IS THE AWARD OF DAMAGES NOT ID EXCEED THE '
STIPULATED $50,000 FIGURE, OR THE AMOUNT OF STS'S FEE,WHICHEVER IS GREATER IN NO EVENT
SHALL STS BE LIABLE,WHETHER IN CONTRACT,TORT OR OTHERWISE,FOR CLIENT'S LOSS OF PROFITS,
DELAY DAMAGES, OR FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL LOSS OR DAMAGE OF ANY '
NATURE ARISING AT ANYTIME OR FROM ANY CAUSE WHATSOEVER
b. The Client further agrees to notify any contractor or subcontractor who may perform work in connection with
any design,report or study prepared by STS of such limitation of professional liability for design defects,breach II
of contract, errors, omissions or professional negligence and require as a condition precedent to their
performing their work a like limitation of liability on their part as against STS.
c. Documents,including but not limited to,technical reports,original boring logs,field data,field notes,laboratory
test data,calculations and estimates furnished to the Client or its agents pursuant to this Agreement are not I
intended or represented to be suitable for reuse by the Client or others on extensions of the Project or on any
other project.Any reuse without STS's written consent will be at Client's sole risk and without liability or legal
exposure to STS or to STS's contractors) and Client shall indemnify and hold harmless STS and STS's
contractor(s)from all claims,damages,losses and expenses including attorney's fees arising out of or resulting I
therefrom.
d. Under no circumstances shall STS be liable for extra work or other consequences due to changed conditions or ,
for costs related to failure of the construction contractor or materialmen or service providers to install work in
accordance with the plans and specifications.
e. NOTWITHSTANDING THE LIMITATION OF LIABILITY OF SECTION 8a ABOVE,IT IS r'uhTHERAGREED THAT I
IF STS'S SERVICES UNDER THIS AGREEMENT CONSIST OF LABORATORY TESTING AND/OR CLASSIFICATION
OF SOILS OR OTHER MATERIALS, WITHOUT ENGINEERING EVALUATION OR STUDY, THE CLIENT'S
MAXIMUM RECOVERY FOR SUCH SERVICES WHETHER IN CONTRACT,TORT OR OTHERWISE SHALL NOT '
EXCEED STS'S FEES FOR THIS ENGAGEMENT. IT IS EXPRESSLY AGREED THAT THE CLIENT'S SOLE AND
EXCLUSIVE REMEDY AGAINST STS UNDER THIS AGREEMENT WHETHER BASED IN CONTRACT,TORT OR
OTHERWISE IS THE AWARD OF DAMAGES NOT TO EXCEED THE AMOUNT OF STS'S FEES.IN NO EVENT SHALL '
STS BE LIABLE,WHETHER IN CONTRACT,TORT OR OTHERWISE,FOR CLIENT'S LOSS OF PROFITS,DELAY

ARISING AT ANYTIME OR FROM ANY CAUSE WHATSOEVER
I
SECTION 9:LIABILITY INSURANCE
I a. STS represents that it and its agents, and consultants employed by it, is and are protected by Worker's
Compensation insurance and that STS has coverage under liability insurance policies which STS deems
reasonable and adequate.Upon request,STS shall furnish certificates of insurance to the Client evidencing the
risks insured against,and the limits of liability thereunder.In the event the Client requires specific inclusions of p
coverage in addition to that obtained by STS,or increased limits of liability in STS's liability policies,the cost of
such inclusions or increased limits shall be borne by the Client.The Client agrees to limit the liability of STS to
the limits of STS's insurance.STS shall notbe responsible for claims,damages,losses and expenses arising out of
or resulting from acts and/or omissions of the Client,its employees,agents,staff,consultants,contractors or
subcontractors employed by it or by any other entity.
SECTION 10: DIl1TION wwArR eT*ON OP DISPUTES ox
a. All claims, disputes or controversies arising out of, or in relation to the interpretation, application or
' enforcement of this Agreement or any breach thereof,including,but not limited to,disputes arising out of
alleged design defects, breaches of contract, errors, omissions, or acts of professional negligence, or the
arbitrability of such disputes,shall be decided by a final and binning arbitration decision by the mediator-
arbitrator in accordance with the procedures set forth in the remaining paragraphs of this section. This
' mediation-arbitration procedure shall not apply to disputes arising out of death or bodily bljury.
b. 'c. —urposes of this section;PROJECT means the total construction to be built by the Client,including,but
D,all tests,professional services,and labor necessary to produce the construction and all materials
aA ;: _..ynent incorporated or to be incorporated in such construction; DISPUTE means any claim,
controversy,or other matter in question between the Client and STS arising out of or relating to this Agreement
for the provision of professional services or breach thereof; and PARTY means the Client or STS, or their
respective insurers or sureties.
c. The parties agree that the authority of the mediator-arbitrator shall extend to disputes arising on or after the
date of STS's contract concerning the Prgiect.Any party shall request,in writing,mediation-arbitration of any
dispute within seven(7)calendar days of the date that it knew or should reasonably have known of the dispute.
In no event shall the demand for mediation-arbitration be made more than six (6)years from the date of
substantial completion of STS's participation in the Project.
d. In the event that any party shall request mediation arbitration of any dispute as set forth in this section,the
' Client and STS shall select by mutual agreement a neutral mediator-arbitrator within seven(7)calendar days of
the date of receipt by the other party of the written request for mediation-arbitration.In the event of failure to
reach such agreement,or in any instance when the selected mediator-arbitrator is unable or unwilling to serve
and a re ;.6.c vent cannot be agreed upon by the Client and STS,such successor mediator-arbitrator shall be
chosen a rp ified in the Construction Industry Arbitration Rules of the American Arbitration Association.
I e. The mediator-arbitrator shall have authority to determine all procedural questions,including,but not limited
to,any questions as to procedural arbitrability.Both parties specifically acknowledge that,in accordance with
the first paragraph of this section above, the mediator-arbitrator in his/her own discretion, or on the
application of any party,may mediate-arbitrate any claim which process may,but does not necessarily,include
meeting individually with any party while excluding the other party or parties as determined with the
discretion of the mediator-arbitrator.
I f. All communications with the mediator-arbitrator, including but not limited to, any demand for mediation-
arbitration,shall be by certified mail to him/her and copies by certified mail to all other parties involved in said
dispute.All mediation-arbitration shall be held at a location selected by mutual agreement between the Client
' and STS. In the event of failure to reach such an agreement,the location shall be selected by the mediator-
arbitrator.The fee of the mediator-arbitrator and the costs of transcription and such other costs incurred by the
mediator-arbitrator shall be apportioned equally between the parties. The parties mutually agree that the
Construction IndustryArbitration Rules of the American Arbitration Association,where not inconsistent with
this Agreement,shall be applicable to any mediation arbitration required by this Agreement.

SECTION 11:TERMINATION
a. This Agreement maybe terminated by either party upon at least seven(7)days written notice in the event of
substantial failure by the other party to perform in accordance with the terms hereof through no fault of the
terminating party.Such termination shall not be effective if that substantial failure has been remedied before
expiration of the period specified in the written notice.The only exceptions to this seven-day written notice
condition are STS's rights to terminate this Agreement as set forth in Section 2 of the Agreement or to terminate
this Agreement immediately if conditions making it more difficult than anticipated to drill at the specified I
locations are encountered which are not made known to STS prior to its arrival at the Project site.
b. In addition,STS may terminate this Agreement if the Client suspends STS's services for more than sixty(60)
consecutive days through no fault of STS.
c. If this Agreement is terminated,STS shall be paid for services performed prior to the termination date set forth I
in the notice plus termination expenses. Termination expenses shall include personnel and equipment
rescheduling and re-assignment adjustments and all other related costs incurred directly attributable to
termination.
SECTION 12:SZVERABILITY
a. In the event that any provision herein shall be deemed invalid or unenforceable,the other provisions hereof
shall remain in full force and effect,and binding upon the parties hereto. '
SECTION 13:SECTION HEADINGS
a. The heading or title of a section is provided for convenience and information and shall not serve to alter or affect I
the provisions included herein.
SECTION 14:SURVIVAL I
a. All obligations arising prior to the termination of this Agreement and all provisions of this Agreement
allocating responsibility or liabilitybetween the Client and STS shall survive the completion of services and the
termination of this Agreement. '
SECTION 18:ASSIGNS
a. Neither the Client nor STS may delegate,assign,sublet or transfer its duties,responsibilities or interests in this I
Agreement without the written consent of the other party.
SECTION 16:CHOICE OF LAW
a. This Agreement shall be governed by the law of the state in which this Agreement will be performed.

do not require special equipment. The unit prices do not include engineering charges for supervision of laboratory testing programs and coordination between the

Dear Don:
This letter is written pursuant to the purchase agreement dated
October 17, 1989, between the City of Chanhassen and NordicTrack, Inc.
The purpose of this letter is to inform you that:
I. The City of Chanhassen has not yet provided Nordictrack with an Abstract of
Title as provided by the purchase agreement.
2. Regarding section 9, contrary to the City's representation, "hazardous" or
"toxic" substances have been found on the property. NordicTrack has
expended funds for the testing and clean-up of the substances, and further
expenditure is necessary. It is our position that these expenditures are
the responsibility of the City of Chanhassen, and, that any issues relating
to the "hazardous" or "toxic" substances must be resolved before title is
passed to NordicTrack and the remainder of the purchase price disbursed to
the City of Chanhassen.
We are directing our attorney, Paul Melchert, to contact your attorney, James
Walston, to resolve these matters.
