The recent discovery of a potential purchase agreement between Mr. Fox and a
developmenh:ompany was reason for a pause in our cOndemnation proceeding.
The agreement carries an exorbitant price tag which is unrealistic in the market,
At present, Tom Seottof the City Attorney's Office does not believe the
alSleetneDt,would be admissible as evidence in condemnation hearings. In the
event that the judge does allow admission of the agreement or some other
subsequent document, its credibility would be questioned.
UpOluiiscussing these findings and beliefs with both you and Assistant City
MaDllger Gerhardt, I did call Mr. Scott notifying him to continue with
condemnation proceedings.

There are many advantages to being a member-owner of an electric cooperative. One of those
advantages is the enclosed check in the amount of$648.67,
This check represents your share of the excess revenue that was generated by Minnesota Valley
Electric Cooperative (MVEC) in 1998. This November MVEC is returning over $600,000 to
customers.
These refunds are made possible for several reasons; cost controls, stable distribution costs and an
increase in kilowatt-hour sales. MVEC has given these rate refunds in three of the last five years.
In that same time, we have also enjoyed two rate reductions.
MVEC has not raised rates in 15 years,

I. CABLE OPERATORS USE RIGHTS-OF-WAY WITHOUT OBTAINING A FRANCHISE.
Two recent court decisions may support the argument that cable television operators can
use public rights-of-way and yet avoid local fi'anchising requirements. The decisions in the ~
of A.ustin v South_em Bell Video Services Inc, No. 98-50874 (5th Cir. Oct. 14, 1999) and
City of Chica¡¡o v FCC, No. 98-2729 (7th Cir. Dec. 7, 1999) present troubling interpretations of
what constitutes a "cable operator" providing "cable service" over a ·cable system." Both cases
involve companies which provide video services u> multiple dwelling units (MDUs), such as
apartment buildings and J:ondominiums, and lease cable facilities located in the public rights-of-
way to provide a conøection between MDUs. Historically, municipalities have applied a simple
rule of thumb"tO ð~t~e Whttœr a mmdûse should be T'Cquired: if a company installs lines
which cross a public right-ot:.way to provide cable service, a fi'anchise should then be required.
In light of these recent decisions, this rule may no longer be quite that simple, and the result may

be detrimental to a municipality's fi"anchising authority.
A. CITY OF AUSTIN V. SOUTHWESTERN BELL VIDEO SERVICES, INC.
On October 14, 1999, the United States Court of Appeals for the Fifth Circuit affirmed a
lower court's decision that Southwestern Bell Video Services (SBVS) did not need a fi'anchise to
provide cable services. SBVS distributed video programming to MOUs by leasing facilities
from its affiliate, Southweslem Bell Telephone Company (SBTC). Both SBVS and SBTC are
wholly owned subsidiaries ofSBC Communications, Inc. The court found that SBVS can
qualify as a "cable operator" only if it met one of two tests. First. under the "ownership" test,
savs qualifies as a cable operator if it is a person or member of a group of persons who either

"directly or through one or more affiliates owns a significant interest" in a cable system. 47
V.S.C. § 522(5). Second, under the "control" test, SBVS is a cable operator if it "controls" or is
responsible for, through any arrangement, the management and operation of the "cable system."

The Fifth Circuit held that SBVS "owns" and "controls" only some of the components of
a "cable system," including satellite dishes, a tower, an antenna, and "headend," which,
according to the decision, collectively do not amount to a "significant interest" in a cable system.
As a result, the Fifth Circuit did not even consider whether SBVS was actually "using" any of
the city's rights-of-way. SBVS was therefore permitted -to provide cable service without a
£Tanchise, thereby avoiding local regulation including payment of a£Tanchise fee. '
B. CtTY OF CHICAGO V. FCC
On December 7,1999, the Vnited States Court of Appeals for the Seventh Circuit
affirmed an FCC decision, producing a similar result to that in SBXS. Entertainment
Connections, Inc. (ECr) is the operator of a satellite master antenna television system (SMA TV)
which receives satellite signals and then distributes them throughout an MOV. ECr had about
1600 subscribers in 12 large apartment buildings of at least 100 residents each. ECr began its
operations by placing SMA TV facilities on top of each building it served. Under this method of
operation, no local franchise was required because the signal was never sent over public rights-
of-way. Then in 1996, ECI changed its method of operation by leasing Ameritech's fiber optic
and coaxial cables located in the public rights-of-way and transmitting video signals £Tom a
single location to the other buildings.
The FCC had held that Ecr was not a "cable operator" because it does not provide service
over a "cable system." In other words, ECl's use of Ameritech' s fiber distinguished ECr £Tom
traditional cable operators which provide service over their own fiber. The FCC based its
conclusion on the following factors:
I. There was absolute separation of ownership between ECr and Ameritech and
there was nothing more than the carrier-user relationship between them;
2. ECl's facilities were located entirely on private property (i.e., the building
rooftop);
3. Ameritech provided service to ECI pursuant to the tariffed common carrier
service;
4. Ameritech had no editorial control over the content of ECl's programming;
5. The facilities primarily used by Ameritech to provide service to ECr were not
constructed at ECl's request.

6. There was capacity to serve several other programming providers; and
7. ECI baa committed to make its internal drops to each subscriber available to other
programming providers.
The Seventh Circuit held that "it is not unreasonable to conclude that when considered
with all the factors relied upon, if the components of the operation are completely under separate
ownership and control, there is no entity which owns a significant interest in the system or who
controls, manages, or operates the system as a whole." Therefore, the court held that because
EClleased its distribution lines from the local telephone cQmpany, ECI· was not in any way
"using" the public rights-of-way to provide cable services.
C. IMPACT OF DECISIONS
Taken together, the ECI and SBVS decisions may allow cable operators to develop
business strategies to provide cable services throughout a community while completely avoiding
the need to obtain local cable television franchises. Under these decisions, a cable operator
would simply lease distribution facilities in the public rights-of-way from either an affiliated or
unaffiliated entity. This operating strategy may result in a significant loss of franchise fee
revenue for municipalities and could trigger "level playing field" requirements in existing cable
television franchises. Such level playing field provisions could require a reduction in regulation
of a municipality's traditional cable operator. It is important to note, however, that neither the
SBYS or ill decision addressed the issue of whether a franchise could be required under local
or state law, but rather address the issues only under federal law.
II. SURFING THE WEB ON YOUR CABLE SYSTEM.
Cable television operators nationwide are beginning to provide access to the Internet over
their cable wires. Subscribers lease or buy "cable modems" that connect to the computer and
allow access to the Internet via cable, as opposed to local phone lines. Cable modem service is
often much faster than connections via phone lines and is a very attractive service offering.
Typically, the cable operator has an affiliation with an Internet service provider (ISP), such as
Road Runner or @Home, which subscribers use to obtain access to the Internet. There has been
considerable debate over whether cable television operators must allow unaffiliated ISPs, such as
America Online, "open access" to their cable modem platforms. Intending to provide more
competition and choice for subscribers, some local franchising authorities have taken an
aggressive approach by conditioning franchise renewals or transfers on open access
requirements. All who have done so have thus far found themselves in court.
One case that has gained national attention on this issue is AT&T Co~ v City of
Portland. 43 F. Supp. 2d 1146 (D. Org. 1999). In this case the City of Portland and Multnomah
County, Oregon. in reviewing the proposed transfer of control ofTCI to AT&T, passed a
resolution requiring AT&T to allow unaffiliated ISPs to connect their equipment directly to

AT&T's cable modem platfonn, bypassing @Home, its proprietary cable ISP. AT&T refused
the open aa:es¡¡ RXluimnc:ut, which ess-ri~l\y led to a denial of the proposed transfer. AT&T
and TCI sual1be City æn1 County in federal district court, where the City and County received a
favorable decision. AT&T has since appealed, and a decision &om the Ninth Circuit Court of
Appeals is expected sometime in February of 2000.
Faced with cmgoÍDg criticism, AT&T recently announced its commitment to provide open
access to its cable æn1 fixed wireless systems and afford subscribers a choice ofISPs. This will
become effecùve next year 1Dr subscribers served by AT&T's fixed wireless systems and in mid-
2002 for subscribers of AT&T's broadband cable systems,-after AT&T's exclusivity contract
with cable !SP, @Home, expires. Whether others will follow AT&T's lead is unkÌ1own.
Many cable operators argue that it is bad policy to mandate access to new technologies
and inft'astructures that are privately owned and financed. The Federal Communications
Commission has so far maintained a hands-off approach, intending to have competition control.
Local governments have pointed out that without regulation, cable providers may be able to
monopolize the lntemet, and subscn'bers will not be able to select their ¡SP of choice. We will
provide an update on the status of the Portland decision and any further developments on this
issue in the months to come.
III. TELECOMMVNICA TIONS FRANCHISE FEES MAy BE TIED TO GROSS RECEIPTS.
A recent decision by the South Carolina Supreme Court supports a municipality's right to
impose a ftanchise fee on a telecommunications provider for use of the public rights-of-way.
Bell South Tch=>mmunicatinns v Citv ofOran!!ebel:i. No. 25009,1999 W.L. 1037160, S.C.,
(Nov. 8, 1999). The City of Orangeberg adopted an ordinance imposing a ftanchise fee based on
a percentage of the gross receipts of the telecommunications provider. The percentage was in
excess of the <:ity's administrative cost and therefore challenged by the Bell South as unlawful
under the "barriers to entry" provision of the Telecommunications Act of 1996. 47 U.S.c.
§ 253(c). The court held that "a ftanchise fee equal to the percentage of revenue generated is not
inherently unfair or unreasonable as a measure of the ftanchise's value as a business asset to the
ftanchisee. "
The South Carolina decision was in direct conflict with an earlier case in Maryland which
held that what constitutes "fair and reasonable compensation under federallaw is limited to the
recovery of actual costs associated with the use of the rights-of-way." Bell Atlantic v Prince
Geories County, 49 F. Supp.ld 805 (D. Md. 1999).

Metropolitan Council Awards Affordable Rousing Grants for Multifamily Rental Housing
ST. PAUL-Dec. X, 1999--The Metropolitan Council this fallawardcd $635,000 to four communities,
including Chanhassen, Mendota Heights, Ramsey and Shakopee, to help build multifamily rental housing.
Projects awarded include:
Chanhassen Family Housin¡¡;: $200,000 to help build a 34-unit townhouse development as part of a larger
development on 80 acres called Arboretum Village, designed for families Witll a range of incomes and
housing needs. The development will bc located in the northeast corner of the intersection of Highways
41 and 5, just west of downtown Chanhassen, with good access to transportation, schools and jobs.
Mendota lIei¡¡;hts Family Townhomcs: $200,000 to help devclop a 24-unit family townhome proposal at
2400 Lexington Avenue. TIle goal is to provide safe, affordable housing near job growth in Dakota
County. 'n,e proposed deveJopment is close to schools, transportation access Ilnd services and within
walldng distance of a transit stop for several bUs routes.
Rnmsey 'fownhomes: $135,000 to help deveJop a 33·unit proposal, sponsored by the Anoka County
Community Action Program. TI1C proposal calls for construction of 14 twin homes, a triplex and five-
l'icdroom group home on Highway 47, four miles north of Highway J O.
Evergreen Hcip;hts Townhomes II, Shakopee: $100,000 to build a 24-unit towobouse development south
of Vierling Drive near Couoty Road 16. The surrounding ~rca will include a mix of residential,
commercial and industrial development, with 0 large daycare facility next to the housing s;re.
The four cities are Livable Communities participants, eligible for Council grants. The program

advocates a range of housing choices, more compact growth and cfficient land use, and clean up of
polluted sites for redevelopment. It provides funds as an incentive for communities to participate.
Requests for funding were reviewed os part of a collaborative effort with other housing fInance
organi7.otions, called the MetropoJitan Housing Implcmentation Group (MHIG). The group coordinates
affordable housing investment in tile region. Combining the resources of the Council, Minnesota
Housing Finance Agency, Ille Family Housing Fund and others, MI-UG approved funding requests
totaling more than $9 million for new t'Cotal cons1rucUon and rehabilitation projccts Illis funding romld.
It's a fOlm of collaboration among government agencies that exists no where else in tbe country.

Re. MPUC Comments on Open Access
Dear Mr. Botcher:
Recently, the Minnesota Public Utilities Commission ("MPUC") and the Federal
Communications Commission ("FCC") were asked to review and approve the proposed merger
of AT&T Corp. andMediaOne Group, Inc. As pan of the review, anumbcr of comments were
filed with the FCC asking it to condition the merger on requiring "open ..ccess" to the
AT&TlMediaOne broadband network. In this context, "open aCCC1lS" means that the cable
telcvision operator must allow unaffiliated Internet Service Providers ("ISPs") entry to its cable
modcm platform. The MPUC has recently decided to approve the merger, but it has opened a
sepacate, industry-wide proceeding to investigate the possibility of requiring open access on all
cable operators.
In your community this open access debate will impact subscribers that use a modem
provided by their cable operator to gain access to the Internet. These subscribers often desire to
maintain tbeir present ¡SP, such aJ America ùnline, but are typically required to use an ISP
affiliated with the cable operator. This means that the subscriber may have to pay an additional
fee, often $10.00 or more per month, to gain acceasto an unaffiliated fSP.
There has grown to be considerable debate over open access, or "forced acCC1ls" as cable
operators commonl y call it. The cable operators argue that it is bad policy to mandate access to
new technologies and infrastruct!.lres that ar:- privately owned and financed. The FCC has 50 far
maintai!led a hands-off approach, intending to have competition control. From a local
government perspective, alJowing the broadband network to be restricted could create Internet
monopoliC1l, which ilJevitably may result in restricted choíces and higher prices for subscribers.
This is of particular concern as cable mode". service is often much faster than connections via
paone lines. Tt is a very attractive service offering.

connection charges are to be adjusted on January I each year to reflect

Minnesota Bleacher Safety Act
I have received information from the State of Minnesota regarding the Minnesota
Bleacher Safety Act. In accordance with this act, a Certification of Compliance
must be completed for each bleacher structure and submitted to the Commissioner
of Administration by January I, 2001. This certificate states that the bleachers have
been inspected and are in compliance with State Statute 168.616.
Today, I inspected the bleachers at the Chanhassen Recreation Center and found
them to be in need of the following repair: The spaces between the guardrail
sections on the west end of the bleachers must be less than four inches. After this
repair has been made and inspected, I will submit the Certificate of Compliance to
the Commissioner of Administration. This must be completed by January 1, 200 I.
For your information, I have enclosed a copy of a Certificate of Compliance and
copies of the notices I have received regarding bleachers. Please contact me if you
have any questions regarding this matter.

Upon review of the final language ofHF 878, as signed by the Governor, we believe the bleacher
safety provisions apply to all new and existing bleachers throughout the state as follows:
· existing bleachers will be required to be brought into compliance with provisions of
this act by January 1,2001
· new bleachers installed or sold after January 1,2001 must comply with the state
building code in effect and 16B.616 Subd. 3, (I), (2), and (3).
· applies to all existing and new bleachers with open spaces over 30" above grade or
floor below, including 5 row bleachers at ball fields. (Bleachers or those portions of
bleachers 30" or less to grade or floors below need not comply with 4" spacing
requirements, safety nets or guardrail requirements.)
· maximum open space of 4" between footboards, seats, and guardrails or have
approved safety nets.
· guardrails with a maximum of 4" vertical rail spacing or other approved guardrails
which address climability.
· the state building official shall determine whether the safety nets and guardrail
climability meet the requirements of the alternate design section of the state building
code. Properly installed standard 2" nominal chain link fencing, II gauge or heavier
is approved as restricting climability per the alternate design section.
· to assist the state building official, our division plans to establish a bleacher safety
committee to review and recommend to the state building official approved safety
nets and guardrails.
· the owner or operator of existing bleachers must submit a certificate of compliance
prepared and signed by a certified building official (certified by the Building Codes
and Standards Division) or a state licensed design professional (licensed by state
board of architecture, engineering, land surveying, landscape architecture, geoscience
and interior design) to the commissioner of administration by January I, 2001.
· the first certificate of compliance will certify that the bleachers are in compliance
with the bleacher safety law and that visual inspection finds the bleachers structurally
sound. (i.e. no broken, badly deteriorated or unconnected brackets, no rotten or
missing boards). Ifproblems are observed, analysis by a state licensed structural
engineer may be required.
