I) Approve resolution authorizing Cooperative Construction Agreement
with MnDOT for frontage road, storm sewer, watennain, and bike trail
construction
2) Approve resolution authorizing Traffic Control Signal Agreement with
MnDOT and Carver County
Staff is recommending approval of the above-referenced resolutions related to Trunk Highway 5.
I) MnDOT intends to open bids for improvements to Trunk Highway 5 on June 30, 2000.
Those improvements include improvements to and completion of the frontage road (West
78'h Street),'City storm sewer, City watermain, and construction of a bike trail. The
Cooperative Construction Agreement with MnDOT is for the City's share of the project
costs.
2) At the same time, MnDOT is also preparing to open bids on a project to make the
following signal modifications:
a) Install new traffic control signals with street lights, emergency vehicle pre-emption
and signing on Trunk Highway 5 at Century Boulevard and Audubon Road,

b) Remove tlie existing signal and install a new traffic control signal with street lights,
emergency vehicle pre-emption and signing at Galpin Boulevard,
c) Revise the existing traffic control signals with street lights, emergency vehicle pre-
emption, and signing at Hazeltine Boulevard, and :
d) Install interconnect from Hazeltine Boulevard to Powers Boulevard.
Failure to adopt the resolutions may delay award of the projects.

RESOLUTION
BE IT RESOLVED that the City of Chanhassen enter into an
agreement with the State of Minnesota, Department of
Transportation for the following purposes, to wit:
To install new traffic control signals with street
lights, emergency vehicle pre-emption and signing on
Trunk Highway No. 5 (Arboretum Boulevard) at Century
Boulevard, and at Audubon Road; remove the existing
traffic control signal and install anew traffic
control signal with street lights, emergency vehicle

No. 19 (Galpin Boulevard) - County Road 117 (Galpin
Boulevard); revise the existing traffic control signals
with street lights, emergency vehicle pre-emption and
signing on Trunk Highway No. 5 (Arboretum Boulevard) at
Trunk Highway No. 41 (Hazeltine Boulevard), and at
County State Aid Highway No. 17 (Powers Boulevard); and
install interconnect on Trunk Highway No. 5 (Arboretum

Boulevard) in accordance with the terms and conditions
set forth and contained in Agreement No. 80337R, a copy
of which was before the Council.
BE IT FURTHER RESOLVED that the proper City officers be
and her~by are authorized to execute such agreement and any
amendments, and thereby assume for and on behalf of the City all
of the contractual obligations contained therein.

PARTIES
THIS AGREEMENT is entered into by the Minnesota
Department of Transportation, (State) and the County of Carver,
(County), and the City of Chanhassen, (City).
RECITALS
Minnesota Statutes Section 161.20 authorizes the
Commissioner of Transportation to enter into agreements with any
governmental authority for the purposes of constructing,
maintaining and improving the Trunk Highway system.
The State has determined that there is justification
and it is in the public's best interest to install new traffic
control signals including street lights and signing, (Traffic
Control Signal(s)) on Trunk Highway No.5 (Arboretum Boulevard)

at Century Boulevard, and at Audubon Road; remove the existing
traffic control signal and install a new traffic control signal
including street lights and signing, (Traffic Control Signal) on
Trunk Highway No. 5 (Arboretum Boulevard) at County State Aid
Highway No. 19 (Galpin Boulevard) - County Road 117 (Galpin
Boulevard); revise the existing traffic control signals including
street lights and signing, (Traffic Control Signal(s)) on Trunk
Highway No.5 (Arboretum Boulevard) at Trunk Highway No. 41
(Hazeltine Boulevard), and at County State Aid Highway No. 17

(Powers Boulevard); and install traffic signal interconnect,
(Interconnect) on Trunk Highway No. 5 (Arboretum Boulevard) from
Trunk Highway No. 41 (Hazeltine Boulevard) to County State Aid
Highway No. 17 (Powers Boulevard).
The City requests and the State agrees to the
installation of Emergency Vehicle Pre-emption Systems, (EVP
System(s)), as a part of the new and revised Traffic Control
Signal installations.
It is considered in the public's best interest for the
State to provide three pedestal shafts and bases, and four new
cabinets and control equipment to operate the new and revised
Traffic Control Signals.
It is anticipated that the new and revised Traffic
Control Signals, EVP Systems and Interconnect work is eligible
for 80 ~ercent Federal-aid Surface Transportation Program Funds.
The County, City and the State will participate in the
ccst, maintenance and operation of the new and revised Traffic
~
Control Signals, EVP Systems and Interconnect.

CONTRACT
1. The State will prepare the necessary plan,
specifications and proposal, (Preliminary Engineering). The
State will also perform all necessary construction inspection,
(Engineering and Inspection) .
2. The Cost of Construction, (Construction Cost)
consists of the contract cost of the work or, if the work is not
contracted, the actual cost of all labor, materials, and
equipment rental required to complete the work. Construction
Cost does not include the cost of providing the power supply to
the service poles or pads.
3. The State, with its own resources or by contract,
will perform the new and revised Traffic Control Signal, EVP
System and Interconnect work provided for under State Project
No. 1002-70, State Project No.'s 10-617-15 and 194-106-02, and
Federal-aid Project No. STPX-TEAX-I099 (226) with the
Construction Costs shared as follows:
a. Trunk Highway No. 5 (Arboretum Boulevard) at
Century Boulevard. System "A". Install a
new Traffic Control Signal and EVP System.
Estimated Construction Cost is $222,250.00
which includes State furnished materials.

On Trunk Highway No. 5 (Arboretum Boulevard)
from Trunk Highway No. 41 (Hazeltine
Boulevard) to County State Aid Highway No. 17
(Powers Boulevard). Install Interconnect.
Estimated Construction Cost is $44,000.00.
Anticipated Federal-aid share is 80 percent.
Anticipated State's share is 11.2 percent.

4. Upon execution of this agreement and receipt of
State's written request, the County and City will make an advance
payment to the State of their project costs. The County's and
City's project costs will be the sum of the following:
a. The County's and City's share (as specified
in Paragraph 3) based on the actual bid
prices and the estimated State furnished
material co~ts.
b. Eight percent of their share [Item (a) above]
for the cost of Engineering and Inspection.
5. Upon completion and final State acceptance of the
project, the County's and City's final project costs will be the
sum of the following:
a. The County's and City's share (as specified
in Paragraph 3), based on the actual

furnished Materials costs.
b. Eight percent of their final share [Item (a)
above] for the cost of Engineering and
Inspection.

If the amount of the funds advanced by a party
exceeds the party's final project costs, the excess will be
promptly returned to the party without interest. If the amount
of funds advanced by a party is less than the party's final
project costs, the party will promptly pay the balance to the
State.
6. The City will be responsible for the cost and
application to secure an adequate power supply to the service
pads or poles. Upon completion of this project, the City will
thereafter pay all monthly electrical service expenses necessary
to operate the new Traffic Control Signals and EVP Systems
(Systems "A", "B" and "C").
7. Upon completion of this project (Systems "A", "B"
and "C"), the City will, at its cost and expense:
,
(1) maintain
\
the luminaires and all its components, including replacing the
luminaire when necessary; (2) relamp the new traffic control
signals and street lights; and (3) clean and paint the new
traffic control signals, cabinets and luminaire mast arm
extensions. The State will, at its cost and expense, maintain
the signing and perform all other traffic control signal and
street light maintenance.
8. Upon completion of the revised Traffic Control
Signals, the maintenance and operation terms (including timing),

and the power provisions will remain as provided for in Agreement
No. 57928M and any other existing Agreements between the parties.
9. The EVP Systems (Systems "A", "B", "C" and Revised
Systems "A" and "B") will be installed, operated, maintained, or
removed in accordance with the following conditions and
requirements:
a) All maintenance of the EVP Systems must be
done by State forces.
b) Emitter units may be installed only on
authorized emergency vehicles, as defined in
Minnesota Statutes Section 169.01,
Subdivision 5. Authorized emergency vehicles
may use emitter units only when responding to
an emergency. The City will provide the
State's Assistant Division Engineer or
his/her designated representative a list of
all vehicles with emitter units.

c) Malfunction of the EVP Systems must be
reported to the State immediately.
d) In the event the EVP Systems or its
components are, in the opinion of the State,
being misused or the conditions set forth in
Paragraph b above are violated, and such

misuse or violation continues after the City
receives written notice from the State, the
State may remove the EVP Systems. Upon
removal of the EVP Systems pursuant to this
Paragraph, all of its parts and components
become the property of the State.
e) All timing of the EVP Systems will be
determined by the State.
10. Each party will be solely responsible for its own
acts and omissions and the results thereof, to the extent
authorized by law. The State's liability is governed by the
Minnesota Tort Claims Act, Minnesota Statutes Section 3.736.
Each party will be solely responsible for its own employees for
any Workers Compensation claims.
11. All timing of the new Traffic Control Signals will
be determined by the State, and no changes may be made except
with the approval of the State.
12. Upon execution and approval by the County, the
City and the State and completion of the construction work
provided for herein, this agreement will supersede and terminate
the operation and maintenance terms of Agreement No. 73847, dated
September 21, 1995, between the City and the State, for the
intersection of Trunk Highway No. 5 (Arboretum Boulevard) at

County State Aid Highway No. 19 (Galpin Boulevard) - County
Road 117 (Galpin Boulevard) .
13. Any amendment to this Agreement must be in writing
and will not be effective until it has been executed and approved
by the same parties who executed and approved the original
Agreement, or their successors in office.
14. If the State fails to enforce any provisions of
this Agreement, that failure does not waive the provision or its
right to enforce it.
15. This Agreement contains all negotiations and
agreements between the parties. No other understanding regarding
this Agreement, whether written or oral, may be used to bind
either party.
16. Minnesota law governs this contract. Venue for
all legal proceedings arising out of this Agreement, or its
breach, must be in the appropriate state or federal court with
co~petent jurisdiction in Ramsey County, Minnesota.

17. This Agreement is effective on the date the State
obtains all required signatures under Minnesota Statutes 16C.05,
Subdivision 2, and will remain in effect until terminated by
written agreement of the parties.

let a Contract for the performance of the work, on the State

THIS AGREEMENT is made and entered into by and between the State of
Minnesota, Department of Transportation, hereinafter referred to as
the "State" and the City of Chanhassen, Minnesota, acting by and
through its City Council, hereinafter referred to as the "City".

WHEREAS the State is about to perform grading, surfacing, storm
sewer, sanitary sewer, watermain, bike trail, and bridge construction
and other associated construction upon, along and adjacent to Trunk
Highway No.5 from Trunk Highway No. 41 to 0.1 mile west of County
State Aid Highway No. 17 within the corporate.City limits in
accordance with State plans, specifications and/or special provisions
designated as State Projects No. 194-113-01, No. 194-115-03,
No. 194-106-02, and No. 1002-61 (T.H. 5=121) and in the records of
the Federal Highway Administration as Minnesota Projects STPX
1009(226) and TEAX 1009(226); and
WHEREAS at the request of the City, the State included in its
contract the frontage road, watermain, sanitary sewer, and bike trail
construction and other associated construction to be performed upon,
along and adjacent to West 78th Street from Engineer Station 19+00.00
(Century Avenue) to Engineer Station 111+53.96 (approximately 1000
feet east of Audubon Road) within the corporate City limits under
State Projects No. 194-113-01, No. 194-115-03, No. 194-106-02, and
No. 1002-61 (T.H. 5=121); and
WHEREAS the City has expressed its willingness to participate in the
costs of the frontage road, watermain, sanitary sewer, and bike trail
construction and associated construction engineering as hereinafter
set forth; and
:
WHEREAS the State contract includes the construction of storm sewer
facilities which collect and convey storm water drainage from both
trunk highway right-of-way and adjacent City property; and
WHEREAS the City has expressed its willingness to participate in the
costs of the storm sewer construction and associated construction
engineering as hereinafter set forth; and
WHEREAS Minnesota Statutes Section 161.20, subdivision 2 authorizes
the Commissioner of Transportation to make arrangements with and
cooperate with any governmental authority for the purpose of
constructing, maintaining and improving the trunk highway system.

IT IS, THEREFORE, MUTUALLY AGREED AS FOLLOWS:
ARTICLE I - CONSTRUCTION BY THE STATE
Section A. Contract Award
The State shall advertise for bids and award a construction contract
to the lowest responsible bidder for State Project No. 1002-61
(T.R. 5=121) in accordance with State plans, specifications and/or
special provisions which are on file in the office of the
Commissioner of Transportation at St. Paul, Minnesota, and are made a
part hereof by reference with the same force and effect as though
fully set forth herein.
Section B. Direction and SUDervision of Construction
The State shall direct and supervise all construction activities
performed under the construction contract, and perform all
construction engineering and inspection functions in connection with
the contract construction except for the City sanitary sewer and
watermain construction. All contract construction shall be performed
in compliance with the approved plans, specifications and/or special
provisions.
Section C. Plan Changes. Additional Construction. Etc.
The State. shall make changes in the plans and/or contract
construction, which may include the City cost participation
construction covered under this Agreement, and shall enter into any
necessary addenda, change orders and/or supplemental agreements with
the State's contractor which are necessary to cause the contract
construction to be performed and completed in a satisfactory manner.
However, the State's Metropolitan Division Engineer at Roseville or
his authorized representative will inform the appropriate City
official of any proposed addenda, change orders and/or supplemental
agreements to the construction contract which will affect the City
cost participation construction covered under this Agreement.

Section D. Satisfactorv ComDletion of Contract
The State shall perform all other acts and functions necessary to
cause the construction contract to be completed in a satisfactory
manner.
ARTICLE II - INSPECTION BY THE CITY
The inspection of the City sanitary sewer and watermain cost
participation construction covered under this Agreement shall be
performed by the City. All remaining portions of the City cost
participation construction covered under this Agreement shall be
performed by the State. If the City believes the City cost
participation construction covered under this Agreement has not been
properly performed or that the construction is defective, the City
shall inform the State Division Engineer's authorized representative
in writing of those defects. Any recommendations made by the City
are not binding on the State. The State shall have the exclusive
right to determine whether the City cost participation construction
covered under this Agreement has been satisfactorily performed by the
State's contractor.

ARTICLE +II - BASIS OF PAYMENT BY THE CITY
Section A. SCHEDULE "I" and EXHIBIT "Cost ParticiDation"
A Preliminary SCHEDULE "I" is attached hereto and made a part here<¡f
by reference. The Preliminary SCHEDULE "I" includes all anticipated
City cost participation construction items and the construction
engineering cost share covered under this Agreement, and is based on
engineer's estimated unit prices.
EXHIBIT "Cost Participation", a colored layout which shows all
anticipated City cost participation construction covered under this
Agreement, is on file in the office of the State's Division Engineer
and in the office of the State's Municipal Agreements Engineer at
St. Paul, and is made a part hereof by reference with the same force
and effect as though fully set forth herein.

Section B. citv Cost particiÐation Construction
The City shall, at the percentage indicated, participate in the
following construction to be performed upon, along and adjacent to
Trunk Highway No.5 from Trunk Highway No. 41 to 0.1 mile west of
County State Aid Highway No. 17 within the corporate City limits
under State Project No. 1002-61 (T.H. 5=121). The construction
includes the City's proportionate share of item costs for
mobilization, field office, field laboratory and traffic control.
100 Percent shall be the rate of cost participation in all of the
sanitary sewer and watermain construction as shown and/or described
in "Yellow" on EXHIBIT "Cost Participation", which is on file at the
locations given in Section A. of this article. The construction
includes, but is not limited to, those construction items as
described and tabulated on Sheets No. 2 and No. 3 of the attached
prel iminary SCHEDULE "I".
100 Percent minus all anticipated City Federal-aid funding shall be
the rate of cost participation in all of the bike trail construction
as shown and/or described in "Yellow" on EXHIBIT "Cost
Participation", which is on file at the locations given in Section A.
of this article. The construction includes, but is not limited to,
those construction items as described and tabulated on Sheet No. 4 of
,
the attached Preliminary SCHEDULE "I".
80 Percent minus all anticiDated City Federal-aid fundina shall be
the rate of cost participation in all of the frontage road
construction, as shown and/or described in "heliotrope" on EXHIBIT
"Cost Participation", which is on file at the locations given in
Section A. of this article. The construction includes, but is not
limited to, those construction items as described and tabulated on
Sheets No.5 and No.6 of the attached Preliminary SCHEDULE "I".

40 Percent minus all anticipated City Federal-aid funding shall be
the rate of cost participation in all of the storm sewer construction
as shown and/or described in "Green" on EXHIBIT "Cost Participation",
which is on file at the locations given in Section A. of this
article. The construction includes, but is not limited to, those
construction items as described and tabulated on Sheets No. 7 thru
No. 10 of the attached Preliminary SCHEDULE "I".
Section C. Construction Enaineerina Costs
The City shall pay a construction engineering charge in an amount
equal to 2 percent of the City inspected sanitary sewer and watermain
construction and 8 percent of the City's cost share of the frontage
road, storm sewer, and bike trail construction covered under this
Agreement.

Section D. Addenda. Change Orders and SUDDlementa1 Agreements
The City shall share in the costs of construction contract addenda,
change orders and/or supplemental agreements which are necessary to
complete the City cost participation construction covered under this
Agreement.
Section E. Liauidated Damaaes
All liquidated damages assessed the State's contractor in connection
with the construction contract shall result in a credit shared by t~e
State and the City in the same proportion as their total construction
cost share covered under this Agreement is to the total contract
construction cost before any deduction for liquidated damages.
Section F. Total City Obligation
It is anticipated that Federal funding will be applied to the City
cost participation construction as indicated in Section B. of this
article, and to the associated construction engineering. The City's
obligation shall include an amount equal to all anticipated Federal
funding not applied to the City cost participation construction and
associated construction engineering.

ARTICLE IV - PAYMENT BY THE CITY
Section A. Estimate and Advancement of the City's Cost Share
It is estimated that the City's share of the costs of the contract
construction plus the 8 percent construction engineering cost share
is the sum of $962,185.83 as shown in the attached Preliminary
SCHEDULE "I". Upon award of the construction contract the State
shall prepare a Revised SCHEDULE "I" based on construction contract
unit prices.
After the following conditions have been met, the City shall advance
to the Commissioner of Transportation the City's total estimated
construction cost share, which does not include the 8 percent
construction engineering cost share, as shown in the Revised
SCHEDULE "I":
1. Execution and approval of this Agreement and the State's
transmittal of same to the City along with a copy of the Revised
SCHEDULE "I".
2. Receipt by the City of a written request from the State for the
advancement of funds.
Section B. Final Pavment bv the City
Upon completion and acceptance of the contract construction and upo~
computation of the final amount due the State's contractor, the State
shall prepare a Final SCHEDULE "I" and submit a copy to the City.
The Final SCHEDULE "I" shall be based on final quantities, and
include all City cost participation construction items and the
construction engineering cost share covered under this Agreeme~t. If
the final cost of the City participation covered under this Agreement
exceeds the amount of funds advanced by the City, the City shall,
upon receipt of a request from the State, promptly pay the· difference
to the State without interest. If the final cost of the City
participation covered under this Agreement is less than the amount of

funds advanced by the City, the State shall promptly return the
balance to the City without interest.
Pursuant to Minnesota Statutes Section 15.415, the State waives claim
for any amounts less than $5.00 over the amount of City funds
previously advanced to the State, and the City waives claim for the
return of any amounts less than $5.00 of those funds advanced by the
City.
Section C. AcceDtance of City's Cost and Co~leted Construction
The computation by the State of the amount due from the City shall be
final, binding and conclusive. Acceptance by the State of the
completed contract construction shall be final, binding and
conclusive upon the City as to the satisfactory completion of the
contract construction.
ARTICLE V - GENERAL PROVISIONS
Section A. Plan Chancres
The City may request changes in the plans. If the State determines
that the requested plan changes are necessary and/or desirable, the
State will cause those plan changes to be made.
Section B. ReDlacement of Castings
The City shall furnish the State's contractor with new castings
and/or parts for all inplace City-owned facilities constructed
hereunder when replacements are required, without cost or expense
the State or the State's contractor, except for replacement of
castings and/or parts broken or damaged by the State's contractor.

Section C. Utility Permits
Upon the City's receipt of a fully executed copy of this Agreement,
the City shall submit to the State's Utility Engineer an original
permit application for all City-owned utilities to be constructed
hereunder that are upon and within the trunk highway right-of-way.

Applications for permits shall be made on State form "Application For
Utility Permit On Trunk Highway Right-Of-Way" (Form TP2525) .
The City, shall submit to the Minnesota pollution Control Agency the
plans and specifications for the construction or reconstruction of
its sanitary sewer facilities to be performed under the construction
contract and obtain, pursuant to Minnesota Statutes Section 115.07 or
Minnesota Rules 7001.1030, subpart 2C, either a permit or written
waiver from that agency for that construction or reconstruction to be
performed by others under the construction contract. When the
Minnesota Pollution Control Agency issues that permit or waiver, the
City will promptly furnish the State a copy of that permit or waiver
so that the construction or reconstruction may be performed by the
Státe's contractor. The City is advised that pursuant to Minnesota
Rules 7001.1040, a written application for the permit or waiver must
be submitted to the Minnesota Pollution Control Agency at least
180 days before the planned date of the sanitary sewer facility
construction or reconstruction.
Section D. Maintenance by the City
Upon satisfactory completion of the frontage road and bridge
construction (on West 78th Street) to be performed within the
corporate City limits under the construction contract, the City shall
provide for the proper maintenance of the roadways and bridges andt
all of the facilities a part thereof, without cost or expense to the
State. Maintenance shall include, but not be limited to, snow, ice
and debris removal, resurfacing and/or seal coating and any other
maintenance activities necessary to perpetuate the roadways and
bridges in a safe and usable condition.
Upon satisfactory completion of the storm sewer facilities (including
the ponds) on West. 78th Street and City-owned facilities construction
to be performed within the corporate City limits under the

construction contract, the City shall provide for the proper
maintenance of those facilities, without cost or expense to the
State.
Upon satisfactory completion of the bike trail construction to be
performed within the corporate City limits under the construction
contract, the City shall provide for the proper maintenance of the
bike trails, without cost or expense to the State. Maintenance shall
include, but not be limited to, snow, ice and debris removal and any
other maintenance activities necessary to perpetuate the bike trails
in a safe and usable condition.
Section E. Additional Drainage
Neither party to this Agreement shall drain any additional drainage
into the storm sewer facilities to be constructed under the
construction contract, that was not included in the drainage for
which the storm sewer facilities were designed, without first
obtaining permission to do so from the other party. The drainage
areas served by the storm sewer facilities constructed under the
construction' contract are, shown in a drainage area map, EXHIBIT
"Drainage Area", which is on file in the office of the State's
Division Hydraulics Unit at Golden Valley and is made a part hereof
by reference with the same force and effect as though fully set forth
herein. ~
Section F. Future ResDonsibilities
Upon satisfactory completion of the West 78th Street frontage roadway
and associated pond and bridge construction to be performed within
the corporate City limits under the construction contract, the City
shall thereafter accept full and total responsibility and all
obligations and liabilities arising out of or by reason of the use,
operation, maintenance, repair and/or reconstruction of the roadway,
pond, and bridge construction and all of the facilities a part
thereof constructed hereunder, without cost or expense to the State.

Section G. Release and Conveyance of Road~s
The State shall, upon satisfactory completion of the West 78th Street
frontage roadway and associated pond and bridge construction and all
of the facilities a part thereof constructed within the corporate
City limits under the construction contract, serve upon the City a
"Notice of Release" placing that roadway portion under the
jurisdiction of the City; and subsequent thereto, after all necessary
and required documents have been prepared and processed, the State
shall convey to the City all right, title and interest of the State
in that roadway portion. Upon receipt of that "Notice of Release",
the City shall become the road authority responsible for the roadway
portion so released.
Section H. Examination of Books. Records. Etc.
As provided by Minnesota Statutes Section 16C.05, subdivision 5, the
books, records, documents, and accounting procedures and practices of
the State and the City relevant to this Agreement are subject to
examination by the State and the City, and either the legislative
auditor or the state auditor as appropriate, for a minimum of six
years from final payment.
Section I. Release of Buildings to City

2. Upon release the City may authorize its fire department to burn
the properties as part of a training program. Prior to
conducting any training exercises, the City will submit a
proposed training plan to State's Project Manager. State's
Project Manager will, in his/her sole discretion accept or reject
the City's plan. The City may not conduct any training exercises
until the plan is approved, in writing, by State's Project
Manager. The training plan will provide details on each planned

burning, including the date and time scheduled for each
particular structure, and will provide details on whether any
portion .of the structure will remain standing after the exercise.
3. The City will provide adequate personnel and equipment to assure
a controlled burning. If any portion of the structure remains
standing at the completion of the training exercise, the City
must take all reasonable steps to secure the structure and
surrounding property so as to prevent access by unauthorized
personnel, until the structure is returned to the control of
State. State's Project Manager will work with City to arrange
the prompt demolition of any remaining portion of a structure.
State will be responsible for demolishing and backfilling the
properties after accepting their return from the City.
4. State will not seek to recover the value of any of the structures
released to the City.
.5. City will indemnify State against any claims arising from City's
use of the structures in such training exercise, including any

claims brought by third parties for injuries sustained in, or as
a result of the burning or collapse of, the structures. The
City's responsibility for each particular structure begins when
the training exercise involving that structure commences, and t
continues until the training is completed and the return of the
property is accepted in the sole discretion of the State's
proj ect Manager ("Indemnification period") .
6. City will defend State (to the extent authorized by State) for
any claims arising out of City's training exercises, or for
claims relating to the conditions of the properties during the
Indemnification Period.
7. City will not seek indemnification or contribution from the State
if City is found liable on any claim.

8. City's training program must not interfere with the State's
construction project. State's Project Manager may terminate the
City's training program at any time, with or without cause or
notice.
Section J. Claims
All employees of the State and all other persons employed by the State
in the performance of contract construction and/or construction
engineering covered under this Agreement shall not be considered
employees of the City. All claims that arise under the Worker's
Compensation Act of the State of Minnesota on behalf of the employees
while so engaged and all claims made by any third parties as a
consequence of any act or omission on the part of the employees while
so engaged on contract construction and/or construction engineering
covered under this Agreement shall in no way be the obligation or
responsibility of the City.
All employees of the City and all other persons employed by the City
in the performance of maintenance covered under this Agreement shall
not be considered employees of the State. All claims that arise under
the Worker's Compensation Act of the State of Minnesota on behalf of
the employees while so engaged and all claims made by any third
parties as a consequence of any act or omission on the part of the

Section K. Aareement Annroval
Before this Agreement shall become binding and effective, it shall be
approved by a City Council resolution and receive approval of State
and City officers as the law may provide in addition to the
Commissioner of Transportation or his authorized representative.
