1 As can be seen from the attached documents, I have asked the
LeFevere Law Firm to help in the preparation of proposal docu-
I ments for designating the City Attorney. Given the amount of
work carried out by the LeFevere Firm for the Housing and
Redevelopment Authority, this office felt that LeFevere should not be
considered as a potential candidate for City Attorney. They have
I been advised of my position and have agreed not to submit a pro-
posal themselves. I would intend to use Mr. Dean in helping to
sort proposals once received.
1 The initial time schedule I had hoped to achieve has slipped. I
still believe a designation can occur by early July. Once that
selection is made, the firm designated would be given the respon-
Isibility to help in the preparation of the proposal formats for
City Auditor and Financial Advisor. SufEicient time would then
exist to carry out those interviews prior to work starting on the
I 1989 audit or 1989 bond sale documents ( currently being con-
sidered for November/December, 1989) .
I As will be noted, I have had an opportunity to have each of our
departments complete a Legal Service Questionnaire regarding the
current service levels being provided by Grannis. This form has
two functions : 1) to identify any potential weaknesses which may
I currently exist and, 2 ) to insure that firms being considered for
this position have experience and knowledge in each of the areas
of concern to City personnel.

REQUEST FOR PROPOSALS - CITY ATTORNEY
I . INTRODUCTION
This request is intended to provide the background and
' format for use by proposers desiring to be retained as city
attorney for the City of Chanhassen.
A. Community Data.
The City of Chanhassen occupies a land area of
approximately 24 square miles; and is located in Hennepin
' and Carver counties. Chanhassen' s population is currently
estimated to be 9 , 225 . Significant increases in population
' are expected. Currently, there are more than 1 , 000 new
homes in various stages of construction and another 200 in
' the planning stages. More than 300 building permits were
Iissued in 1988 (residential and non-residential) . The
aggregate construction value for those permits was in excess
' cf .750 , 000, 000 . With the expected continuation of rapid
growth great emphasis will be placed on planning, zoning,
' subdivision control and public improvements.
' B. City Government.
The City of Chanhassen organized as a statutory city on
' July 5 , 1967, and operates under an Optional Plan B (coun-
cil-manager) form of government. The daily management and
administration of the city is under the direction of the
city manager. The Mayor and four Council members comprise
' the city council , which formulates city policy and legisla-
tion. The city council meets regularly on the second and
fourth Monday of each month. The City of Chanhassen retains
legal consulting services from a private law firm to act as
its city attorney. For the years 1986 through 1988 , the
hours worked and the fees paid are as follows :

These fees include a flat charge of $175 covering prepara- '
tion for and attendance at each city council meeting.

II . CITY ATTORNEY — SCOPE OF SERVICES
The City of Chanhassen is seeking proposals from law firms
to provide the following legal services to the city:
A. Litigation - Legal Action.
The city attorney is involved in any civil action
brought against the city which is not covered by liability ,
insurance. The most notable examples would include chal-
lenges to city action on zoning, subdivision and business
license issues. Other legal actions involving the city
attorney would include:
• condemnation
nuisance abatement
▪ assessment appeals
• labor and employment disputes
▪ contract and bidding disputes
• real estate (quiet title, initial registration,
proceedings subsequent, contamination, lien fore-
closure
The city attorney also acts as liaison in litigation
defended by the city' s liability carriers.

B. Advisor to Cou ncil, Manager, Staff and Commissions.
The city attorney serves as advisor to the council,
manager, staff and various commissions and committees of the
' city. These activities include: attendance at all meetings
of the city council and attendance at other boards, commit-
tees and commissions as requested; the preparation of
' written legal opinions on a wide variety of subjects
including zoning, platting, contract bidding, licenses and
permits; the preparation of written findings, when required,
' in support of actions of the Council; and providing
information involving important developments in statutory or
judicial law.
C. Public Improvement Projects.
' The city attorney is involved in all aspects of the
public improvement process, including: review of procedures;
' drafting of resolutions and hearing notices; review of plans
' and specifications and bid notices; response to bidding
questions and disputes; negotiating and/or condemning
necessary easements and other interests in land; review of
assessment process; defense of all challenges to special
assessments.
' D. Additional Duties.
Additional duties of the city attorney include the
' drafting of all ordinance and ordinance amendments, prepa-
ration of documents utilized by the city in connection with
subdivisions and zonings, preparation of documents necessary
for the sale or purchase of property involving the city.

III . THE PROPOSAL
Any firm desiring to respond to this request must do so by
delivering into the hands of the city manager ten copies of its
proposal not later than 4 : 00 p.m. , June 2 , 1969 . Proposals for
the position of city attorney must contain the following
elements :
A. Title page which contains the name of the proposing '
firm, its address , telephone number, name of the
contact person and the date of submittal. '
B. Table of contents containing an identification of
material by section and page number.
C. A firm profile which contains the following informa- '
tion:
1 . Firm history. ,
2. Number of attorneys .
3 . Number of clerical/support staff.
4 . Percentage of firms total annual billings (your FY
1988) represented by billings to local units of
government.
5. Listing of all local units of government which '
your firm represented in 1988 .
6 . A description of the firm' s library and research ,
capabilities.
7. Whether the firm intends to provide the services
at existing staffing levels, and if not, what
changes it foresees.
D. Scope of Work. ,
With respect to each of the topics described in Section
II above, please indicate: '

1. The general qualifications of the firm rm to provide
' the described services. The firm should expand on
each item and describe why the firm is qualified
' and capable to provide such services.
2 The individual proposed as the primary responsible
• person to provide the services, together with a
' description of that person' s background and
experience demonstrating the ability to provide
such services.
3 . The individuals proposed to assist the primary
' responsible person together with a description of
such persons' background and experience demon-
strating their ability to assist in providing such
' services.
E. Rates, Fees and Charges .
Proposals must provide a complete description of the
' rate , fee and charge structure proposed for the services.
Proposers should also indicate whether, and to what extent,
' they are willing to consider the use of a retainer. (Such
retainer would be a fixed annual fee covering all services
rendered under one or more of the categories described in
' Section II above. )
F. Conflicts.

tify and resolve conflicts of interest?
IV. SELECTION PROCESS
The city intends to award a contract to the firm evaluated
to be the best qualified to perform the services, cost and other ,
factors considered. Based upon a review of the Proposals and
such other evaluation as may be necessary, the city manager will '
request that the city council approve the appointment of the firm
judged to be the most responsive and responsible. Approval of
the recommendation and authorization of the execution of a
contract for legal services lies within the discretion of the
Council. A copy of the anticipated schedule for the selection '
process is attached as Exhibit A. The City of Chanhassen
reserves the right to reject any and all Proposals and to request
additional information from all proposers .
The city shall not be liable for any expenses incurred by a
proposer including, but not limited to, expenses associated with ,
the preparation of the proposal, attendance at interviews, or
final contract negotiations.
V. CONTRACT '
The city reserves the right to negotiate the final terms and
conditions of the contract to be executed. Should the city and
the selected proposer be unable to mutually agree on the entire '
contract, the city reserves the right to discontinue negotia-
tions, select another proposer or reject all of the Proposals . '

The City of Chanhassen has recently undertaken a review
of its consultant contracts for various professional
' services rendered to the City. One such contract
involves the provision of municipal legal services . The
services described in the attached Request are currently
being provided by the firm of Grannis, Grannis , Farrell &
Knutson with Roger Knutson serving as primary counsel.
That firm has provided legal services of high quality.
' Nonetheless, the City believes that it is appropriate
from time-to-time to examine the marketplace to be
assured that it is receiving highly competent broad based
legal services at a competitive rate.
' The purpose of this letter and the attached Request is to
solicit proposals from law firms desiring to provide such
' services to the City.
Proposals must be responsive to the specific needs
' defined in the request documents and demonstrate the
ability to perform the requested services. The City may
determine to make its final selection based entirely upon
the written proposals; or may, in its discretion
' determine to conduct further examinations of some or all
of the proposers.
' The City of Chanhassen reserves the right to consider all
information available to it in selecting the provider
which it deems best suited to the needs of the City. The
City further reserves the right to reject any or all
' proposals. All costs directly or indirectly related to
the preparation and submittal of any proposal, and all
costs directly or indirectly related to any additional or
supplemental examination of any proposer shall be the
sole responsibility of and be borne by the proposer.
