SUBJ: Proposed Security Access System Improvements
PROPOSED MOTION:
"The City Council approves of a contract with Pro -Tech Design for a total of
$56,262.39 to install a card reader access security system at City Hall and the
Main Fire Station and to replace a security control panel at the Public Works
building."
Approval of this item requires a simple majority vote of those City Council
members present.
The 2014 Capital Improvement Program includes funding to implement security
upgrades at City Hall. Over the last two years, staff has been working on plans to
improve the access security system at City Hall. Staff proposes to install a reader
card access system. Employees will be issued an employee id badge that will
provide access to authorized areas/buildings.
The goals of such a system are to:
Provide the ability to lock down City Hall in the event of an emergency.
City Hall is a very porous building with multiple internal and external
access points. The security access system and building adjustments would
allow for the building to be locked down in sections — containing an
intruder in one of those sections and restricting access to the rest of the
building.
2. Provide better building security. Presently, employees are issued a key to

Website City staff met with several vendors to understand which system would best fit our
www.ci.chanhassen.mn.us needs and budget. We have selected a system called DSX that is already in use at
our Water Treatment Plant. One of the advantages of the system is that since we

Chanhassen is a Community for Life - Providing for Today and Planning for Tomorrow
have already purchased a license for this system, we can expand our use of their
software without incurring additional licensing costs. We have been pleased with
the ease of operation and reliability of the system.
The CIP budget for this item is $40,000. The total cost of the City Hall system
installation is $39,673.67. Pro -Tec Design will be responsible for the equipment
and installation. The vendor and all products are covered under the state contract,
which allows the City to avoid the time and expense of a separate bid process, as
best pricing has already been established during the bidding process for the state
contract.
In addition to the project included in the CIP to improve security at City Hall,
staff is proposing two additional security card access projects. The first is to
replace the pin keypad at the Fire Station with a card reader access system, at a
cost of $8,273.87. This would provide better security for the building, including
features such as the ability to generate a log of those who have accessed the
building.
The second task is to replace the control panel and software system that it is in
place at the Public Works building. The vendor who sold that system has since
gone bankrupt, and the system is very difficult to maintain. Staff must frequently
spend time trying to correct issues or respond to false alarms and service calls
after hours. Replacement of the panel would streamline maintenance and allow
staff to be issued just one card for all city buildings. The total cost of this project
is $8,314.85.
The Fire Station access system and Public Works replacement system was not
included in the original project, and funding was therefore not included in the
original CIP Item. Funding for those two items is proposed to come from CIP
funds.
RECOMMENDATION
Staff recommends approval of a contract with Pro -Tech Design for a total of
$56,262.39 to install a card reader access security system at City Hall and the
Main Fire Station and to replace a security control panel at the Public Works
building.

workstations and servers, and personnel to determine best cable -run routes.
CONDUIT: Conduit raceways provided by others if required by code.
- SERVER /WORKSTATION: The server and work station are to be provided by the site. Alterations can be made to have this included for
an additional fee.
- WORK ENVIRONMENT: Owner to provide for a safe computing environment by providing anti -virus software, (spamware, malware, etc.)
and maintaining all manufacturers' security patches, etc.
- WORKSTATION SOFTWARE: Owner to furnish and install any and all updates and patches to the Microsoft products on an ongoing
basis.
- PROGRAMMING: Owner to program all system information including, but not limited to, cardholder name, access privileges, and other
system information not entered by Pro -Tec.
- OTHER: All painting, patching, and building restoration.

Pro -Tec Design (PTD) to install DSX controller board, power supply, battery and LAN module.
PTD to make connections from field devises to DSX controller.
PTD to install intrusion alarm controller and keypads along with making necessary connections per field devices.
PTD to program including swipe arm /disarm feature.
PTD to test including testing with central station
PTD to train appropriate onsite personnel.
Exclusions
- CONTRACT PRICING: Proposal pricing followings rates and guidelines established in Minnesota State Purchasing Contract 441899,
release S- 813(5).
- NETWORK CONNECTIVITY: Owner to provide all network connectivity including switches with PoE and IP addresses.
- POWER: 110VAC is to be provided by owner.
- TECHNICAL ASSISTANCE: Owner to provide any technical assistance need during project. This includes IT staff providing access to
workstations and servers, and personnel to determine best cable -run routes.
- CONDUIT: Conduit raceways provided by others if required by code.
- SERVER/WORKSTATION: The server and work station are to be provided by the site. Alterations can be made to have this included for
an additional fee.
- WORK ENVIRONMENT: Owner to provide for a safe computing environment by providing anti -virus software, (spamware, malware, etc.)
and maintaining all manufacturers' security patches, etc.
- WORKSTATION SOFTWARE: Owner to furnish and install any and all updates and patches to the Microsoft products on an ongoing
basis.
- PROGRAMMING: Owner to program all system information including, but not limited to, cardholder name, access privileges, and other
system information not entered by Pro -Tec.
- OTHER: All painting, patching, and building restoration.

Standard Terms and Conditions
1. No liquidated damages will be due.
2. Protection of our work in place is not Pro -Tec Design's responsibility.
3. We will dispose of debris created by our work into Owner - furnished trash bins or container at the site.
4. We do not accept back charges that have not been previously agreed to by us in writing.
5. Late payments will bear interest at the standard prevailing commercial rate.
6. Unless otherwise specified, you will be billed for 30% of the project total immediately after the receipt of an order (ARO). Prompt payment is
required to order parts and cover other costs associated with project start-up.
7. We shall then be paid monthly progress payments for agreed upon milestones on or before the 18th day of each month for the value of our
work in place plus materials and equipment designed, manufactured, or suitably stored on or off site by us, including any taxes required by law.
All invoices shall be paid "Net 30" to ensure uninterrupted performance of work. Final payment is due 30 days following the completion of the
project punchlist.
8. No provisions of this Proposal /Contract shall serve to void our rights under Mechanics' Lien Laws.
9. Nothing in this Proposal /Contract shall be construed to require us to continue performance of work if we do not receive timely payment for
properly performed worts and suitably stored materials.
10. We retain title to all equipment until installation is complete and reserve the right to retake possession of the same or any part thereof at
your cost if default is made by you in any payment.
11. You shall furnish and make available to us at the site reasonable storage and parking facilities, and convenient delivery access to our work.
12. You shall provide uncluttered and safe access for us to perform our work.
13. The schedule of any other contractors involved in this project shall be made in consultation with us, and unless otherwise agreed to, shall
provide time for us to perform our work on a 8 -hour day, 40 -hour week basis. This Proposal /Contract does not include provision for our being
required to perform overtime work for any reasons unless otherwise stated. An additional charge to the contract shall be made for any mutually
agreed upon overtime.
14. We are not responsible for delays or defaults that are occasioned by causes of any kind beyond our control, including but not limited to
delays or defaults of Architects, the Owner, the Contractor, any Subcontractors, other third parties, civil disorders, labor disputes, and Acts of
God. We shall be entitled to equitable adjustment for delays caused by any Architect, Engineer, Contractor, or Owner.
15. If any drawings, illustrations, or descriptive matter are furnished with this Proposal /Contract, they are approximate and submitted only to
show the general style, arrangement, and dimensions of equipment offered. Final as -built drawings and specifications will be provided to the
owner at project completion.
16. THERE ARE NO WARRANTIES THAT EXTEND BEYOND PRO -TEC DESIGN'S STATED SPECIFICATIONS, AND ALL IMPLIED AND
EXPRESS WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE EXCLUDED.
17. The Owner shall purchase and maintain all -risk builder's risk insurance upon the full value of the entire work including materials delivered
to the job site, which shall include the interests of Pro -Tec Design.
18. In case of dispute, the prevailing party shall be awarded reasonable attorney's fees.
19. This Proposal /Contract, including the provisions printed above and any specifications or other provisions attached hereto, when accepted
by you and Pro -Tec Design shall constitute the Contract between us, and all prior representations or agreements not incorporated herein are
superseded.
20_ All work to be done during standard business hours, Monday through Friday unless otherwise noted or at a schedule that Pro -Tec Design
believes will provide the most project continuity.
21. Pro -Tec Design will warranty the labor and materials covered under this quotation for one year from the date of substantial completion
provided the Owner is current in their payments to Pro -Tec Design, Inc. Accounts that are not current shall not receive warranty work until said
accounts are made current. Pro -Tec Design will respond during normal business hours Monday through Friday. Weekends, Holidays and after
hours warranty support will be billable at standard overtime rates. Warranty does not include replacement or repair of equipment damaged by;
Misuse, Over or Under Voltage, or "Acts of God" such as lightning or other weather related incidents. Warranty only covers the repair or
replacement of any parts supplied by Pro -Tec and any labor and travel to and from the site to execute said repairs for one (1) year from the
date the Owner has beneficial use of the system. No warranty is extended to not in contract (NIC) equipment. NIC equipment is defined as
any equipment not supplied by Pro -Tec or existing equipment that is re -used. The troubleshooting, repair or replacement of NIC equipment will
be provided by Pro -Tec at a time and materials basis.
22. Customer agrees that during the term of this contract and for two years following termination, they will not directly or indirectly solicit for
hire nor contract for services any employee or contractor who performs services hereunder without Pro -Tec Design's written consent
23. The design and /or intent of the items listed in this system specification is considered intellectual property and owned by Pro -Tec Design
and will not be disclosed to any party other than those intended by Pro -Tec Design, except as required by law. Impermissible disclosure of this
design /intent will subject the proprietor to Consultant Fees equivalent of the above listed design /build quotation. All materials are guaranteed to
be as specified. Any alterations or deviation written or verbal from the above specifications involving extra costs will be executed and will
become an extra charge over and beyond the above quotation.
24. This proposal and any documents associated with it supersede any prior verbal or written information provided.
25. Pro -Tec Design is not an insurer of Customer's risks and exposures. Pro -Tec shall not be liable for any failure to perform under this
Agreement due to any "Act of God," "Force Majeure," of an other cause beyond Pro -Tec Design's control. Pro -Tec Design shall not be liable for
any loss or damage caused in whole or in part from negligence, fault, or wrongful act of Customer or of any third persons or parties. Services
provided under this Agreement are for the sole benefit of the Customer and no rights are, or may be, conferred on any other party as a
third -party beneficiary, by transfer or assignment, or otherwise. Pro-Tee Design's total liability is limited to the contract price; as matter of law,
this limitation does not apply to fraud, willful inury, or willful violiation of the law.

General Application
The DSX- LAN(MI) module is typically used to connect a
Master Controller to the Host or Comm Server PC over a
Local or Wide Area Network. The WinDSX software is
inherently TCP/IP capable and can redirect communication,
that would normally be transmitted out a serial port, over a
LAN/WAN to a particular IP address. The DSX-LAN(M)
module receives that communication and converts it to RS-
232 or RS -485 that connects directly to the Master Control-
ler. This adds another avenue of flexibility to WinDSX by
utilizing TCP/IP communications as well as dial -up modem
and direct serial port connectivity. All three means of commu-
nication can be used at the same time in the same system The
DSX- LAN(MI) is powered from the DSX Controller which
can provide battery backup.
DSX -LAN (M)
LAN Communications Interface
The DSX- LAN(M) module is sold in two different configura-
tions. The DSX-LAN which is the module with IP communi-
cations as the only method of connectivity. The DSX -
LAN(Ml) has dial up modem backup. The DSX -LAN module
must be ordered with the (M) option along with the DSX
modem to support the dial backup feature.
OtherApplications
The DSX -LAN can also be used at Slave Controllers with the
use of the PC Master Software. PC Master is a DSX soft-
ware application that emulates a Master Controller. It gets its
download from the Comm Server PC and communicates with
all of the Slaves just like a Master Controller does. What is
different about the PC Master software is its ability to com-
municate with each Slave Controller via TCP /IP or with a
serial port connection. This allows Slave Controllers to be
placed on the LAN and each one or each group of controllers
to have a LAN connections using a LAN module. Modem
backup is not available for slave controller communication.
Dial -up Modem Backup
The DSX- LAN(M) module has a 9 pin serial port that is used
to connect a DSX modem for communications redundancy.
When the LAN(M) module determines a loss of network
connectivity it switches to "Modem Mode" which allows the
controller to call the Comm Server or Host PC via the modem
when necessary. When the Network connection is re- estab-
lished the Controller reconnects over the LAN. The modem
and the LAN(M) module are powered from the Controller
and are connected to each other via the supplied serial cable.

Power
The DSX- LAN(MI) is powered from one ofthe Controllers
12VDC outputs requiring a mere 300ma. Powering the
module from the DSX Controller provides a good stable
battery backed up source.
Mounting
The DSX -LAN is designed to fit in the same Equipment
Cabinet as the DSX -1048 and DSX -1022 Controllers. It can
mount on the inside or rest in the bottom of the enclosure. It
has three mounting holes and removable terminal blocks.

Statement of Work
Pro -Tec Design (PTD) with assistance of onsite personnel to notify current monitoring company of disconnection.
PTD to remove existing controller board power supply and battery and provide to onsite personnel.
PTD to install DSX controller board, power supply, battery and LAN module.
PTD to make connections from existing field devises to new DSX controller.
PTD to add to door 4 - Card reader, electric strike, door contact and REX and connect to new DSX controller.
PTD to replace existing intrusion alarm controller and keypads along with making necessary connections per existing field devices. (9
overhead door contacts, roof hatch)
PTD to program same or similar as today including swipe arm /disarm feature.
PTD to test including testing with central station
PTD to train appropriate onsite personnel.
Exclusions
- NETWORK CONNECTIVITY: Owner to provide all network connectivity including switches with PoE and IP addresses.
- POWER: 110VAC at panel location is to be provided by owner.

- TECHNICAL ASSISTANCE: Owner to provide any technical assistance need during project. This includes IT staff providing access to
workstations and servers, and personnel to determine best cable -run routes.
- CONDUIT: Conduit raceways provided by others if required by code.
- SERVER/WORKSTATION: The server and work station are to be provided by the site. Alterations can be made to have this included for
an additional fee.
- WORK ENVIRONMENT: Owner to provide for a safe computing environment by providing anti -virus software, (spamware, malware, etc.)
and maintaining all manufacturers' security patches, etc.
- WORKSTATION SOFTWARE: Owner to furnish and install any and all updates and patches to the Microsoft products on an ongoing
basis.
- PROGRAMMING: Owner to program all system information including, but not limited to, cardholder name, access privileges, and other
system information not entered by Pro -Tec.
- EXISTING EQUIPMENT: Existing equipment is said to be in good functional order.
- OTHER: All painting, patching, and building restoration.

Standard Terms and Conditions
1. No liquidated damages will be due.
2. Protection of our work in place is not Pro -Tec Design's responsibility_
3. We will dispose of debris created by our work into Owner- fumished trash bins or container at the site.
4. We do not accept back charges that have not been previously agreed to by us in writing.
5. Late payments will bear interest at the standard prevailing commercial rate.
6. Unless otherwise specified, you will be billed for 30% of the project total immediately after the receipt of an order (ARO). Prompt payment is
required to order parts and cover other costs associated with project start-up.
7. We shall then be paid monthly progress payments for agreed upon milestones on or before the 18th day of each month for the value of our
work in place plus materials and equipment designed, manufactured, or suitably stored on or off site by us, including any taxes required by law.
All invoices shall be paid "Net 30" to ensure uninterrupted performance of work. Final payment is due 30 days following the completion of the
project punchlist.
8. No provisions of this Proposal /Contract shall serve to void our rights under Mechanics' Lien Laws.
9. Nothing in this Proposal /Contract shall be construed to require us to continue performance of work if we do not receive timely payment for
properly performed work and suitably stored materials.
10. We retain title to all equipment until installation is complete and reserve the right to retake possession of the same or any part thereof at
your cost if default is made by you in any payment.
11. You shall furnish and make available to us at the site reasonable storage and parking facilities, and convenient delivery access to our work.
12. You shall provide uncluttered and safe access for us to perform our work.
13. The schedule of any other contractors involved in this project shall be made in consultation with us, and unless otherwise agreed to, shall
provide time for us to perform our work on a 8 -hour day, 40 -hour week basis. This Proposal /Contract does not include provision for our being
required to perform overtime work for any reasons unless otherwise stated. An additional charge to the contract shall be made for any mutually
agreed upon overtime.
14. We are not responsible for delays or defaults that are occasioned by causes of any kind beyond our control, including but not limited to
delays or defaults of Architects, the Owner, the Contractor, any Subcontractors, other third parties, civil disorders, labor disputes, and Acts of
God. We shall be entitled to equitable adjustment for delays caused by any Architect, Engineer, Contractor, or Owner.
15. If any drawings, illustrations, or descriptive matter are furnished with this Proposal /Contract, they are approximate and submitted only to
show the general style, arrangement, and dimensions of equipment offered. Final as -built drawings and specifications will be provided to the
owner at project completion.
16. THERE ARE NO WARRANTIES THAT EXTEND BEYOND PRO -TEC DESIGN'S STATED SPECIFICATIONS, AND ALL IMPLIED AND
EXPRESS WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE EXCLUDED.
17. The Owner shall purchase and maintain all -risk builder's risk insurance upon the full value of the entire work including materials delivered
to the job site, which shall include the interests of Pro -Tec Design.
18. In case of dispute, the prevailing party shall be awarded reasonable attorney's fees.
19. This Proposal /Contract, including the provisions printed above and any specifications or other provisions attached hereto, when accepted
by you and Pro-Tee Design shall constitute the Contract between us, and all prior representations or agreements not incorporated herein are
superseded.
20. All work to be done during standard business hours, Monday through Friday unless otherwise noted or at a schedule that Pro -Tec Design
believes will provide the most project continuity.
21. Pro-Tec Design will warranty the labor and materials covered under this quotation for one year from the date of substantial completion
provided the Owner is current in their payments to Pro -Tec Design, Inc. Accounts that are not current shall not receive warranty work until said
accounts are made current. Pro-Tec Design will respond during normal business hours Monday through Friday. Weekends, Holidays and after
hours warranty support will be billable at standard overtime rates. Warranty does not include replacement or repair of equipment damaged by;
Misuse, Over or Under Voltage, or "Acts of God" such as lightning or other weather related incidents. Warranty only covers the repair or
replacement of any parts supplied by Pro -Tec and any labor and travel to and from the site to execute said repairs for one (1) year from the
date the Owner has beneficial use of the system. No warranty is extended to not in contract (NIC) equipment. NIC equipment is defined as
any equipment not supplied by Pro -Tec or existing equipment that is re -used. The troubleshooting, repair or replacement of NIC equipment will
be provided by Pro-Tec at a time and materials basis.
22. Customer agrees that during the term of this contract and for two years following termination, they will not directly or indirectly solicit for
hire nor contract for services any employee or contractor who performs services hereunder without Pro -Tec Design's written consent
23. The design and /or intent of the items listed in this system specification is considered intellectual property and owned by Pro-Tee Design
and will not be disclosed to any party other than those intended by Pro -Tec Design, except as required by law. Impermissible disclosure of this
design /intent will subject the proprietor to Consultant Fees equivalent of the above listed designibuild quotation. All materials are guaranteed to
be as specified. Any alterations or deviation written or verbal from the above specifications involving extra costs will be executed and will
become an extra charge over and beyond the above quotation.
24. This proposal and any documents associated with it supersede any prior verbal or written information provided.
25. Pro-Tec Design is not an insurer of Customer's risks and exposures. Pro-Tec shall not be liable for any failure to perform under this
Agreement due to any "Act of God," "Force Majeure," of an other cause beyond Pro -Tec Design's control. Pro-Tec Design shall not be liable for
any loss or damage caused in whole or in part from negligence, fault, or wrongful act of Customer or of any third persons or parties. Services
provided under this Agreement are for the sole benefit of the Customer and no rights are, or may be, conferred on any other party as a
third -party beneficiary, by transfer or assignment, or otherwise. Pro-Tec Design's total liability is limited to the contract price; as matter of law,
this limitation does not apply to fraud, willful inury, or willful violiation of the law.
