The UAA identified four potential projects that could be implemented to address the external load to Lake
Susan with a relatively short horizon. These projects are improvements to the pond south of Target and
north of TH 5, improvements to the pond northeast of Lake Susan in Lake Susan Park, improvements to
the pond just south of Lake Drive West and west of Powers Boulevard and the construction of an iron-
filing filter within the wetland in Lake Susan Park Preserve. This last project is the topic of this
memorandum.
The Riley Purgatory Bluff Creek Watershed District has allocated funds to make the improvements within
Lake Susan Park Preserve in 2015. Barr Engineering,the District Engineer,has worked with the City on
the design of the system to assure that the finished project has the greatest removal efficiency in terms of
dollars spent per pound removed,has the least impact on tree removal and wetland and is in keeping with
the intended use of the preserve. To meet this objective,we evaluated a woodchip bioreactor in two
locations, an iron enhanced sand filter at two locations and a spent lime treatment system. The spent lime
was second only to the iron-enhanced filtration system as shown in the UAA but at only a quarter of the
cost and a fraction of the footprint it was determined that the spent lime system was the best alternative.

NOTE: The engineer's opinion of cost as of the 90%submittal plans was$137,500.
The Watershed District will pay for the cost of constructing the facility and the City will then assume
ownership of the facility and will be responsible for the maintenance of the spent lime system moving
forward. Additional routine maintenance will consist of getting into the system annually to break up any
crusting ar caking that forms on the surface and occasional replacement of the spent lime. Otherwise the
maintenance will be the same as it currently is for the existing structure and pipe.
The City will receive all phosphorus reduction credit to apply toward any Clean Water Act Total
Maximum Daily Load implementation plan waste allocation load. The waste load allocation will fall
primarily to the City as the largest entity regulated under the NPDES MS4 permit. This practice will

meet approximately 45 pounds of the 58 pounds(or 77%) of annual reduction needed within the
watershed. It is rare when one practice can achieve such significant reductions.
Upon final permit approval from the DNR and approval of the City,the Watershed District will finalize
plans and solicit bids. The City and Watershed District will enter into an agreement stipulating
responsibilities and the Watershed District will solicit bids for construction. The agreement is attached to
this memorandum. There will be some latitude given to the contractar regarding when the work is to be
performed although it is anticipated that it wi11 be late fall or early winter and the schedule must be
communicated clearly to the City for approval. The contractor is requested to keep the trail open except
when to do so would prove a risk to public safety. The contractor must communicate any closings with
the City and endeavar to minimize these closings to the greatest practicable extent. The contractor will be
responsible for repairing the trail if it is shown that the work resulted in damage to the trail. A
neighborhood meeting will be held in October. This information was presented to the Parks Commission
at their Apri128t1'meeting. They recommended that Council approve the project.
Grass pavers will be used to provide access to the facility for maintenance while allowing for
establishment of vegetation consistent with the area. A landscaping plan is being prepared that will
provide screening of the system and a cover has been designed to make the facility safe while allowing
access for maintenance. The goal is to have a finished project that blends with the surroundings that
improves the water quality of Lake Susan,provides benefit to the riparian land owners, creates a better
recreational experience for the users of Lake Susan and ultimately results in Lake Susan being removed
from the 303D list of impaired waters.

COOPERATIVE AGREEMENT
Between the Riley-Purgatory-Bluff Creek Watershed District
and the City of Chanhassen
Lake Susan Spent-Lime Water Quality Improvement Project
This cooperative agreement is made by and between the Riley-Purgatory-Bluff Creek
Watershed District (hereinafter referred to as RPBCWD), a watershed district created pursuant to
Minnesota Statutes chapters 103B and 103D, and the City of Chanhassen (hereinafter referred to
as Chanhassen), a governmental subdivision and body corporate and politic of the State of
Minnesota.
Recitals and Statement of Purpose
WHEREAS RPBCWD has an approved Water Resources Management Plan pursuant to
Minnesota Statutes chapter 103B, and the plan identifies excessive nutrient loading as an
ongoing harm to water quality in Lake Susan;
WHEREAS in 2010 the Minnesota Pollution Control Agency added Lake Susan to the list of
state waters that are not meeting their designated-use classification because of excessive
nutrients in the lake;
WHEREAS in 2013 the RPBCWD updated the use attainability analysis it had prepared for
Lake Susan and Rice Marsh Lake in 1999, and the update focused on assessing the water
quality in Lake Susan based on current physical, chemical and biological data, improving
the understanding of concerns about water quality in the lake, and identifying best
management practices to improve and protect the lake's water quality and move toward
removal of Lake Susan from the state list of impaired waters;
WHEREAS the RPBCWD engineer completed a feasibility report in July 2014 that summarizes
proposed actions within a subwatershed to Lake Susan designated LS-2.12 to improve
water quality in the lake, and the report—in light of the engineering assessment, analysis
of potential site impacts and estimate of cost per pound of phosphorus removed—
recommends a spent-lime treatment system as the most feasible and cost-effective
approach to reducing nutrient-loading to Lake Susan to help meet RPBCWD's goals for
the lake (hereinafter referred to as the Project);
WHEREAS the Project would provide an estimated 45 pounds of total phosphorus reduction per
year, at an estimated annual cost of$140-$230 per pound of phosphorus removed; and
WHEREAS Chanhassen shares RPBCWD's goal of improving management of stormwater
runoff to Lake Susan and wishes to substantially participate in the construction and
implementation of the Project, and the Project can be constructed entirely on property
owned by Chanhassen within the Lake Susan Hills West Ninth Addition and Chanhassen
Hills Third Addition, as shown in Exhibit A, attached to and incorporated into this
agreement (hereinafter referred to as the Property);

WHEREAS Chanhassen operates its stormwater management system under the state Municipal
Separate Storm Sewer System (MS4) general permit, and construction and maintenance
of the Project will accrue to the benefit of Chanhassen's fulfillment of its MS4 permit
obligations;
WHEREAS RPBCWD amended the capital improvements program in its watershed plan to
include a spent-lime treatment system for Lake Susan and on September 22, 2014, the
RPBCWD Board of Managers ordered the Project in accordance with Minnesota Statutes
section 103B.251;
WHEREAS Chanhassen and RPBCWD acknowledge that their ability to achieve Project ���
objectives depends on each party satisfactorily and promptly performing individual
obligations and working cooperatively with the other party; and I
WHEREAS Minnesota Statutes section 471.59 authorizes Chanhassen and RPBCWD to enter I
this cooperative agreement.
AGREEMENT
NOW, THEREFORE Chanhassen and RPBCWD enter into this agreement to document
their understanding as to the scope of the Project, affirm their commitments as to the
responsibilities of and tasks to be undertaken by each party, establish procedures for performing
these tasks and carrying out these responsibilities, and facilitate communication and cooperation
to successfully complete the Project.
1 Or�anization and Relationship of the Parties
1.1 The Riley-Purgatory-Bluff Creek Watershed District administrator and the Chanhassen
water resources coordinator will serve as project leads and principal contacts for their respective
organizations for the Project, charged to conduct the day-to-day activities necessary to ensure
that the Project is completed in accordance with the terms of this agreement.
1.2 The project leads will coordinate and communicate informally and formally to timely
address any issues of concern to ensure the successful completion of the Project, including but
not limited to communications with property owners and users of the existing trail on the
Property near the Project location, as shown in Exhibit A (hereinafter referred to as the Trail).
2 Proiect
2.1 The Project is further defined and specified for purposes of this cooperative agreement
and the parties' implementation thereof as entailing excavation, grading and filling; alteration of
topography, vegetation, hydrology and stormwater treatment systems; construction of a concrete
spent-lime treatment chamber with grated cover; installation of a spent-lime system with
underdrain system and inline backflow preventer, along with associated piping, valves and
manholes; placement of riprap and modification of the existing weir structure at the Property;

reestablishment of vegetation; disturbance of and, at the completion of the Project, restoration of
the Trail. The Project will also include, after completion of construction, assessment of the ,
effectiveness of the Project and development of specific written schedules, procedures and
protocols for routine and major maintenance (hereinafter referred to as the Maintenance Plan).
2.2 For purposes of the Project as specified in paragraph 2.1, Chanhassen hereby: I',
i. Grants to RPBCWD, its contractors, agents and assigns an easement to access and use II
the access, construction and maintenance areas of the Property, as delineated on
Exhibit A, for purposes of RPBCWD's successful completion of its obligations in this
agreement.
ii. Chanhassen's authorization hereunder is nonexclusive, except that RPBCWD, on 24
hours' notice to Chanhassen, may temporarily restrict or preclude public access to the
Trail in the access, construction and maintenance areas to ensure safety while
construction or maintenance activities are under way. Access to the Trail will be
restricted as briefly and infrequently as reasonably possible, and will be imposed only
as necessary for Project access, construction, safety and maintenance purposes.
RPBCWD will respond within one business day to any communication from
Chanhassen regarding Trail closure.
iii. On completion of construction of the Project, Chanhassen will retain ownership of the
improved Property and all installed and constructed elements of the spent-lime
treatment system as described in paragraph 2.1 and otherwise herein.
iv. Chanhassen will forbear from any activity that interferes with the RPBCWD's ability
to exercise its rights or meet its obligations under this agreement, including but not
limited to Chanhassen's transfer of ownership of the Property. Chanhassen will
facilitate RPBCWD's reasonable exercise of its rights under this agreement with
regard to access to and use of the Property. Chanhassen will not take any action on
the Property that could reasonably be expected to diminish the effectiveness or
function of the Project for the purposes intended, and after notice of completion of
construction of the Project from RPBCWD, Chanhassen will continue to maintain the
Trail in a manner that avoids altering flow through the conduits constructed under the
Trail as part of the Project.
2.3 RPBCWD will design and prepare all necessary construction documents (plans,
drawings, technical specifications) for the Project, and submit the 90 percent-complete plans and
specifications to Chanhassen for approval. Chanhassen will have 30 days to approve the plans
and specifications. Failure to timely act will constitute approval. Chanhassen's authority to
approve plans and specifications will not be unreasonably exercised. RPBCWD will ensure that
plans and specifications and the Project, when constructed, are compatible with the Property and
this agreement.
2.4 As between the parties, RPBCWD will obtain all necessary permits, licenses and
approvals on behalf of itself and Chanhassen, including approval of a wetland replacement plan

if necessary, and will ensure that the Project is completed in accordance with applicable law and
regulatory requirements. Chanhassen, as owner of the Property, will cooperate with RPBCWD's
and its contractor's efforts to obtain permits and approvals needed for the Project. Chanhassen, in
its regulatory capacity, will facilitate the proper and efficient processing of any permits and
approvals needed for the Project, including but not limited to approvals under the Wetland
Conservation Act.
2.5 RPBCWD will implement the Project as follows:
i. RPBCWD will prepare or have prepared on its behalf construction documents and
will ensure that such documents provide for the restoration of the Property in
accordance with this agreement;
ii. RPBCWD will contract for the construction of the Project in accordance with state
procurement law. RPBCWD will require that the contractor for the Project name
Chanhassen as an additional insured with primary and noncontributory coverage for
general liability and provide a certificate showing same prior to construction; '
iii. RPBCWD or the RPBCWD engineer on RPBCWD's behalf will oversee the '
construction of the Project. RPBCWD may adjust the plans and specifications for the 'I
Project during construction, as long as the revised plans do not require RPBCWD to j
exceed the scope of the rights granted under this agreement;
iv. RPBCWD will submit material changes to Project plans and specifications to
Chanhassen for approval, such approval not to be unreasonably withheld.
Chanhassen's failure to timely act will constitute approval;
v. On completion of construction of the Project, RPBCWD will restore the Property to a
safe and functional condition, consistent with the ongoing use of the Trail for public
recreational purposes. In addition, on completion of construction of the Project,
RPBCWD will assist Chanhassen's operation and maintenance of the Project.
2.6 Until completion of construction of the Project, if RPBCWD, in its judgment, should
decide that the Project is infeasible, RPBCWD, at its option, may declare the agreement
rescinded and annulled. If RPBCWD so declares, all obligations herein, performed or not, will
be voided, except that RPBCWD will return the Property materially to its prior condition or to a
condition agreed to by Chanhassen and RPBCWD.
3 Cost- and Credit-Sharing
3.1 RPBCWD will be responsible for all costs of design and construction of the Project.
RPBCWD will be responsible for the costs and fees associated with complying with regulatory
requirements applicable to the Project, including the costs of any wetland replacement required
by law, except that Chanhassen will assess no fee to RPBCWD for Chanhassen permits required
for the Project, if any. Chanhassen will be responsible for costs of routine operation and
maintenance of the Project in accordance with the Maintenance Plan for the expected useful life
of the Project as specified in the Maintenance Plan, except that RPBCWD will provide assistance
with the maintenance of the Project as will be described in the Maintenance P1an at its own cost.

Each party will bear its adininistrative and incidental costs of fulfilling its responsibilities and
obligations under this agreement.
3.2 All stormwater-management or nutrient-reduction capacity created by the Project, if any,
may be utilized by Chanhassen in accounting for compliance with its MS4 permit or other
regulatory obligations. Chanhassen will detennine, at its cost, available credit from the Project.
RPBCWD makes no representation or warranty as to credit that will be available from or results
that will be achieved by the Project.
4 Speci�c additional duties—RPBCWD
4.1 RPBCWD will provide as-built construction drawings of the Project to Chanhassen
within 90 days of certification of the Project as substantially complete for the intended purposes.
4.2 RPBCWD will contract with the RPBCWD engineer for the development of the
Maintenance Plan. The contract for the Maintenance Plan will require the RPBCWD engineer to
provide the Maintenance Plan for approval by Chanhassen and RPBCWD within one year of
certification by a qualified engineer of the as-built construction drawings of the Project, such
approval not to be unreasonably withheld.
4.3 RPBCWD makes no warranty to Chanhassen regarding the RPBCWD engineer's or
another third party's performance in design, construction or construction management for the
Project.
5 Specific additional duties—Chanhassen
5.1 Chanhassen owns or will timely acquire all land-use rights necessary for the Project, and
will own all Project elements at completion of construction.
5.2 Chanhassen will approve or reject the Maintenance Plan within 45 days of receipt from
the RPBCWD engineer, such approval not to be unreasonably withheld. Failure by Chanhassen
to timely act on its rights and obligations under this paragraph will constitute approval of the
Maintenance Plan. If Chanhassen disapproves the Maintenance Plan, this agreement is
terminated and all maintenance necessary to assure that the Project will continue to effectively
function as designed will become the sole responsibility of Chanhassen. On approval of the
Maintenance Plan, Chanhassen will perform all routine maintenance and monitoring of the
Project, along with reporting as required by the Maintenance Plan.
6 General Terms
E).1 INDEPENDENT RELATIONSHIP; LIABILITY.
i. This agreement does not create a joint powers board or organization within the meaning
of Minnesota Statutes section 471.59, and neither party agrees to be responsible for the
acts or omissions of the other pursuant to subdivision 1(a) of the statute. Only
contractual remedies are available for the failure of a party to fulfill the terms of this
agreement.

ii. Chanhassen and RPBCWD enter this agreement solely for the purposes of improving
water quality in Lake Susan. Accordingly, with respect to any and all activity
undertaken pursuant to this agreement, Chanhassen and RPBCWD will each hold
hannless, defend and indemnify the other, its officers, employees and agents for all
claims, damages, liabilities, losses and expenses asserted against the other party at any
time by any third party, including any governmental body. Notwithstanding the
foregoing or any other provision of this agreement, Chanhassen's and RPBCWD's
obligations under this paragraph will survive the tennination of the agreement.
iii. This agreement creates no right in and waives no immunity, defense or liability
limitation with respect to any third party.
iv. Notwithstanding the foregoing, RPBCWD will not be deemed to have acquired by
entry into or performance under this agreement, any form of interest or ownership in
the Property. RPBCWD will not by entry into or performance under this agreement be
deemed to have exercised any form of control over the use, operation or management of
any portion of the Property or adjacent property so as to render RPBCWD a potentially
responsible party for any contamination under state and/or federal law.
6.2 PUBLICITY AND ENDORSEMENT. Any publicity regarding the Project must identify
Chanhassen and RPBCWD as the sponsoring entities. For purposes of this provision, publicity
includes notices, informational pamphlets, press releases, research, reports, signs, and similar
public notices prepared by or for Chanhassen or RPBCWD individually or jointly with others, or
any subcontractors, with respect to the Project. RPBCWD and Chanhassen will collaborate on
the development of educational and informational signage pertinent to the Project, and each
party, at its cost, may develop, produce and, after approval of the other party, distribute
educational, outreach and publicity materials related to the Project.
6.3 DATA MANAGEMENT. All designs, written materials, technical data, research or any other
work-in-progress will be shared between the parties to this agreement on request, except as
prohibited by law. As soon as is practicable, the party preparing plans, specifications,
contractual documents, materials for public communication or education will provide them to the
other party for recordkeeping and other necessary purposes.
6.4 DATA P�cT�cEs. All data created, collected, received, maintained or disseminated for
any purpose in the course of this agreement is governed by the Minnesota Government Data
Practices Act, Minnesota Statutes chapter 13, and any state rules adopted to implement the act, as
well as federal regulations on data privacy
6.5 ENTIRE AGREEMENT. This agreement, as it may be amended in writing, contains the
complete and entire agreement between the parties relating to the subject matter hereof, and
supersedes all prior negotiations, agreements, representations and understandings, if any,
between the parties respecting such matters. The recitals stated at the outset are incorporated
into and made a part of the agreement.
