PowerPoint Presentation from Oak Leaf Enei•gy Partners COMMUNITY SOLAR GARDEN SUBSCRIPTION AGREENIENT This Coinmunity Solar Gai�den Subscription Agreeinent ("Agi•eement" or "Conh�act") is made and entered into by and between Oak Leaf Energy Partners, LLC ("Operator"), and tlle City of Chanhassen, ("Subscriber"), a Minnesota Municipal Cor�oration, jointly refen�ed to as the "Parties." Recitals WHEREAS, Operator intends to construct, install, own, operate, and maintain a solar photovoltaic System land owned by Metr•opolitan Council in Shakopee, MN; WHEREAS, the Parties intend that, pursuant to the Tariff and the Power Purchase Agreement "PPA", the System will qualify as Cominunity Solar Garden(s) and will generate Bill Credits to be applied to Subscriber's monthly invoices fi•om Northern States Power for retail electric service for Subscriber Meters; WHEREAS, Subscriber is willing to purchase, oi• pay to be allocated, Subscriber's Allocated Percentage as described in Exhibit C of the Delivered Energy to be generated by the System commencing on the Commercial Operation Date and continuing through the Teim, and Operator is willing to sell, or cause to be allocated, Subscriber's Allocated Percentage of the Delivered Enei-gy to be generated by the System to Subscriber commencing on the Commercial Operation Date and continuing tlu•ough the Teim, as provided under the ter7ns of this A�•eement; NOW THEREFORE, in consideration of the foregoing recitals, mutual proinises set foi�th below, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Par�ties hereby agree as follows: 1. DEFINITIONS. 1.l Definitions. Capitalized tel�ns are defined as follows: "Affiliate" means, with respect to any specified Person; any other Person directly or indirectly coiltrolling, controlled by or under coimnon control with such specified Person. "A�•eement" means the Commuiuty Solar Garden Subscription Agreeinent wluch consists of this agreement and all exhibits. "Applicable Law" means, with respect to any Person, any constitutional provision, law, statute, rule, regulation, ordiilance, treaty, order, decree, judginent, decision, certificate, holding, injunction, registration, pennit, authorization, guideline, Goveinmental Approval, consent or requirement of any Govermnental Authority having jui•isdiction over such Person or its property, Error!Unknown document propern°nnme. enforceable at law or in equity, ulcluding the inteipretation and administration thereof by such Govei-�lmental Authority. `Bankruptcy Event" means with respect to a Party, that either: (i) such Party has (A) applied foi• or consented to the appointment of, or the taking of possession by, a receiver, custodian, trustee or liquidator of itself or of all or a substantial part of its property; (B) admitted in writing its inability, or be generally unable, to pay its debts as such debts become due; (C)made a general assigninent for the benefit of its creditors; (D) coinmenced a voluntary case under any bankruptcy law; (E) filed a petition seeking to take advantage of any other law relating to bankruptcy, insolvency, reorganization, winding up, or coinposition or readjustment of debts; (F) failed to conti-overt in a timely and appropriate maiuler, or acquiesced in writing to, any petition filed against such Party in an involuntary case under any bankruptcy law; or (G) taken any corporate or other• action for the puipose of effecting any of the foregoing; or(ii)a proceeding or case has been cominenced without the application or consent of such Party in any court of competent jurisdiction seeking (A) its liquidation,reorganization, dissolution or winding-up or the composition or readjusnnent of debts or, (B) the appointment of a t1-ustee, receiver, custodian, liquidator or the like of such Party under any bankruptcy law, and such proceeding or case has continued undefended, or any order, judginent or decree approving or or•dei-ing any of the foregoin� shall be entered and continue unstayed and in effect for a period of 60 days. `Bill Credit" ineans the monetaiy value of the electricity generated by the Solar Systein commensur•ate with Subscriber•'s Allocated Percentage, as calculated pursuant to the PPA and the Tariff, and credited to Subscriber by Northei-n States Power Company "NSP" on its monthly invoice foi•electric service for the Subscr7ber Meters in accordance with the PPA. "Bill Credit Rate" If Operatoi• transfers the solar RECs to NSP under the PPA, the Bill Credit Rates wi11 be the Ei�lianced Bill Credit in the PPA. If the Oper•ator does not tr•ansfer the Solar RECs to NSP, the Bill CI•edit Rate will be the Standard Bill Credit in the PPA "Billin�C�"means the monthly billing cycle established by NSP. 'I "Business Dav" means any day other than Saturday, Sunday, or a legal holiday. "Community Solar Gar•den" as defined in the Tariff. "Construction Commencement" ineans the date on which the Operator issues a notice to proceed or a limited notice to proceed under the applicable construction contract for the System "Covenants, Conditions and Restrictions" or "CCR" means those i•equireinents or liinitations 1•elated to the Premises as may be set forth in a lease, if applicable, or by any association or other organization, having the authority to impose resn•ictions. "Delivei•ed Ener�y"means the amouiit of alternating current(AC)energy geilerated by the System as inverted to AC and delivered to NSP at the Production Meter(as defined in the PPA). "Eai�ly Termination Date" ineans any date the Agreement terininates other than for expiration of the Tei-�n. Page 2 "Effective Date" means the date on which the conditions to effectiveness of tlus Agreement in Section 16 are satisfied. `Bnviromnental Att1•ibutes"ineans, without limitation, carbon trading credits, Renewable Eriergy Credits or certificates, emissions reduction credits, emissions allowances, green tags, tradable renewable credits, or Green-e0O p1•oducts. "Estimated Remainin�Pa.�"means as of any date, the estimated remaining Payments to be made through the end of the Term, as reasonably deter7nined and supported by Operatoi-. "Expuation Date"means the date the Agreement terminates by 1•eason of expiration of the Term. ! "Financin�Party" or "Lender" means, as applicable (i) any Person (01• its agent) fi•om wholn Operator (or an Affiliate of Operatoi•) leases the Systein, or (ii) any Person (or its agent) who has made or will make a loan to or otherwise provide financing to Operator(or an Affiliate of Operator) with respect to the System. "Governmental Approval" means any approval, consent, franchise, permit, certificate, resolution, concession, liceiise, or authorization issued by or on behalf of any applicable Governmental Authority. "Govei�nental Authority" means any federal, state, regional, county, town, city, watershed district,park authol-ity, or mui�icipal govermnent, whether domestic or foreign, or any department, agency, bureau, or other administrative, i-egulatory or judicial body of any such governinent. "Installation Work"means the construction and installation of the System and the start-up,testing and acceptance (but not the operation and maintenance) thereof, all perfoi7ned by or for Operator at the Premises. "Interconnection A�•eement" means the Interconnection Agreement entered into or to be entered into between Operator and NSP as required by the PPA. "Losses"means alllosses, liabilities, claims, demands, suits, causes of action,judgments, awards, dainages, cleanup and remedial obligations, interest, fines, fees, penalties, costs and expenses (including all attorneys' fees and other costs and expenses incurred in defending any such claiins or other matters or in asserting oi• enforcing any indeinnity obligation). "Metropolitan Council" means the Metropolitan Council, a public corporation and political subdivision of the State of Minnesota. "NSP" ineans Northern States Power Company, a Minnesota Corporation and any successor thereto and Xcel Energy Inc., to the extent it has control over NSP's business. "Person" means an individual, par•tneiship, coiporation, limited liability company, business trust, joint stock coinpany, h-ust, unincorporated association, joint venture, firm, or other entity, or a Goveriunental Authority. Page 3 "PPA" means the Standard Cont1•act for Sola1•�Rewards Community to be entered into by and between Operator and NSP whereby NSP agrees to pui-chase all of the energy produced by the photovoltaic Solar System and to pay for such energy by providing Bill Credits to Subscriber(and �I othei•Subscribers). A copy of the PPA will be attached to this Agreement as Exhibit G. i "PUC"ineans the Minnesota Public Utilities Cominission "Solar Incentives" means any accelerated depreciation, installation or production-based inceritives, investment tax credits and subsidies and all other solar or renewable energy subsidies and incentives. "Subscriber's Allocated Percenta�e" means Subscriber's allocated portion, stated as a percentage, of the Delivered Energy in a given month, as described in Exlubit C. "Subscriber Meters"means the meters associated with specific subscriber NSP accounts/premises listed in Exhibit I as updated fi•om time to time by the Parties. "Stated Rate" means a rate per annunl equal to the lesser of(a) the "prime rate" (as reported in The Wall Street Joui-nal)plus one and one-half percent (1.5%)or(b)the maximuin rate allowed by Applicable Law. "Systein" or "Solar System" means the integrated assembly of photovoltaic panels, mounting assemblies, inverters, converters, meterulg, lighting fixtures, transfoi7ners, ballasts, discoiulects, combiners, switches, wuing devices and wiring, more specifically described in Exhibit C. "System Operations" means Operator's operation, inaintenance and repair of the System performed in accoi-dance with the i-equirements of this Agreement. "Tariff' means the Solar*Rewards Community Program tariff in NSP's rate book. 2. TERM AND TERMINATION. 2.1 Terin. The tenn of the Agreement begins on the Effective Date and continues for 25 years from the Cominercial Operation Date (or such other time period as specified in writing by the Parties) (the "Term"), unless ter7ninated earlier under the provisions of this Agreeinent. Without limiting either Party's terrnination rights elsewhere in this Agreement, tlus Agreement will tei7ninate if(i) Subscriber has moved out of or relocated fi•om the county in which the Solar System is located or a contiguous county or relocated from the NSP seivice tei�itory, and has not, within 90 days after such move or relocation, assigned this Agreement in accordance with the provisions of Section 12.3, or (ii) the PPA is otherwise tez-minated. 2.2 Operator Conditions of the AQreement Prior to Installatioiz. If any of the following events or circuinstances occur before Construction Cominenceinent, defined as the date on wluch the Operator issues a notice to proceed or a limited notice to proceed under the applicable consti-uction contract for the System, the Operator may terminate the Agreement, in which case Page 4 neither Party will have any liability to the other except for any such liabilities fllat may have accr-ued before such tei�nination. (a) After the perfoi-�nance of due diligerlce using indust�•y standard inethods and techniques, if there are site conditions (including enviromnental conditions and ecological concerns such as presence of wildlife species) at the Preinises or construction requirements that could not have been reasonably known or discovered tlu•ough due diligence as of the date of this Agreelnent and that could reasonably be expected to inaterially increase the cost of Installation Work or would adversely affect the electricity production from the System as designed. � (b) After timely application to NSP and best effoi`ts to secure intercoimection seivices, �i Operator has not received evidence that intercomlection services will be available for the energy '� generated by the Solar System for less than $150,000 per MW, excluding costs of application for the Community Solar Gardens PPA. (c) Operator has detei7nined and did not previously know that, materially adverse to the use of the site, there are easeinents, Covenants, Conditions, and Restrictions, other liens or encumbrances, or other facts, circumstances or developmeilts that would materially impair or prevent, or have a inaterial adverse effect on, the installation, operation, inaintenance or reinoval of the System, excluding such easements, liens, encumbrances or other facts, circumstance or developments known to the Operator or that could have been known with reasonable industry due diligence by the Operatoi-prior to execution of the Agreement. (d) The City of Shakopee or other authority having jurisdiction denies Operator any pei�nit required to construct and operate the System or, iinposes costs greater than $100,000 per MW on the Operator that make consh-ucting the System uneconomical. (e) Subscriber's representation and warranty contained in Section 8.2(e) is no longer true and cor�•ect. (� There has been a inaterial adverse change in the (i) rights of Operator to constl•uct the Systein on the PrenZises, or (ii) financial prospects or viability of the Solar System, whether due to market conditions, cost of equipment or any other reason. 2.3 Subscriber Conditions of the A��eement Prior to I�istallation. If any of the followiug events or circumstances occur before Construction Coinmencement, Subscriber may teiminate the Agreeinent, in which case neither Party shall have any liability to the other except for any such liabilities that may have accrued prior to such termination. (a) If NSP or another party with the authority to do so, disqualifies the Operator• of the facility from treatment as a Community Solar Garden under Minnesota Statutes or the Minnesota Public Utilities Commission order. (b) If the legislature, PUC, NSP, or any other entity 1•educes the Bill Credit Rate, or basis of escalation of that i-ate as of March 1, 2015; Page 5 Notwithstanding the foregoing,in the event Section 2.3(b) occurs, Operator has thirty(30) �� days to change the kWh Rate offered to Subscriber to account for any lost economics. Both Parties � agree to work in good faith to address Section 2.3(b) if it occurs. �,, 3. CONSTRUCTION, INSTALLATION AND TESTING OF SYSTEM. ���� 3.1 System Acceptance Testing_ (a) Operator must test the System in accordance with such methods, acts, guidelines, standards and criteria reasonably accepted or followed by photovoltaic solar system integrators in the United States and as otherwise required by the PPA and the NSP Tariff. (b) Commercial Operation occurs when the "Date of Commercial Operation" occurs under the PPA. At least a week before the date on which Commercial Operation occurs, Operator will send a written notice to Subscriber providing the date of Commel•cial Operation and the provided date will be the Commercial Operation Date for the pui�oses of this Agreement. Operator has the sole responsibility to notify NSP of this date and get any necessaiy approvals fi•om NSP. 4. SYSTEM OPERATIONS. 4.1 Operator as Owner and Operator. The System wi11 be owned by Operator oi• Operator's Financing Party and will be operated and maintained in accordance with the PPA and the NSP Tariff and, as necessar•y,maintained and repaired by Opei-ator at its sole cost and expense. 42 Meterin�. There will be two inetei•s installed and inaintained by NSP, which will measure the amount of electi-ical energy flowing to and fi•om the Premises as fui`ther described in the PPA. The Production Meter (as defined in the PPA) will record the asnount of Delivered Energy. Operator will make the raw meter data available to Subscribei•upon Subscriber's request. 5. DELIVERY OF ENERGY. 5.1 Purchase Requirelnent Subscriber agrees to make pa}nnents calculated as Subsci•iber's Allocated Percentage multiplied by Delivered Energy generated by the System beginning on the Commercial Operation Date and continuing for each relevant month of the Tei7n. If there is a difference between the Bill Credit by NSP to the Subscriber on the Subscriber Meter bills, and the Delivered Energy, for any reason not the fault of the Subscriber, the Subscriber's payments will be based on the number of kWhs credited by NSP on the Subscriber Meter bills. 5.2 Estimated Armual Delivered Energy. The total aimual estimate of Delivered Energy for any given year is the "Estimated Annual Delivered Energy." The Estimated Aimual Delivered Energy and the estimated amount of electricity to be allocated to Subscriber for each year of the Tei7n stai-ting on the Commercial Operation Date in Exhibit H. The estimated ainount of electricity allocated to Subscriber is Subscriber's Allocated Percentage of the Estimated Annual Delivered Energy. 5.3 Enviromnental Attributes and Solar Incentives. Page 6 (a) Subscriber's purchase does not include Envir•onmental Attributes or Solar Incentives; (b) Subscriber disclaims any right to Solar Incentives or Enviromnental Attributes based upon the installation of the System, and to avoid any conflicts with fai�•trade rules regarding claims of solar or renewable energy use and to help ensure that Envirorunental Attributes will be certified by Green-e RO or a similar organization Subscribei- will, at the request of Operator, execute documents or ag�-eements reasonably necessary to fulfill the intent of this Section; (c) Subscriber and Operator will consult with each othei• about press releases or public colninunications to help ensure that the Operator's rights to claim Envuomnental Att�7butes are not compromised while allowing both Pai�ties to claim as much publicity as possible without compromising Operator's rights; and (d) Without limiting the foregoing, Subscriber agrees that NSP will acquire from Operator �'� under the PPA all enei•gy generated by the Solar System and all Renewable Energy CI•edits (as �I defined in the PPA) associated with the Solar Systeln. Operator•and Subscriber agree not to make any statement contraiy to NSP's ownership. 5.4 Title to S, s�. Throughout the Term, Operator or Operator•'s Financing Party is the legal and beneficial owner of the System at all times, and the System will reinain the personal property of Operator or Operator's Financing Party. 5.5 Obligations of Parties. The Parties will woi-k cooperatively and in good faith to meet all Community Solar Garden prograin requireinents under Applicable Law, the PPA and the Tariff, including applicable interconnection and metering requireinents. The Parties agree that beginning on the Commercial Operation Date (a) Operator will transinit all of the Deliver•ed Energy into the NSP system for the benefit of Subscriber, and(b) Subscriber(or its designee) shall be entitled to any and all Bill Credits issued by NSP resulting from such h•ansmission and corresponding with Subscriber's Allocated Percentage. 6. PRICE AND PAYMENT. 6.1 Consideration. Subscriber shall pay to Operatol•a monthly payment"Payment"for Subsci�iber's Allocated Percentage of Delivered Energy beginning on the Commercial Operation Date and continuing through the Term of this Agreeinent. The Subscriber will pay a pz•ice of $0.0947 per Kilowatt Hour the"kWh Rate") for its Allocated Percentage of the Delivered Energy up to but limited to the amount of kWh's for which the Subscriber receives Bill Credits. The kWh Rate shall not change if the value of the Environmental Att�•ibutes change foi-the Operator. 6.1.1 Rate Adjustment for sole source competiveness: If, prior to July 31, 2015, the Subscriber receives a proposal, that it believes to be responsive and responsible and has a high likelihood of successful completion (the "Alternative Proposal"), to enter into a subscription agi•eement at another Community Solar Garden for a lower kWh Rate that substantially meets all of the following ci-iteria, as are material to the price offered: (a) On land hosted by the Metropolitan Council; Page 7 (b) 100% of flle subscribers to that garden will sign a subscription agreeinent with the same kWh Rate contracted for by Subscriber for the entire 25 year subsci-iption tenn; (c) 100% of the subscribers to that garden ase govel•nment entities as defined in Metropolitan Council's Policy and Procedm•e related to who can subscribe to community solar gardens on Council land; and (d) The other cominunity solar garden must agree to post at least a $125,000 completion bond or parent guaranty for each 1MW AC solar garden (or pi-o 1•ata por�tion thereo�. (e) The other community solar garden subscription agreement will have substantially the same provisions listed in Section 22 and 2.3 of this Agreeinent or in the Agreement included with the RFP by the Council dated February 19, 2015 Then by July 31, 2015, Subscriber will provide Operator with the kWh price. The kWh Rate under this Agreement shall be deemed to be ainended to match such Alternative Proposal's equivalent price stat�ting June l, 2015 and for the remainder of the duration of this Agreement. If Subscriber i•eceives an Alternative Proposal that meets conditions (a)—(e), that includes an escalating price per kWh, the Subscriber will detel�nine an equivalent fixed price per kWh present value, using a discount of 4%, to determine if the price is lower than $0.0947/kWh. If the other contract's equivalent price in present value is lower than the $0.0947/kWh then the kWh Rate under this Agreement shall be deemed to be ainended to match such Alternative Proposal's equivalent price starting August 1, 2015. If the Alternative Proposal does not sign a Subscription Agreement with Subscriber by December 31, 2015 or if the Alternative Proposal does not achieve Commercial Operation by August 31, 2016 then the kWh Rate will revert to $.0947/kWh starting January 1, 2016. 6.1.2 Rate Adjustment to assure most favoi-ed Subscriptioil: If Operator executes a subscription a��eement with a lower kWh rate on a pr-esent value basis (determined using a 4% discount rate) to any other Subscribers at the gardens covered under the lease associated with this Agreeinent, at the Blue Lake Wastewater Plant,then Operator shall reduce Subscriber's kWh Rate to match that offer. If Operator offers any other consideratioil or quid pro quo (besides a lower kWh price) to another subscriber that subscribes to the System, Operator will iimnediately disclose that to Subscriber and inust provide equal present value to Subscriber in a inanner satisfactory to Subscriber. 6.2 Invoices. Operatol•sha11 invoice Subscriber within 30 days of the last Business Day of each calendar inonth (each such date on which an invoice is issued by Operator to Subscriber, an ("Invoice Date") for the Payinent i��respect of Subscriber's Allocated Percentage of Delivered Energy dui-ing the immediately preceding calendar inonth. Subscribei•'s first invoice under this Agreement shall be for the first full calendar inonth afte2•the Commercial Operation Date. For the avoidance of doubt, Subscriber shall(i)neither i-eceive nor be entitled to any Bill Credits associated with Delivered Energy prior to the Commercial Operation Date, and (ii) have no obligation to inake or any liability for Payments for Delivered Energy prior to the Cominercial Operation Date. Page 8 If the first monfll of commercial operation is less than a full calendar month, tlie Operator will bill Subscriber for any Delivered Enez-gy on the invoice for the fust full calendar month of operation. 6.3 Time of Payinent. Subscriber will pay all undisputed amounts due hereunder within 45 days of the Invoice Date. 6.4 Method of Payment. Subscriber will inake all payinents under the Agreement by electronic funds h�ansfer in iimnediately available funds to the account designated by Operator from time to tiine. If Subscriber does not have electronic funds transfer capability,the Parties shall agree to an altei-�lative inethod of payment. All payinents that are not paid when due shall bear interest accititing froin the date becoming past due until paid in full at a rate equal to the Stated Rate. Except for billing ei7ors or as provided in Section 6.5 below, all payments inade hereunder shall be non-refundable,be made free and clear of any tax,levy,assessment,duties or other charges , and not subject to reduction, withholding, set-off, or adjustment of any kind. 6.5 Disputed Pa.�. If a bona fide dispute arises with respect to any invoice, Subscriber shall not be deeined in default under the Agi-eement and the Pai�ties shall not suspend the perfoi7nance of their respective obligations hereunder, including payment of undisputed amounts owed hereunder. If an amount disputed by Subscriber is subsequently deemed to have been due pursuant to the applicable invoice,ulterest shall accrue at the Stated Rate on such amount from the date becoming past due under such invoice until the date paid. 6.6 Billin�Adjustinents Following NSP Billing Adjushnents. If, as a result of a NSP billing adjustinent, the quantity of Delivered Energy is decreased the "Electricity Deficiency Quantity" and NSP reduces the amount of Bill Credits allocated to Subscriber for such period, Operator will reimburse Subscriber for the amount paid by Subscriber in consideration for flie Electricity Deficiency Quantity. If as a result of such adjustment the quantity of Delivered Energy allocated to Subsci-ibei• is increased the "Electricity Surplus Quantity" asld NSP increases the ainount of Bill Credits allocated to Subscriber for such period, Subsci7ber will pay for the Electricity Surplus Quantity at the kWh Rate applicable during such period. 7. GENERAL COVENANTS. 7.1 Operator's Covenants. Operatoi- covenants and agrees to the following: (a) Notice of Dama�e or Einergency. Operator will within 3 business days notify Subscriber if it becomes aware of any significant damage to or loss of the use of the System or that could reasonably be expected to adversely affect the System. (b) System Condition. Operator shall inake commercially reasonable efforts to ensure that the Systeii�is capable of operating at a coinmercially reasonable continuous rate. (c) Govei�nental Approvals. While providing the I�lstallation Work and System Operations, Opei•ator shall obtain and maintain and secure all Govei�nental Approvals required to be obtained and maintained and secured by Operator and to enable Operator to perfonn such obligations. Page 9 (d) Interconnection Fees. Operator is responsible for all costs, fees, charges and obligations required to connect the Systeln to the NSP disti-ibution systein, including fees associated with systein upgrades,pr•oduction, and operation and maintenance carrying charges, as provided in the Interconnection Agreement "Interconnection Obligations". In no event shall Subscriber be responsible for any Interconnection Obligations. (e) Compliance with PPA,Tariff and Interconnection A�reement. Operator shall cause the System to be designed, installed and operated in compliance with the PPA, the Tariff and the Interconnection Agreement. , (� The PPA requires that Operator (as opposed to NSP) is responsible for answering � all questions fi•om Subscriber regarding its participation in the Solar System. Operator is solely responsible for resolving disputes with NSP or Subsci•iber t•egarding the accuracy of Subscriber's Allocated Percentage and the Delivered Energy allocated to Subscriber in coimection therewith. Notwithstanding the foregoing, Subscriber acknowledges that NSP is responsible for resolving disputes with Subscriber regarding the applicable rate used to detennine the Bill Credit. 7.2 Subscriber's Covenants. Subscribei• covenants and agrees as follows: (a) Consents and A�provals. Subscriber will ensure that any authorizations required of Subscriber under this Agreement are provided in a timely maniler. To the exterit that only Subscriber is authorized to request, obtain or issue any necessaiy approvals, pei7nits, i•ebates or other financial incentives, Subscriber will cooper•ate with Operatol• to obtain such approvals, pei7nits, rebates or other financial incentives. (b) Subsci-iber Agency and Carlsent Foi�n. On the Effective Date, Subscribei- will execute aizd deliver to Operator a Subscriber Agency Agreeinent and Consent Form in the foi7n attached hereto as Exhibit A. Subscriber acknowledges that such agreement is required of Subscriber pursuant to the PPA. 8. REPRESENTATIONS &WARRANTIES. 8.1 Representations and Warranties Relatin�to A�reement Validity. In addition to any other representations and wan-anties contained in the A�•eement, each Party represents and wa1�•ants to the other as of the date of this A��eement and on the Effective Date that: (a) it is duly organized and validly existing and in good standing in the jurisdiction of its organization; (b) it has the full right and authority to enter into, eXecute, deliver, asld perform its obligations under the Agreement; (c) it has taken a11 r•equisite corporate or other action to approve the execution,delivery, and perfoi7nance of the Agreement; (d) the Agreeinent constitutes its legal, valid and binding obligation enforceable against such Party in accordance with its tei-�ns, except as may be limited by applicable bankruptcy, Page 10 insolvency, reorganization, moratorium, and other similar laws now or hereaftei-in effect relating to creditors' rights generally; (e) there is no litigation, action, proceeding or investigation pending or, to the best of its knowledge, threatened before any court or other Goveriunental Authority by, against, affecting or involving any of its business or assets that could reasoilably be expected to adversely affect its ability to ca1-ry out the transactions contemplated herein; and (� its execution and perfoi�nance of the Agreement and the transactiorls contemplated hereby do not constitute a breach of any term or provision of, or a default undei•, (i) any contract or agreement to which it or any of its Affiliates is a party or by which it or any of its Affiliates or �, its or their property is bound, (ii) its organizational documents, or(iii) any Applicable Laws. � 8.2 Specific Repi-esentations and Wan•anties of Subscriber. Subscriber represents and wan•ants to Operator as of the date of this Agreelnent and on the Effective Date that: (a) Subscriber•is the sole party in intel•est agreeing to pui•chase Subscr•iber's Allocated Percentage and is acquiring Subscriber's Allocated Percentage for its own account, and not with a view to the resale or other distribution thereof, in whole or in par�t, and agrees that it will not transfer, sell or otherwise dispose of Subscriber's A1located Percentage in any manner in violation of applicable securities laws; (b) Subscriber is not relying on (i) Operator, or (ii) other subsci•ibers, oi• any of the employees, members of boards of duectors (or equivalent body) or officers, of those parties, or this Agreeinent with respect to tax and other econoinic considerations involved in the Agreement (c) Subscriber's Allocated Percentage, combined with any other distributed resources serving the Subscriber Meters,represents no more than 120 percent of Subscriber's average aiulual consumption at the Subscriber Metei•s over the last twenty-four(24)inonths; and (d) Subscriber is a retail electric service customer of NSP and the Subscriber• Metei-s are within the same county or contiguous county as the Solar System; and (e) Subscriber is not exempt fioin the Solar Ener�y Standard under Minnesota Statutes § 216B.1691, subd. 2(�d. 8.3 Exclusion of Wai-�•anties. EXCEPT AS EXPRESSLY PROVIDED IN SECTIONS 3.1, 4.1, 7.1, THIS SECTION 8, AND THE LAND LEASE AGREEMENT BETWEEN OPERATOR AND SUBSCRIBER, THE INSTALLATION WORK, SYSTEM OPERATIONS AND PERFORMANCE PROVIDED BY OPERATOR TO SUBSCRIBER UNDER THIS AGREEMENT SHALL BE"AS-IS WHERE-IS." NO OTHER WARR.ANTY TO SUBSCRIBER OR ANY OTHER PERSON, WHETHER EXPRESS, IMPLIED OR STATUTORY, IS MADE AS TO THE INSTALLATION, DESIGN, DESCRIPTION, QUALITY, MERCHANTABILITY, COMPLETENESS, USEFUL LIFE, FUTURE ECONOMIC VIABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE OF THE SYSTEM OR ANY OTHER SERVICE PROVIDED HEREUNDER OR DESCRIBED HEREIN, OR AS TO ANY OTHER MATTER, ALL OF WHICH ARE EXPRESSLY DISCLAIMED BY OPERATOR. Page 11 9. TAXES AND GOVERNMENTAL FEES. Operator is 1•esponsible for all incoine, gross receipts, ad valorem,personal property or real property or other siinilar taxes and any and all fi•anchise fees or sunilar fees assessed against it due to its ownership of the System. Operator is not obligated for any taxes payable by or assessed against Subscriber based on or related to Subscribei•'s overall inconle or revenues. 10. FORCE MAJEURE. 10.1 Definition. "Force Majeure Event" means any act or event that prevents the affected Party from performing its obligations in accordance with the Agreement, if such act or '�, event is beyoizd the reasoi�able control, and not the result of fl1e fault or negligence, of the affected ��� Pat�ty and such Party had been unable to overcoine such act or• event with the exercise of due diligence (including the expenditure of reasonable sums). Subject to the foregoing conditions, "Force Majeure Event" shall include the following acts or events: (i) natural phenomena, such as stoims, hun•icanes, floods, lightning, volcanic eruptions and earthquakes; (ii) explosions or fires arising froln lightni�ig or other causes unrelated to the acts or omissions of tlie Pai�ty seeking to be excused from perfoi�nance; (iii) acts of war oi• public disorders, civil disturbances, riots, insui�ection, sabotage, epidemic, terrorist acts, or rebellioii; (iv) strikes or labor disputes (except strikes or labor disputes caused solely by employees of Operator or as a result of such Party's failure to comply with a collective bargaining a�-eement); (v)action or inaction by a Governmental Authoi-ity (unless Subscriber is a Governmental Authority and Subscl•iber is the Pai�ty whose perfol7nance is affected by such action noi-inaction); and (vi) any event of force lnaj eure under the PPA. A Force Majeure Event shall not be based on the economic hardship of either Party. 10.2 Excused Perfoimance. Except as otherwise specifically provided in the Agreement, neithei-Party shall be considered in breach of the Agreement or liable for any delay or failure to coinply with the Agreement (other than the failure to pay amounts due hereunder), if and to the extent that such delay or• failur•e is attributable to the occurrence of a Force Majeure Event; pr•ovided that the Party claiming relief under this Section 10 sha11 immediately(i) notify the other Party in wi•iting of the existence of the Force Majeure Event, (ii) exercise all reasonable effoi�ts necessary to ininimize delay caused by such Force Majeure Event, (iii) notify the other Pai-ty in writing of the cessation or tei7nination of said Force Majeure Event and (iv) resuine performance of its obligations hereunder as soon as practicable thereafter; provided, however, that Subscriber shall not be excused from making any payments and paying any unpaid amounts due in respect of Subscriber's Allocated Percentage of Delivered Energy prior to any perfonnance interruption due to a Force Majeui•e Event. 10.3 TeiYnination for Force Majeure. Either Pa�-ty inay terminate this Agreernent upon 15 days wi-itten notice to the other Party if any Force Majeure Event affecting such other Party has been in existence for a period of 180 consecutive days or longer,unless such Force Majeure Event expu•ed before the end of the 15 day notice period. If Operator terminates due to a Force Majeure Event, Operator is responsible for reinoving the System and restoring the Premises to its pre- installation condition witlun 180 days after flle date of tel�nination. 11. DEFAULT. 11.1 Ot�erator Defaults and Subscriber Remedies. Page 12 (a) Operator Defaults. The following events ai-e defaults with respect to Operator ��, "Operator Default": (i) A Bankruptcy Event occurs with respect to Operator; (ii) Operator fails to pay Subscriber any undisputed amount owed under the Agreement within 30 days from receipt of notice froin Subscriber of such past due amount; (iii) Operator breaches any material ternl of the Agreeinent or of the Land Lease Agreement between Operator and Subscriber (attached as Exhibit E and (A) if such breach can be cured witlun 30 days after Subscriber's written notice of such breach and Operator fails to so cure, or (B) Operator fails to commence aiid pursue a cure within such 30 day period if a longer cure period is needed; and (iv) The PPA is tei7ninated for any reason. (v) Operator fails to p1•oduce at least 85% of the electric production estimated for a year, when the solar ir�•adiance available to the site is at least 90% as predicted by System Advisor Model (SAM) or National Renewable Energy Laboi-atoiy (NREL) and Operator does not cui-e within the allotted cure period. In the event of a Section 11.1(a)(v) default, Operator may cure fl1e default by compensating Subscribei• for Lost Savings, as defined herein, within 60 days after Subscriber's written notice of such breach. Lost Savings shall equal Guaranteed Production less the product of the Subscriber•'s Allocated Percentage and the Delivered Energy multiplied by the difference in the kWl1 Rate and the Bill Credit Rate for that year. Guaraslteed Production shall equal the product of Estimated Energy Allocated to Subscriber for that year as shown in Exhibit D and 85 percent. (Guaranteed Production— (Subscriber's Allocated Percentage X Delivered Energy)) X (Bill Credit Rate—kWh Rate) (b) Subscriber's Remedies. If an Operator Default described in Section 11.1(a) has occun�ed and is continuing, in addition to other remedies expi-essly provided hei•ein, and subject to Section 12, Subscriber may tenninate the Agreement and exercise any other remedy it may have at law or equity or under the Agreement. In the event of such termination, Subscribei- shall use reasonable efforts to initigate its damages. 11.2 Subscriber Defaults and Operator's Remedies. (a) Subscriber Default. The following events shall be defaults with respect to Subscriber (each, a "Subscriber Default"): (i) A Bankruptcy Event occurs with respect to Subscriber; (ii) Subscriber fails to pay Operator any undisputed ainount due Operator under the Agreeinent within 30 days fi-om receipt of notice fi•om Operator of such past due amount; and Page 13 (iii) Subscriber breaches any inaterial term of this Agreement or the Land Lease Agreement (attached as Exhibit E) and (A) if such breach can be cu1•ed within 30 days after Operator's written notice of such breach and Subscriber fails to so cure, or (B) Subscriber fails to commence and pursue said cure within such 30 day period if a longer cure period is needed. (b) Operator's Remedies. If a Subscriber Default described in Section 11.2(a) has occui7ed and is continuing, in addition to other reinedies expressly provided herein Operator may terininate this Agreement, sell Subscriber's Allocated Percentage to one or more persons other than Subscriber, and Operator may exercise any other remedy it inay have at law or equity or under the Agr�eement. In the event of such tel7nination, Operator shall use reasonable efforts to initigate its dainages. 12. ASSIGNMENT. 12.1 Assi�ninent by Operator. Operator may not assign this Agreement without the prior written consent of Subscriber, except as part of a Pel7nitted Assignment as defined in Section 12.1.A. Operator shall p1•ovide Subscriber with such information concerning the proposed transferee (including any person or entity liable for the perfoimance of the tei�ns and conditions of this Agreeinent) as inay be reasonably required to ascertain whether the conditions upon Subscriber's approval to such proposed assignment have been met. (a) Pel�nitted Assignment. Operator may, without the consent of Subscriber, (1) transfer, pledge or assign all or substantially al1 of its rights and obligations hereunder as security for any financing and/or sale-leaseback transaction or to an affiliated special puipose entity created for the financing or tax credit puiposes related to Systein, (2) transfer or assign this Agreeinent to any person or entity succeeding to all or substantially all of the assets of Operator; provided, however, that any such assignee shall agree to be bound by the ter7ns and conditions hereof, (3) assign this Agreement to one or more affiliates; provided, however, that any such assignee shall agree to be bound by the ter-ms and conditions hereof or (4) assign its rights under this Agreement to a successor entity in a merger or acquisition ti-ansaction; provided, however, that any such assignee shall agree to be bound by the terms and conditions hereo£ Subscriber agrees to provide acknowledgments, consents or certifications reasonably requested by any Lender in conjunction with any financing. Lender means, as applicable(i) any Person(or its agent) from whom Operator � (or an Affiliate of Operator) leases the System, or (ii) any Pes•son (or its agent) who has made oz• �� wi11 make a loan to or otherwise provide financing to Operator (or an Affiliate of Opei•ator) with I respect to the System. (b) In the event of a Per7nitted Assignment by Operatar• of its interest in tlus Agreement to a person who has assumed, in writing, all of Operator's obligations under this Agreeii�ent, Operator, without the necessity of any further document signed or actions taken by any party, shall be released from any and all further obligations hereunder, and Subscriber agrees to look solely to such successor-in-intei•est of the Operator for perfoi7nance of such obligations. Notwithstanding the foregoing, Operator inust present to Subscriber audited financial statements. showing that the assignee has equal or greater unencumbered financial i-esources than Operator prior to the Pei7nitted Assignment. Page 14 Any Financing Party is an intended third-pai-ty beneficiary of this Section 12.2. 12.3 Assi�nment by Subscriber. (a) Subscl•iber will not assign this Agreement or any interest herein, without the prior written colisent of Operator; provided however that Operator shall not unreasonably withhold, condition or delay its consent; and provided, further, that Operator's consent shall not be required to the assigmnent by Subscriber to another govermnental entity in the event the state of Minnesota 1•eassigns 1•esponsibility to such other governinental entity for providing the services currently undei�taken by Subscriber at the facilities associated with the Subscriber•Meters. (b) Subscribet• does not need Operatol•'s consent to change the Subsci•iber Meters for the �� same ainount of subscription as long as all the Subscriber Meters are owned by the Subscl�iber, � sei•ved by NSP either within Scott County, MN or a contiguous county and qualify undei•NSP's Community Solar Garden prog7�am. For such changes, Subscriber will iiotify Operator in writing and Operator will infoi7n NSP of the change as soon as practicable. (c) Subscriber's i•equest for Operator's consent to any proposed change or assignment as contemplated in Section 12.3(a) must be in writing and provided to Opei-atoi- at least 30 days before the proposed effective date of such change or assignment, which request must include: (i) Subsci•iber's name and inailing addi-ess; (ii) the current Subscriber Meter(s); (iii) the assignee's meters; (iv) the naine of the individual or entity to whoin Subscriber is requesting to assign this Agreeinent(if applicable) and the consideration(if any)proposed to be provided to Subscriber•for such assigmnent; and (v) the proposed effective date of such p1•oposed change or assigmnent. In the case of any assigmnent of this Agreement in whole or i�l part to another individual or entity, (i) such assignee's meters shall be located within NSP's service territory and within the sarne county as the Solar System or a contiguous county, (ii) such assignee shall execute a new Minnesota Community Solar Prograin Subscription Agreement substantially in the saine for7n as this Agreement, specifically including the i-epresentations and wal7anties in Section 8.2; and (iii) the value of any consideration to be provided to Subscriber for assignment of this Agreement may not exceed the aggt�egate amount of Bill Credits that have accrued to Subscriber, but have not yet been applied to Subscriber's monthly invoice(s) from NSP. (d) Upon any assignment of this Agreement pu1•suant to this Section 12.3, Subscriber will surrendel� all right, title and interest in and to this Agreeinent. Any pui�oi�ted assigmnent in contravention of this Section 12.3 s11a11 be of no force and effect and null and void ab initio. No assigrunent will extend the Tenn of tlus Agreement. 13. NOTICES. 13.1 Notice Addresses. Unless otherwise provided in the Agreement, all notices and communications concerning the Agreement shall be in writing and addressed to the other Party(or Financing Party, as the case inay be) at the addresses below, or• at such other address as inay be designated in writing to the other Party from time to tiine. Unless otherwise provided herein, any notice provided for iil the Agreement shall be hand delivered, sent by registered or• certified U.S. Mail, postage pr�epaid, or by commercial overnight delivery service, or t�-ansmitted by facsimile and shall be deemed delivered to the addressee or its office when received at the address for notice specified above when hand delivei-ed, upon confirmation of sending when sent by facsimile (if sent du1-ing normal business hours or the next Business Day if sent at any other time), on the Business Day after being sent when sent by overnight delivery service, or 5 Business Days after deposit in the mail when sent by U.S. mail. 13.3 Address for Invoices. All invoices under the Agreeinent shall be sent to the address provided by Subscriber. Invoices shall be sent by regular first class inail postage prepaid. 14. DATA PRACTICES. 14.1 Data Practices. (a) Consistent with Minnesota Statutes, section 13.05, subdivision 6, if any data on individuals is made available to the Operator by the Subscriber under•this Contract, the Opei•ator wi11 administer and inaintain any such data in accordance with Mumesota Statutes, Chapter 13 (the "Minnesota Government Data Practices Act"), and any other statutory provisions applicable to the data. If and to the extent that Minnesota Statutes, section 13.05, subdivision 11, is applicable to this Contract, the11: i) all of the data created, collected, received, stored, used, maintained, or disseminated by the Operator in perfoi7ning this Contract are subject to the requirements of the Minnesota Govet�nent Data Practices Act; ii)the Opei-ator inust comply with those requirements as if it were a government entity; and iii) the remedies in Minnesota Statutes, section 13.08 apply to the Operator. (b) Consistent with Minnesota Statutes, section 13.055, if"private data on individuals," "confidential data on individuals" or other"not public data" are provided to or made accessible to the Opei-ator by the Subscriber�, the Operator must: i) have safeguards to ensure private or confidential data on individuals or other not public data are only accessible or viewable by Operator employees and agents whose work assignments in connection with the performance of this Contract reasonably require them to have access to the data; ii) iimnediately notify the Subscriber of any unauthorized access by Operator employees and agents, and unauthorized access Page 16 by third parties; iii) fully cooperate with S�ubscriber investigations into any breach in the security of private or confidential data on individuals or other ilot public data that may have occun•ed in connection with the Operator's access to or use of the data; and iv) fully cooperate with the Subscriber in fulfilling the notice and reporting requiremeiits of Minnesota Statutes, section 13.055. The penalties in Mumesota Statutes, section 13.09 goveining unauthorized acquisition of not public data apply to the Operator and Operator einployees and agents. If the Operator is permitted to use a subcontractor to perfonn Contract Work, the Operator shall incoiporate these data practices pi�ovisions into the subcontract. If the Operator receives a request to release data refel7-ed to in this section, the Operator must ��, iinmediately notify the Subscriber. The Subscriber will give fl1e Operator instructions concerning �� the release of the data to the requesting party before the data is released. 15. LIABILITY AND INSURANCE Without Subscriber waiving any statutory immunities and specifically subject to the liability limits contained i11 Minn. Stat. Chapter 466.04, each Party agrees that it will be responsible for its own acts and omissions and the i-esults thereof, to the extent authorized by the law, and shall not be responsible for the acts and omissions of another Party and the results thereof. Subscriber wan•ants that it has an insurance or self-insurance program with minimum coverage consistent with the liability limits in Minnesota Statutes Chapter 466. Operator agrees that the insurance, indernnificatioil, and bonding requirement of Ai-ticles 7 and 8 in the Land Lease shall also apply to this Subscription A�-eement. 16. CONDITION PRECEDENT TO EFFECTIVENESS OF AGREEMENT. Notwithstanding anythin�herein to the contrary, this Ag��eement shall not becoine effective if the Community Solar Garden pro�ram is discontinued, limited or materially adversely changed prior to Operatoi-executin�a PPA with NSP, so lon�as the O�erator has used its best efforts to secure the PPA u� to the point of pro��am change. Fui�thez7nore, this Agreement shall not become effective until NSP has si�ned a PPA with Operator. 17. MISCELLANEOUS. 17.1 Intepration; Exhibits. The Agreement, together with the Exhibits attached hereto, and the Land Lease Agreeii7ent between the pai�ties, constitute the entire agreement and understanding between Operator and Subscriber with i•espect to the subject inatter thereof and supersedes all prior agreements relating to the subj ect matter hereof. The Exhibits attached hereto are integral parts of the Agreement and are made a part of the Agreeinent by reference. 17.2 Amendments. Tlus Agreement may only be amended, modified or supplelnented by an instrument in writing executed by duly authorized representatives of Operator and Subscriber. To the extent any amendment changes Subscriber's Allocated Percentage, such an7endment shall include the representation by Subscriber set forth in Section 8.2(c). 17.3 Cumulative Reinedies. Except as set forth to the contrary herein, any right or remedy of Operator or Subscriber shall be cuinulative and without prejudice to any other right or remedy, whether contained herein or not. Page 17 17.4 Limited Effect of Waiver. The failure of Operator or Subscriber to enforce any of the provisions of flle Agreement, or the waiver thereof, shall not be construed as a geileral waiver �� or relinquishment on its part of any such provision, in any other instance or of any other provision �, in any instance. I 17.5 Suivival. The obligations under Section 8.3 (Exclusion of Warranties), Section 9 (Taxes and Governmental Fees), Section 13 (Notices), Section 14 (Data Practices), Section 15 (Liability and Insurance), Sectionl7 (Miscellaneous), or pursuant to other provisions of tlus Agreement that,by their sense and context, are intended to suivive tennination of this Agreement, shall survive the expiration or teimination of this Agreemeizt for any reason. 17.6 Governing Law. This Agreement shall be governed by and cosistrued in accordance with the laws of the State of Minnesota without reference to any choice of law principles. The Parties agree that the courts of Minnesota and the federal Courts sitting thel•ein shall have jurisdiction over any action or proceeding arising under the Agreement to the fullest extent pennitted by Applicable Law. 17.7 Sever•ability. If any teim, covenant or condition in the Agreement shall, to any extent, be invalid or unenforceable in any respect under Applicable Law, the remainder of the Agreement shall not be affected thei•eby, and each term, covenant or conditiari of the Agz•eement shall be valid and enforceable to the fullest extent pennitted by Applicable Law and,if appl•opriate, such invalid or unenforceable p1•ovision shall be modified or replaced to give effect to the underlying intent of the Parties and to the intended economic benefits of the Parties. 17.8 Relation of the Parties. The relationship between Operator and Subscriber shall not be that of partners, agents, or joint ventures for arle another, and nothing contained in the Agreement shall be deemed to constitute a partnership or agency agreement between them for any puiposes, including federal income tax purposes. Operator and Subscriber, in perfoi7ning any of their obligations hereunder, shall be independent contractors or independent pai�ies and shall discharge their contractual obligations at their own risk. 17.9 Successors and Assi�ns. This A�•eement and the rights and obligations under the Agreernent are binding upon and shall inure to the benefit of Opei-ator and Subscriber and their respective successors and pei7nitted assigns. 17.10 Counteipai�ts. This Agreeineilt inay be executed in one or more counterparts, all of which taken together shall constitute one and the same instl-ument 17.11 Access. Subscriber has access to the Solar System in accordance with the terms of the Land Lease Agreement. Subscriber will have no ownership, possession i�ight or control of the Solar Systein, and wi11 have no rights or obligations with respect to the maintenance or operation of the Solar System. Operator will have no ownel•ship,possession right, or control of the land other than the interest conveyed in the Land Lease Agreement. This Agreement does not convey to Subsci•iber a�1y right, title or interest in or to any portion of any property (tangible oi• intangible, real or personal)underlying or comprising any por�tion of the Solar System. Page 18 17.12 No Reliance. Subscriber is not relying on any repi•esentation, wari•anty or proinise with respect to the Solar*Rewards Community Solar Pro�-am or the Solar System made by or on behalf of NSP or Operator, except to the extent specifically stated in this Agreement. 17.13 Record-Keeping. Operator will maintain books, records, documents and other � evidence directly pertinent to performance of the work under this Agreeinent in accordance with � generally accepted accounting and utility metering principles and practices, including all inetei- �, production records and adjustments thereto. Operator will also maintain the financial information �'I and data used in preparation or suppoi� of the cost submission for any negotiated Contract ' amendment and provide electronic, printed or copied documentation to the Subscribei- as requested. These books,records, documents, and data must be retained far�at least 6 years after the teim of the Contract, eXcept in the event of litigatiori or settlement of claims arising from the performance of this Contract, in which case the Operator agrees to maintain them until the Subscl-iber and any of its duly authorized representatives have disposed of the litigation or claims. 17.14 Audit. As required by Minnesota Statutes, section 16C.05, subdivision 5,the records, books, documents, and accounting procedures and practices of the Operator and of any subcontractol• i-elating to work perfoi7ned pursuant to this Contract sha11 be subject to audit and examination by the Subscriber and the Legislative Auditor or State Auditor. The Operator and any subcontractor sha11 pel7nit the Subsci-iber or its desi�lee to inspect, copy, and audit its accounts, records, and business documents at any time during regular business hours, as they may relate to the perforrnance under•this Contract. Audits conducted by the Subscribei•under this provision shall be in accordance with generally accepted auditing standards. Financial adjustments i•esulting froin any audit by the Subscriber shall be paid in full within thirty(30) days of the Operator's receipt of audit. 17.15 Dispute Resolution. Claims by the Operator disputing the meaning and intent of this Agi•eement or arising fi•oln performance of this Agreement must be refeired in writing to the City Manager for a written decision within 60 days after the dispute arises. The City Managei7� must respond to the Operator in writing with a decision within 60 calendar days following receipt of the Operator's claiin. Submission of a dispute or claim to Dispute Resolution is a condition precedent to the Opei-ator initialing any litigation relating to this Agreement. Pending final decision of a dispute, the Parties will proceed diligently with the per•for�nance of the Agreement. Failure by the Operatoi• comply precisely with the time deadlines under this paragraph as to any claim shall operate as a release of that claim and a presumption of prejudice to the Subscriber. 18. LENDER PROVISIONS 18.1 Notice of Lender. Operator shall notify Subscriber of the identity of any Lender within thirty(30) days of such pai-ty becoming a Lender. 18.2 Lender Collateral Assi ni�nent. In the event that Operator identifies a Lender pursuant to Section 18.1, then Subscriber hereby: Page 19 (a) Acknowledges aild consents to the sale, assignment or conveyance oi-pledge or the collateral assignment by Operator to the Lender, of Opei-ator•'s right, title and interest in, to and under this Agreement, as consented to undei• Section 12.1 of this Agreeinent; (b) Acknowledges that any Lender as such collateral assignee shall be entitled to exercise any and all rights of lenders generally with respect to Operator's interests in this Agreement; (c) Acicnowledges that it has been advised that Operator has granted a security interest in the System to flle Lender and that the Lendez-has relied upon the characterization of the System as pei-sonal property, as ageed in this Agt•eement, in accepting such security intei•est as collateral for its financing of the Systein; and (d) Acknowledges that any Lender• shall be an intended third-party beneficiary of this � Article 182. ��� 18.3 Lender Cure Ri ng ts Upon System Owner Default. Upon any Event of Default by I Operatoi-, a copy of any notice delivered under Article 11 shall be delivered concur7ently by Subscriber to any Lender at the addresses provided in writing by Operator to Subscriber.Following receipt by any Lender of any notice that Operator is in default in its obligations under this Agi•eement, such Lender shall have the right but not the obligation to cure any such default, and Subscriber agrees to accept any cure tendered by the Lenders on behalf of Operator in accordance with the following: (a) a Lender shall have the same period after receipt of a notice of default to relnedy an Event of Default by Operator, or cause the same to be remedied, as is given to Operator after Operator's i-eceipt of a notice of default hereunder; provided, however, that any such cure periods sha11 be extended for the time reasonably required by the Lender to complete such cure, including the time required for the Lender to obtain possession of the System(including possession by a receiver), institute foreclosure proceedings or otherwise perfect its right to effect such cure; and (b) the Lender shall not be required to cure those Events of Default that are not reasonably susceptible of being cured or performed by Lender. The Lender shall have the absolute right to substitute itself or an affiliate for Operatoi• and perfoi7n the duties of Operator hereunder for puiposes of curing such Event of Default. Subscriber expressly consents to such substitution, and authorizes the Lender, its affiliates (or either• of their employees, agents, representatives or contractors) to enter upon the Premises to complete such perfoi7nance with a11 of the rights and privileges of Operator, but subject to the teims and conditions of this Agreement and the Lease. 18.4 Upon any rejection or other tei7nination of this Agreement pursuant to any process undertaken with respect to Operator under the United States Bankruptcy Code, at the request of the Lender made within ninety (90) days of such tei7nination or rejection, Subscriber shall enter into a new a�eement with the Lender or its assignee having the same terms and conditions as tllis Agreement and the Land Lease. 18.5 Except as otherwise set forth in this Section 18, the Parties' respective obligations will remain ii1 effect dui-ing any cure period. 18.6 If the Lender (including any purchaser or transferee), pursuant to an exercise of remedies by the Lender, shall acquire title to or control of Operator's assets and shall, withul the ti�ne periods described in Section 18.3 above, cure al1 defaults undei• this Page 20 Agreeinent existing as of the date of such change in title or control in the maiuler required by this Agreement and which are capable of cure by a third person or entity, then such person or entity shall no longer be in default under this A�•eement and this A��eement shall continue in full force and effect. 18.7 The Lender rights in this Agreement shall also apply to the Land Lease Agreeinent. This infoi7nation is needed to allow the Community Solar Garden Operatoi- detei7nine the extent to which the Subscriber is entitled to participate in the Community Solar Garden, and to validate the ainount of the Bill Credits to be provided by Northern States Power Company to the Subscriber. The cuiient data privacy policies of Northern States Power Company applicable to its So1ar*Rewards Colninunity Prograin provided to the Subscriber by the Coimnunity Solar Page 23 Garden Operator pursuant Section 3 above are attached as Exhibit 1 of this Solar*Rewards Community Subscriber Agency Agreement and Consent Form. These privacy policies include defitutions of "Subscriber's Account Information" and "Subscriber's Energy Usage Data." b. Subscriber's Subscription Infoimation: The Subsci-iber authorizes the Community Solar Garden Operator to provide infonnation to Northern States Power Company identifying the , Subscr7ber (with the Subscr•iber's name, service address, and account number) and detailing the I Subscriber's proportional share in kilowatts of the Cominunity Solar Garden and to provide additional updates of this infoi-�nation to Northern States Power Company as circumstances change. This infoi�nation is needed to a11ow Noi�thern States Power Company to properly apply Bill Credits for the photovoltaic energy generated by the Community Solar Gai-den.
