BACKGROUND In December of 2013, the city and the Blanskis settled on a property acquisition referred to as Parcel 4/Blanski. The final certificate as to Parcel 4/Blanski contained an incorrect legal description of the property acquired. This agreement will correct the legal description of the property acquired to accommodate the reconstruction of Highway 101 at that time. Additionally, to accommodate the construction of retaining walls and trails associated with the 2017 extension of the Highway 101 pedestrian trail, this approval acquires both a permanent and temporary easement for trail purposes, construction, and compensation to the Blanskis for tree loss. The recommended settlement amount of$25,920 is based upon the per square foot cost of adjoining land sales and includes compensation for lost trees and vegetation. DISCUSSION Both the Foxwood and Arbor Glenn residential subdivisions include agreements with developers to extend the Highway 101 pedestrian trail from the intersection of Lyman Boulevard to the Bandimere Park pedestrian underpass on the west side of Highway 101. The Agreement shall be effective when signed by all Parties. RECITALS WHEREAS,the Owners are the owners of property located at 9350 Great Plains Boulevard, Chanhassen, Minnesota—Carver County PID #25.0240811 (the"Property"). WHEREAS, the Property was subject to condemnation proceedings to acquire property for the City of Chanhassen—Highway 101 South Road Project. WHEREAS, the Parties settled the condemnation proceedings on December 6, 2013 by executing a Stipulation of Settlement as to Parcel 4/Blanski. WHEREAS, the Carver County District Court approved the Final Certificate as to Parcel 4/Blanski on December 17, 2013. WHEREAS,the Carver County Recorder/Register of Titles recorded the Final Certificate as to Parcel 4/Blanski as Document No. A 589569 on January 13, 2014. WHEREAS,the Final Certificate as To Parcel 4/Blanski contained an incorrect legal description of the property acquired. WHEREAS, the Parties seek to amend the Final Certificate as to Parcel 4/Blanski to correct the legal description of the property acquired in the condemnation proceedings as shown in Exhibit A. WHEREAS, the City seeks to acquire a permanent easement for public trail purposes over, across, on, under, and through the Property as described in Exhibit B. 1 190451v1 WHEREAS, construction of the public trail will require the City to excavate soil in the permanent easement area. WHEREAS, the Owners wish to have any topsoil that is excavated for construction of the public trail West of the wall deposited on their Property. WHEREAS, the City seeks to acquire a temporary easement for construction purposes over, across, on, under, and through the Property as described in Exhibit C. NOW, THEREFORE, it is mutually stipulated and agreed as follows: 1. Incorporation of Recitals. The above recitals are incorporated herein and become part of this Agreement. 2. Terms. a. The City agrees to make a one-time payment to the Owners in the amount of Twenty Five Thousand Nine Hundred and Twenty and No/One-Hundredths Dollars ($25,920.00)receipt of which is hereby acknowledged by the Owners representing compensation for the permanent easement for trail purposes described in Exhibit B and temporary easement for construction purposes described in Exhibit C. b. The Owners will execute the Grant of Permanent Easement for Public Trail Purposes which is attached as Exhibit B and Grant of Temporary Easement which is attached as Exhibit C. c. When constructing the public trail over across, on,under, and through the Property the contractor shall remove topsoil west of the wall in such a manner that it remains substantially uncontaminated by the underlying blue or grey clay. Owners and contractor shall agree on a location on Owners' Property to 2 190451v1 windrow or stockpile the topsoil. This topsoil shall only be used by the contractor to restore areas West of the wall, prior to sodding. Any remaining topsoil may be used by the Owner for lawn repair and gardening. Soil under the topsoil, removed to establish grade, may be used at the contractors' discretion. d. The Owners are responsible for obtaining any and all necessary grading permits. The Owners are responsible for complying with all laws and rules respecting storage and use of the topsoil. Neither the City nor its contractor will be responsible for removing any topsoil that is placed on the Property. Neither the City nor the contractor will be responsible for any damage caused by the topsoil being placed on the Property. e. The City will restore areas that are excavated to construct the public trail that are not paved with sod. f. If the Owners' water line which is located in the area excavated for public trail is damaged during excavation for the public trail it will be replaced at the City's expense. g. The Owners may salvage firewood from trees located in the easement area. The Owners shall complete all firewood salvage by April 1, 2017. The City shall not be responsible for any damage caused by Owners' salvage of firewood in the easement area. h. The Owners, through their attorneys, will execute the Stipulation to Amend Final Certificate as to Parcel 4Blanski which is attached as Exhibit B. 3 190451v1 3. Release. The Owners and their respective heirs, successors, assigns, agents, subrogees, insurers, parents, employees, representatives, officers, or directors hereby release and forever discharge the City and its past and present predecessors, successors, affiliates, subsidiaries, parents, insurers, officers, directors, employees, heirs, assigns, agents, and attorneys from any and all known and unknown claims, disputes, demands, debts, liabilities, obligations, contracts, agreements, causes of action, suits, damages, attorneys' fees, and/or costs, of whatever nature, character or description, which the Owners had, now have, or may have related to the Amended Final Certificate as to Parcel 4/Blanski, Grant of Permanent Easement for Public Trail Purposes, and Grant of Temporary Easement including but not limited to: (i) compensation, interest, appraisal fees, right of first refusal and any other claims the Owners may have under Minn. Stat. Ch. 117; (ii) costs and expenses; (iii) attorneys' fees; and (iv) damages for lost trees. 4. Entire Agreement. This Agreement constitutes the entire agreement between the Parties relating to the subject matter of this Agreement. 5. Waiver. The provisions of this Agreement may not be waived, modified, or amended except by written agreement of the Parties. 6. Savings Clause. If any court finds any portion of this Agreement to be contrary to law, invalid, or unenforceable, the remainder of the Agreement will remain in full force and effect. 7. Further Action. The Parties shall execute such further documents and take such further actions as reasonably may be required to effectuate the terms and intent of this Agreement. 4 190451v1 8. Governing Law. This Agreement shall be governed and interpreted in accordance with the laws of the State of Minnesota.All proceedings related to this Agreement shall be venued in Carver County,Minnesota District Court. 9. No Single Drafter. The Parties agree and acknowledge that no one party shall be determined to be the sole drafter of this Agreement and it is acknowledged that the Parties have had equal input in the drafting of this Agreement. 10. Counterparts. This Agreement may be executed in two or more counterparts, which when all parties have signed,shall be deemed to be one fully executed original.
