BACKGROUND On August 23, 2005, MnDOT paid the City $129,658.45 for land the City acquired for the improvements. On June 13,2005, the Council approved a resolution for TH 101 GAP Municipal Consent. On April 25, 2005, the Council held a public hearing for this project. On March 22, 2004, staff again updated the Council on the project and funding with cost splits at the work session. At the February 23,2004 work session, staff updated Council on the TH 101 Gap project. The update included the proposed preliminary alignment of the roadway and costs for the project. DISCUSSION The TH 101 Gap project is proposed to address system continuity and safety issues along TH 101 from Lake Drive to 86th Street. TH 101 currently has four lanes north of Lake Drive and will be constructed to four lanes south of 86th Street as part of the TH 212 realignment project. The segment ofTH 101 between Lake Drive and 86th Street, a distance of approximately 2,400 feet, currently has two lanes. The proposed improvements would reconstruct and urbanize TH 101 from south of Riley Creek to Lake Susan Drive and turn back this segment of roadway over to the City as a local road. The turned back street would be built to current city street standards.' No driveways would access off of realigned 101. Properties along Lake Susan would have local access provided off of Lake Susan Drive. Todd Gerhardt November 13, 2006 Page 2 101 will be widened to four lanes and improved with concrete curb and gutter to match the TH 101 street section currently being constructed in conjunction with the TH 212 project. Storm sewer ponds will be constructed for storm water rate and water quality requirements. A portion of Riley Creek within the construction limits of the new alignment for TH 101 was relocated in 2005 in order to make room for the roadway improvements. A pedestrian underpass is proposed at the current pedestrian crossing to improve safety. Lights will be installed the length of the underpass for safety. Pedestrian trails will be constructed on both sides of TH 101. Street lights for motorist and pedestrians are planned along the corridor at key locations such as intersections and the underpass entrances. A right-inlright-out access point is proposed at Mission Hills Lane. This access is proposed due to the current long dead-end street in this neighborhood. Currently, the Mission Hills area has over 255 units in this development with only one access point, 86th Street. Also, Mission Hills Lane is a 2,000' long dead-end roadway. The proposed access point has always been planned when TH 101 was improved. The proposed connection was identified in the Mission Hills development contract at the time of development for a future connection. At the public hearing, property owners were mainly concerned about the lack of screening for the back of the properties along Mission Hills Circle to the realigned TH 101. The realignment of TH 101 will move the roadway closer to these properties. MnDOT was not planning any berming, screening walls, or landscaping in conjunction with this project. The environmental document for this project did not identify any mitigation requirements for visual or noise requirements. Because of the lack of excess right-of-way, berming in the road right-of-way is not feasible. Staff has discussed this issue with property owners and MnDOT. The only viable option is to construct a fence along the back property line. The property owners would be responsible for the future maintenance of the fence. The fence cost is proposed from Municipal State Aid. Staff has not discussed having the residents fully fund or partially fund the fence at this time. The cost of the fence is estimated at $17,200. After reviewing the preliminary plans the State submitted to the City in 2006, the trunk 16" watermain that runs parallel to TH 101 should be fully relocated. Previously, the plan was only to lower the watermain at the pedestrian underpass box culvert. In reviewing the profile and preliminary plans against the in-place watermain, it is recommended that the watermain be relocated the length of the project. The watermain should be relocated because the cover over the watermain will be reduced in some areas and could lead to future watermain breaks. Also, G:\ENGIPUBLI004-06 101 GAPlbkgd 111306 aprv coop agnnt.doc Todd Gerhardt November 13, 2006 Page 3 the location of the watermain, if left in place, would make it very difficult for the Utility Department to maintain/service the pipe since the watermain would be underneath the highway. Typically, watermain on arterial collector roadways should be placed in the boulevards because servicing the pipe under the highway section would be very costly due to added traffic control and a thicker pavement section to replace. The proposed realignment of the watermain would cross TH 101 by Riley Creek and be constructed under the trail on the east side of the highway. The preliminary plan called for relocating a portion of the sanitary sewer by the pedestrian underpass. Staff has worked with MnDOT to shift the pedestrian underpass to eliminate the necessity for relocating the sewer. Moving the pedestrian underpass does not affect any other portion of the project. The plans for the project are available in the Engineering Department. FUNDING Since the April 2005 project estimate, the cost of the project has increased. The previous project estimate was $2,758,000. The current project estimate is $3,282,782.94. The cost increases can be attributed to increases in construction materials costs and the added relocation of the watermain and fence costs. The cost for the improvements will be paid by MnDOT, Carver County and Chanhassen. The cost splits are as follows: Agency MnDOT Carver County Chanhassen Total Project Est. Cost Estimate $2,059778.05 $512,636.63 $710,368.26 $3,282,782.94 MnDOT will pay for most of the improvements to TH 101 which will be turned over to Carver County for future maintenance. Carver County is paying for the upgrades to the road outside of the turn back dollars. The City is proposing to pay for the local share and requested improvements. These improvements include trails, a pedestrian underpass, City's share of the mobilization cost, curb and gutter and storm sewer on Old TH 101 to be turned back to the City as a local road, watermain relocation, right-in/right-out turn lanes at Mission Hills, street and underpass lighting and fencing. Staff has broken out these costs into the appropriate funding category. The MSA fund and the water utility fund are both over budget. These items can be attributed to the increased construction costs and the added relocation of the trunk watermain and the added fence improvements. This year's street reconstruction project (Koehnen/Yosemite area) was not constructed. This street reconstruction project intended to use MSA and water utility to help fund the street project. Staff proposes to use some of the unused funds from this project to pay for the overruns on the 101 GAP project. The City attorney has reviewed the cooperative agreement. Location Map G:\ENGIPUBLlCI04-06 101 GAPlbkgd 111306 aprv coop agrmt.doc PRE-LETTING SERVICES SECTION STATE OF MINNESOTA DEPARTMENT OF TRANSPORTATION COOPERATIVE CONSTRUCTION AGREEMENT Mn/DOT AGREEMENT NO. 90049-R S.P. 1009-16 (T.H. 101=187) S.A.P. 194-010-009 State Funds The State of Minnesota Department of Transportation, and The City of Chanhassen Re: City cost bicycle tunnel, bicycle path, turn lane, retaining wall, fence, lighting, water main, and storm sewer construction by the State on T.H. 101 AMOUNT ENCUMBERED (None) ESTIMATED AMOUNT RECEIVABLE $710,368.26 THIS AGREEMENT is made and entered into by and between the State of Minnesota, Department of Transportation, hereinafter referred to as the "State" and the City of Chanhassen, Minnesota, acting by and through its City Council, hereinafter referred to as the "City". 1 90049 WHEREAS, the State is about to perform roadway, storm sewer, water main, bicycle path, signing, lighting, and box culvert construction and other associated construction upon, along and adjacent to Trunk Highway No. 101 from 86th Street to Trunk Highway No. 5 within the corporate limits of the City of Chanhassen in accordance with State plans, specifications and special provisions designated as State Aid Project No. 194-010-009 and State Project No. 1009-16 (T.H. 101=187); and WHEREAS, at the request of the City, the State included in its contract storm sewer, water main, lighting, modular block retaining wall, wooden fence, bicycle path, bicycle tunnel, and turn lane (Mission Hill Lane) construction and other associated construction to be performed upon, along and adjacent to Trunk Highway No. 101 from 86th Street to Lake Drive within the corporate City limits under State Project No. 1009-16 (T.H. 101=187); and WHEREAS, the City has expressed its willingness to participate in the costs of the storm sewer, water main, lighting, modular block retaining wall, wooden fence, bicycle path, bicycle tunnel, and turn lane {Mission Hill Lane)construction and associated construction engineering as hereinafter set forth; and WHEREAS, the City has entered into a Loan Agreement No. 88549 with the State for the use of General Obligation Bonds to be used towards the City's share of eligible construction costs; and WHEREAS, in connection with the State contract, certain roadway construction to be performed upon, along and adjacent to Trunk Highway No. 101 from 86th Street to about 100 feet south of Lake Drive under State Project No. 1009-16 (T.H. 101=187) will be covered under Agreement No. 90023 between the State and Carver County; and WHEREAS, Minnesota Statutes Section 161.20, subdivision 2 authorizes the Commissioner of Transportation to make arrangements with and 2 90049 cooperate with any governmental authority for the purpose of constructing, maintaining and improving the trunk highway system. IT IS, THEREFORE, MUTUALLY AGREED AS FOLLOWS: ARTICLE I - CONSTRUCTION BY THE STATE Section A. Contract Award The State shall advertise for bids and award a construction contract to the lowest responsible bidder for State Project No. 1009-16 (T.H. 101=187) in accordance with State plans, specifications and special provisions which are on file in the office of the Commissioner of Transportation at St. Paul, Minnesota, and are incorporated into this Agreement by reference. Section B. Direction and Supervision of Construction The State shall direct and supervise all construction activities performed under the construction contract, and perform all construction engineering and inspection functions in connection with the contract construction. All contract construction shall be performed in compliance with the approved plans, specifications and special provisions. Section C. Plan Changes, Additional Construction, Etc. The State shall make changes in the plans and contract construction, which may include the City cost participation construction covered under this Agreement, and shall enter into any necessary addenda, change orders and supplemental agreements with the State's contractor that are necessary to cause the contract construction to be performed and completed in a satisfactory manner. However, the State District Engineer's authorized representative will inform the appropriate City official of any proposed addenda, change orders and supplemental agreements to the construction contract that will affect the City cost participation construction covered under this Agreement. 3 90049 Section D. Satisfactory Completion of Contract The State shall perform all other acts and functions necessary to cause the construction contract to be completed in a satisfactory manner. ARTICLE II - INSPECTION BY THE CITY The City cost participation construction covered under this Agreement shall be open to inspection by the City. If the City believes the City cost participation construction covered under this Agreement has not been properly performed or that the construction is defective, the City shall inform the State District Engineer's authorized representative in writing of those defects. Any recommendations made by the City are not binding on the State. The State shall have the exclusive right to determine whether the State's contractor has satisfactorily performed the City cost participation construction covered under this Agreement. ARTICLE III - BASIS OF PAYMENT BY THE CITY Section A. SCHEDULE "I" A Preliminary SCHEDULE "I" is attached and incorporated into this Agreement. The Preliminary SCHEDULE "I" includes all anticipated City cost participation construction items and the construction engineering cost share covered under this Agreement, and is based on engineer's estimated unit prices. Section B. City Cost Participation Construction The City shall, at the 100 percentage rate, participate in all of the water main, lighting, bike path, bike tunnel, modular block wall, wooden fence, turn lane and associated roadway entrances onto Mission Hills Lane and the west roadway extension onto Main Street, and the Great Plains Boulevard storm sewer construction to be performed upon, along and adjacent to Trunk Highway No. 101 from 86th Street to Lake Drive within the corporate City limits under State Project No. 1009-16 (T.H. 101=187). The construction includes the City's 4 90049 proportionate share of item costs for mobilization, field office, field laboratory and traffic control. The construction includes, but is not limited to, those construction items as tabulated on Sheets No.2 thru No.3 of the attached Preliminary SCHEDULE "I". Section C. construction Engineering Costs The City shall pay a construction engineering charge in an amount equal to 8 percent of the total cost of the City participation construction covered under this Agreement. Section D. Addenda, Change Orders and Supplemental Agreements The City shall share in the costs of construction contract addenda, change orders and supplemental agreements that are necessary to complete the City cost participation construction covered under this Agreement. Section E. Liquidated Damages All liquidated damages assessed the State's contractor in connection with the construction contract shall result in a credit shared by each party in the same proportion as their total construction cost share covered under this Agreement is to the total contract construction cost before any deduction for liquidated damages. ARTICLE IV - PAYMENT BY THE CITY Section A. Estimate and Advancement of the City's Cost Share It is estimated that the City's share of the costs of the contract construction plus the 8 percent construction engineering cost share is the sum of $710,368.26 as shown in the attached Preliminary SCHEDULE "I". Upon award of the construction contract the State shall prepare a Revised SCHEDULE "I" based on construction contract unit prices. After the following conditions have been met, the City shall advance to the Commissioner of Transportation the City's total estimated construction cost share, which does not include the 8 percent 5 90049 construction engineering cost share, as shown In the Revised SCHEDULE "I": 1. Execution and approval of this Agreement and the State's transmittal of it to the City along with a copy of the Revised SCHEDULE "I". 2. Receipt by the City of a written request from the State for the advancement of funds. GENERAL OBLIGATION BOND LOAN PAYMENT If the City elects the use the General Obligation Bonds, the State shall disburse and transfer the full proceeds of the General Obligation Bond Loan up to $330,000.00 on behalf of the City through an accounting transfer between the State and the Minnesota Department of Finance, and in accordance with the Loan Agreement. Section B. Final Payment by the City Upon completion and acceptance of the contract construction and upon computation of the final amount due the State's contractor, the State shall prepare a Final SCHEDULE "I" and submit a copy to the City. The Final SCHEDULE "I" shall be based on final quantities, and include all City cost participation construction items and the construction engineering cost share covered under this Agreement. If the final cost of the City participation covered under this Agreement exceeds the amount of funds advanced by the City, the City shall, upon receipt of a request from the State, promptly pay the difference to the State without interest. If the final cost of the City participation covered under this Agreement is less than the amount of funds advanced by the City, the State shall promptly return the balance to the City without interest. Pursuant to Minnesota Statutes Section 15.415, the State waives claim for any amounts less than $5.00 over the amount of City funds previously advanced to the State, and the City waives claim for the 6 90049 return of any amounts less than $5.00 of those funds advanced by the City. Section C. Acceptance of City's Cost and Completed Construction The computation by the State of the amount due from the City shall be final, binding and conclusive. Acceptance by the State of the completed contract construction shall be final, binding and conclusive upon the City as to the satisfactory completion of the contract construction. ARTICLE V - GENERAL PROVISIONS Section A. Plan Changes The City may request changes in the plans. If the State determines that the requested plan changes are necessary or desirable, the State will cause those plan changes to be made. Section B. Replacement of Castings The City shall furnish the State's contractor with new castings and parts for all inplace City-owned facilities constructed hereunder when replacements are required, without cost or expense to the State or the State's contractor, except for replacement of castings and parts broken or damaged by the State's contractor. Section C. Utility Permits The City shall submit to the State's Utility Engineer an original permit application for all City-owned utilities to be constructed hereunder that are upon and within the trunk highway right-of-way. Applications for permits shall be made on State form "Application For Utility Permit On Trunk Highway Right-Of-Way" (Form TP2525) . Section D. Maintenance by the City Upon satisfactory completion of the Great Plains Boulevard construction to be performed within the corporate City limits under the construction contract, the City shall provide for the proper maintenance of the roadways and all of the facilities a part thereof, 7 90049 without cost or expense to the State. Maintenance includes, but is not limited to, snow, ice and debris removal, resurfacing and seal coating and any other maintenance activities necessary to perpetuate the roadways in a safe and usable condition. Upon satisfactory completion of the Great Plains Boulevard storm sewer facilities construction to be performed within the corporate City limits under the construction contract, the City shall provide for the proper routine maintenance of those facilities, without cost or expense to the State. Routine maintenance includes, but is not limited to, removal of sediment, debris, vegetation and ice from structures, grates and pipes, repair of minor erosion problems, and minor structure and pipe repair, and any other maintenance activities necessary to preserve the facilities and to prevent conditions such as flooding, erosion, sedimentation or accelerated deterioration of the facilities. Upon satisfactory completion of the City-owned utilities construction to be performed within the corporate City limits under the construction contract, the City shall provide for the proper maintenance of those utilities, without cost or expense to the State. Upon satisfactory completion of the bikeway trail construction to be performed within the corporate City limits under the construction contract, the City shall provide for the proper routine maintenance of the bikeway trails, without cost or expense to the State. Routine maintenance includes, but is not limited to, snow, ice and debris removal, patching, crack repair, mowing, trimming, signing, pavement marking, and any other maintenance activities necessary to perpetuate the bikeway trails in a safe and usable condition. Upon satisfactory completion of the modular block retaining wall and wooden fence construction to be performed within the corporate City limits under the construction contract, the City shall provide for the proper maintenance of and keep in repair the block wall and wooden fence, without cost or expense to the State. Maintenance and 8 90049 repair includes, but is not limited to, graffiti removal and surface repair, and any other maintenance activities necessary to perpetuate the block wall and wooden fence in a safe, usable and aesthetically acceptable condition. Upon completion of the lighting facility (including bicycle tunnel lighting) construction to be performed within the corporate City limits under the construction contract, the City will provide for the proper maintenance of those facilities. Maintenance includes but is not limited to; replacing faulty luminaires and knocked down or otherwise damaged poles; repairing or replacing underground facilities and wiring; repairing service cabinets, photocells, and all other miscellaneous hardware to keep the lighting facilities in working order; cleaning and relamping the luminaires; and painting the lighting facilities. The City will pay all monthly electrical service expenses necessary to operate the lighting facility. The City will be responsible for the hook-up cost and application to secure an adequate power supply to the service pad or pole. Section E. Additional Drainage Neither party to this Agreement shall drain any additional drainage into the storm sewer facilities to be constructed under the construction contract that was not included in the drainage for which the storm sewer facilities were designed, without first obtaining permission to do so from the other party. The drainage areas served by the storm sewer facilities constructed under the construction contract are shown in a drainage area map, EXHIBIT "Drainage Area", which is on file in the office of the State's District Hydraulics Engineer at Roseville and is incorporated into this Agreement by reference. Section F. Future Responsibilities Upon satisfactory completion of the Great Plains Boulevard construction to be performed within the corporate City limits under the construction contract, the City shall thereafter accept full and 9 90049 total responsibility for maintenance and repair of Great Plains Boulevard and all of the facilities a part thereof constructed hereunder, without cost or expense to the State. Section G. Release and Conveyance of Roadways The State shall, upon satisfactory completion of the Great Plains Boulevard construction from Lake Susan Drive north to the cul-de-sac and all of the facilities a part thereof constructed within the corporate City limits under the construction contract, serve upon the City a "Notice of Release" placing that roadway portion under the jurisdiction of the City; and subsequent thereto, after all necessary and required documents have been prepared and processed, the State shall convey to the City all right, title and interest of the State in that roadway portion. Upon receipt of that "Notice of Release", the City shall become the road authority responsible for the roadway portion so released. Section H. Examination of Books, Records, Etc. As provided by Minnesota Statutes Section 16C.05, subdivision 5, the books, records, documents, and accounting procedures and practices of each party relevant to this Agreement are subject to examination by each party, and either the legislative auditor or the state auditor as appropriate, for a minimum of six years from final paYment. Section I. Claims Each party is responsible for its own employees for any claims arising under the Workers Compensation Act. Each party is responsible for its own acts, omissions and the results thereof to the extent authorized by law and will not be responsible for the acts and omissions of others and the results thereof. Minnesota Statutes Section 3.736 and other applicable law govern liability of the State. Minnesota Statutes Chapter 466 and other applicable law govern liability of the City. Section J. Agreement Approval 10 90049 Before this Agreement becomes binding and effective, it shall be approved by a City Council resolution and executed by such State and City officers as the law may provide in addition to the Commissioner of Transportation or their authorized representative. ARTICLE VI - AUTHORIZED AGENTS The State's Authorized Agent for the purpose of the administration of this Agreement is Maryanne Kelly-Sonnek, Municipal Agreements Engineer, or her successor.
