SITE PLAN PERMIT #07-21
SPECIAL PROVISIONS
AGREEMENT dated September 24, 2007, by and between the CITY OF CHANHASSEN, a
Minnesota municipal corporation, (the "City"), and Power Systems, (the "Developer").
1. Request for Site Plan Approval. The Developer has asked the City to approve a site plan
for a 12,300 square -foot expansion to a 27,800 square -foot building (referred to in this Permit as the
"project"). The land is legally described as Lot 4, Block 1, Chanhassen Business Center Second
Addition.
2. Conditions of Site Plan Approval. The City hereby approves the site plan on condition
that the Developer enter into this Permit and fumish the security required by it.
3. Development Plans. The project shall be developed and maintained in accordance with the
following plans. The plans shafl not be attached to this Contract. If the plans vary from the written
terms of this Permit, the written terms shall control. The plans are:
Plan A --Site Plan prepared by Mohagen Hansen Architectural Group, dated February 16, 2007.
Plan B-- Grading, Paving, Utility and Erosion Control Plan prepared by Clark Engineering,
Corporation, dated February 16, 2007.
Plan C --Landscaping Plan prepared Mohagen Hansen Architectural Group, dated February 16,
2007.
4. Time of Performance. The Developer shall install all required screening and landscaping
by June 30, 2008. The Developer may, however, request an extension of time from the City. If an
extension is granted, it shall be conditioned upon updating the security posted by the Developer to
reflect cost increases and the extended completion date.
5. Security. To guarantee compliance with the terms of this Permit, the Developer shall
famish the City with a letter of credit from a bank, cash escrow, or equivalent ("security") for
$5,000.00 (boulevard restoration, erosion control, grate replacement and landscaping). If the

Developer requests a Certificate of Occupancy prior to the installation of site landscaping, then the
developer shall provide to the City a letter of credit or cash escrow in an amount sufficient to insure
the installation of said landscaping.
PROCEDURES FOR
LETTER OF CREDIT REDUCTION
a. Requests for reductions of Letters of Credit must be submitted to the City in writing by
the Developer or his Engineer.
b. Partial lien waivers totaling the amount of the requested reduction shall accompany each
such request.
c. Any reduction shall be subject to City approval.
6. Notices. Required notices to the Developer shall be in writing, and shall be either hand
delivered to the Developer, its employees or agents, or mailed to the Developer by certified mail at
the following address:

Notices to the City shall be in writing and shall be either hand delivered to the City Manager, or
mailed to the City by certified mail in care of the City Manager at the following address:

7. Other Special Conditions. City Council approves a 12,300 square -foot expansion to a
27,800 square -foot, one-story office warehouse building subject to the following conditions:
a. The applicant shall enter into this site plan agreement with the City and provide the
necessary security to guarantee erosion control, site restoration and landscaping.
b. A window shall be added to the south elevation of the most westerly office in the building
expansion.
c. Tractor -trailer units are prohibited from using the proposed new (westerly) access.
d. If the area being disturbed exceeds one acre, the applicant must obtain the necessary
permits from the MPCA and the Watershed District.
e. The applicant must ensure that the Engineering Department is contacted a minimum of 48
hours prior to connecting to the public storm sewer.
f. The applicant must submit a $1,000.00 escrow for the replacement grate over the public
storm sewer at the new driveway.
g. The grading plan must be signed by a Professional Engineer licensed in the State of
Minnesota.
h. The building addition is required to have an automatic fire extinguishing system.
All plans must be prepared and signed by design professionals licensed in the State of
Minnesota.
j. The water service at the southwest end of the building (proposed addition location) must
be relocated/revised in such a manner that fire suppression water supply is not located
under the proposed addition (Ref. NFPA 24).
k. The applicant shall plant two trees near the parking lot.
1. The applicant shall install a west bufferyard planting that includes 4 overstory trees, 9
understory trees and 14 shrubs. The applicant shall work with staff to submit a revised
landscape plan prior to building permit approval.
8. General Conditions. The general conditions of this Permit are attached as Exhibit "A" and
incorporated herein.

EXHIBIT "A"
GENERAL CONDITION
1. Right to Proceed. Within the site plan area, the Developer may not grade or otherwise disturb
the earth, remove trees, construct improvements, or any buildings until all the following conditions
have been satisfied: 1) this agreement has been fully executed by both parties and filed with the
City Clerk, 2) the necessary security and fees have been received by the City, and 3) the City has
issued a building permit in reliance on the foregoing conditions having been satisfied.
2. Maintenance of site. The site shall be maintained in accordance with the approved site plan.
Plants and ground cover required as a condition of site plan approval which die shall be promptly
replaced.
3. License. The Developer hereby grants the City, its agents, employees, officers and contractors
a license to enter the property to perform all work and inspections deemed appropriate by the City
in conjunction with site plan development.
4. Erosion Control. Before the site is rough graded, and before any building permits are issued,
the erosion control plan, Plan B, shall be implemented, inspected, and approved by the City. The
City may impose additional erosion control requirements if they would be beneficial. All areas
disturbed by the excavation and backfilling operations shall be reseeded forthwith after the
completion of the work in that area. Except as otherwise provided in the erosion control plan, seed
shall be certified seed to provide a temporary ground cover as rapidly as possible. All seeded areas
shall be fertilized, mulched, and disc anchored as necessary for seed retention. The parties
recognize that time is of the essence in controlling erosion. If the Developer does not comply with
the erosion control plan and schedule or supplementary instructions received from the City, the City
may take such action as it deems appropriate to control erosion at the Developer's expense. The
City will endeavor to notify the Developer in advance of any proposed action, but failure of the City
to do so will not affect the Developer's and City's rights or obligations hereunder. No development
will be allowed and no building permits will be issued unless there is full compliance with the
erosion control requirements. Erosion control shall be maintained until vegetative cover has been
restored. After the site has been stabilized to where, in the opinion of the City, there is no longer a
need for erosion control, the City will authorize removal of the erosion control measures.
5. Clean up. The Developer shall maintain a neat and orderly work site and shall daily clean, on
and off site, dirt and debris, including blowables, from streets and the surrounding area that has
resulted from construction work by the Developer, its agents or assigns.
6. Warranty. All trees, grass, and sod required in the approved Landscaping Plan, Plan C, shall
be warranted to be alive, of good quality, and disease ftre at the time of planting. All trees shall be
wan -anted for twelve (12) months from the time of planting. The Developer or his contractor(s)
shall post a letter of credit or cash escrow to the City to secure the warranties at the time of final
acceptance.
7. Responsibility for Costs.
A. The Developer shall hold the City and its officers and employees harmless from claims

made by itself and third parties for damages sustained or costs incurred resulting from site
plan approval and development. The Developer shall indemnify the City and its officers
and employees for all costs, damages, or expenses which the City may pay or incur in
consequence of such claims, including attomeys'fees.
B. The Developer shall reimburse the City for costs incurred in the enforcement of this Permit,
including engineering and attorneys' fees.
C. The Developer shall pay in full all bills submitted to it by the City for obligations incurred
under this Permit within thirty (30) days after receipt. If the bills are not paid on time, the
City may halt all development work and construction. Bills not paid within thirty (30) days
shall accrue interest at the rate of 8% per year.
8. Developer's DefaulL In the event of default by the Developer as to any of the work to be
performed by it hereunder, the City may, at its option, perform the work and the Developer shall
promptly reimburse the City for any expense incurred by the City, provided the Developer is first
given notice of the work in default, not less than four (4) days in advance. This Contract is a
license for the City to act, and it shall not be necessary for the City to seek a Court order for
permission to enter the land. When the City does any such work, the City may, in addition to its
other remedies, assess the cost in whole or in part.
9. Miscellaneous.
A. Construction Trailers. Placement of on-site construction trailers and temporaryjob site
offices shall be approved by the City Engineer. Trailers shall be removed from the subject
property within thirty (30) days following the issuance of a certificate of occupancy unless
otherwise approved by the City Engineer.
B. Postal Service. The Developer shall provide for the maintenance of postal service in
accordance with the local Postmaster's request.
C. Third Parries. Third parties shall have no recourse against the City under this Permit.
D. Breach of Contract. Breach of the terms of this Permit by the Developer shall be grounds
for denial of building pennits.
E. Severabili . If any portion, section, subsection, sentence, clause, paragraph, or phrase of
this Permit is for any reason held invalid, such decision shall not affect the validity of the
remaining portion of this Contract.
F. Occupanc: . Unless approved in writing by the City Engineer, no one may occupy a
building for which a building permit is issued on either a temporary or permanent basis until
the streets needed for access have been paved with a bituminous surface and the utilities
tested and approved by the city.
G. Waivers/Amendments. The action or inaction of the City shall not constitute a waiver or
amendment to the provisions of this Contract. To be binding, amendments or waivers shall
be in writing, signed by the parties and approved by written resolution of the City Council.
The City's failure to promptly take legal action to enforce this Contract shall not be a waiver
or release.
H. Recordin . This Permit shall run with the land and may be recorded against the title to the
property.
I. Remedies. Each right, power or remedy herein conferred upon the City is cumulative and in
addition to every other right, power or remedy, express or implied, now or hereafter arising,
available to City, at law or in equity, or under any other agreement, and each and every
right, power and remedy herein set forth or otherwise so existing may be exercised from
time to time as often and in such order as may be deemed expedient by the City and shall
not be a waiver of the right to exercise at any time thereafter any other right, power or
remedy.
J. Construction Hours. The normal construction hours under this contract shall be from 7:00
a.m. to 9:00 p.m. on weekdays, from 9:00 a.m. to 5:00 p.m. on Saturdays, with no such
activity allowed on Sundays or any recognized legal holidays. Operation of all internal
combustion engines used for construction or dewatering purposes beyond the normal
working hours will require City Council approval.
K. Soil Treatment Systems. If soil treatment systems are required, the Developer shall clearly
identify in the field and protect from alteration, unless suitable alternative sites are first
provided, the two soil treatment sites identified during the site plan process for each lot.
This shall be done prior to the issuance of a Grading Permit. Any violation/disturbance of
these sites shall render them as unacceptable and replacement sites will need to be located
for each violated site in order to obtain a building permit.
L. CgWliance with Laws, Ordinances, and Regulations. hi the development of the site plan
the Developer shall comply with all laws, ordinances, and regulations of the following
authorities:
I . City of Chanhassen;
2. State of Minnesota, its agencies, departments and conurrissions;
3. United States Army Corps of Engineers;
4. Watershed District;
5. Metropolitan Government, its agencies, departments and commissions.
M. Proof of Title. Upon request, the Developer shall furnish the City with evidence satisfactory
to the City that it has the authority of the fee owners and contract for deed purchasers too
enter into this Development Contract.
N. Soil Conditions. The Developer acknowledges that the City makes no representations or
warranties as to the condition of the soils on the property or its fitness for construction of
the improvements or any other purpose for which the Developer may make use of such
property. The Developer further agrees that it will indemnify, defend, and hold harmless
the City, its governing body members, officers, and employees from any claims or actions
arising out of the presence, if any, of hazardous wastes or pollutants on the property, unless
hazardous wastes or pollutants were caused to be there by the City.
0. Soil Correction' The Developer shall be responsible for soil correction work on the
property. The City makes no representation to the Developer concerning the nature of
suitability of soils nor the cost of correcting any unsuitable soil conditions which may exist.

PROPERTY OWNER CONSENT
Owners of all or part of the subject property, the development of which is governed by the
foregoing Site Plan Permit, affirm and consent to the provisions thereof and agree to be bound by
the provisions as the same may apply to that portion of the subject property owned by them.

SITE PLAN PERMIT #07-21
SPECIAL PROVISIONS
AGREEMENT dated September 24,2007, by and between the C]TY OF CHANHASSEN, a
Minnesota municipal corporation, (the "City"), and Power Systems, (the "Developer").
1. Request for Site Plan Approval. The Developer has asked the City to approve a site plan
for a 12,300 square -foot expansion to a 27,800 square -foot building (referred to in this Permit as the
"project"). The land is legally described as Lot 4, Block 1, Chanhassen Business Center Second
Addition.
2. Conditions of Site Plan Approval. The City hereby approves the site plan on condition
that the Developer enter into this Permit and furnish the security required by it.
3. Development Plans. The project shall be developed and maintained in accordance with the
following plans. The plans shall not be attached to this Contract. If the plans vary from the written
terms of this Pernut, the written terms shall control. The plans are:
Plan A --Site Plan prepared by Mohagen Hansen Architectural Group, dated February 16, 2007.
Plan B-- Grading, Paying, Utility and Erosion Control Plan prepared by Clark Engineering,
Corporation, dated February 16, 2007.
Plan C --Landscaping Plan prepared Mohagen Hansen Architectural Group, dated February 16,
2007.
4. Time of Performance. The Developer shall install all required screening and landscaping
by June 30, 2008. The Developer may, however, request an extension of time from the City. If an
extension is granted, it shall be conditioned upon updating the security posted by the Developer to
reflect cost increases and the extended completion date.
5. Security. To guarantee compliance with the terms of this Permit, the Developer shall
furnish the City with a letter of credit from a bank, cash escrow, or equivalent ("security") for
$5,000.00 (boulevard restoration, erosion control, grate replacement and landscaping). If the
Developer requests a Certificate of Occupancy prior to the installation of site landscaping, then the
developer shall provide to the City a letter of credit or cash escrow in an amount sufficient to insure
the installation of said landscaping.
PROCEDURESFOR
LETTER OF CREDIT REDUCTION
a. Requests for reductions of Letters of Credit must be submitted to the City in writing by
the Developer or his Engineer.
b. Partial lien waivers totaling the amount of the requested reduction shall accompany each
such request.
c. Any reduction shall be subject to City approval.
6. Notices. Required notices to the Developer shall be in writing, and shall be either hand
delivered to the Developer, its employees or agents, or mailed to the Developer by certified mail at
the following address:

7. Other Special Conditions. City Council approves a 12,300 square -foot expansion to a
27,800 square -foot, one-story office warehouse building subject to the following conditions:
a. The applicant shall enter into this site plan agreement with the City and provide the
necessary security to guarantee erosion control, site restoration and landscaping.
b. A window shall be added to the south elevation of the most westerly office in the building
expansion.
c. Tractor -trailer units are prohibited from using the proposed new (westerly) access.
d. If the area being disturbed exceeds one acre, the applicant must obtain the necessary
permits from the MPCA and the Watershed District.
e. The applicant must ensure that the Engineering Department is contacted a minimum of 48
hours prior to connecting to the public storm sewer.
f. ne applicant must submit a $1,000.00 escrow for the replacement grate over the public
storm sewer at the new driveway.
9. The grading plan must be signed by a Professional Engineer licensed in the State of
Minnesota.
h. The building addition is required to have an automatic fire extinguishing system.
i. All plans must be prepared and signed by design professionals licensed in the State of
Minnesota.
j. The water service at the southwest end of the building (proposed addition location) must
be relocated/revised in such a manner that fire suppression water supply is not located
under the proposed addition (ReU NFPA 24).
k. The applicant shall plant two trees near the parking lot.
1. The applicant shall install a west bufferyard planting that includes 4 overstory trees, 9
understory trees and 14 shrubs. The applicant shall work with staff to submit a revised
landscape plan prior to building permit approval.
8. General Conditions. The general conditions of this Penr�t are attached as Exhibit "A" and
incorporated herein.

GENERAL CONDITION
I - Right to Proceed. Within the site plan area, the Developer may not grade or otherwise disturb
the earth, remove trees, construct improvements, or any buildings until all the following conditions
have been satisfied: 1) this agreement has been fully executed by both parties and filed with the
City Clerk, 2) the necessary security and fees have been received by the City, and 3) the City has
issued a building permit in reliance on the foregoing conditions having been satisfied.
2. Maintenance of site. The site shall be maintained in accordance with the approved site plan.
Plants and ground cover required as a condition of site plan approval which die shall be promptly
replaced.
3. License. The Developer hereby grants the City, its agents, employees, officers and contractors
a license to enter the property to perform all work and inspections deemed appropriate by the City
in conjunction with site plan development.
4. Erosion Control. Before the site is rough graded, and before any building pernuts are issued,
the erosion control plan, Plan B, shall be implemented, inspected, and approved by the City. The
City may impose additional erosion control requirements if they would be beneficial. All areas
disturbed by the excavation and backfilling operations shall be reseeded forthwith after the
completion of the work in that area. Except as otherwise provided in the erosion control plan, seed
shall be certified seed to provide a temporary ground cover as rapidly as possible. All seeded areas
shall be fertilized, mulched, and disc anchored as necessary for seed retention. The parties
recognize that time is of the essence in controlling erosion. If the Developer does not comply with
the erosion control plan and schedule or supplementary instructions received from the City, the City
may take such action as it deems appropriate to control erosion at the Developer's expense. The
City will endeavor to notify the Developer in advance of any proposed action, but failure of the City
to do so will not affect the Developees and City's rights or obligations hereunder. No development
will be allowed and no building permits will be issued unless there is full compliance with the
erosion control requirements. Erosion control shall be maintained until vegetative cover has been
restored. After the site has been stabilized to where, in the opinion of the City, there is no longer a
need for erosion control, the City will authorize removal of the erosion control measures.
5. Clean up. The Developer shall maintain a neat and orderly work site and shall daily clean, on
and off site, dirt and debris, including blowables, from streets and the surrounding area that has
resulted from construction work by the Developer, its agents or assigns.
6. Warranty. All trees, grass, and sod required in the approved Landscaping Plan, Plan C, shall
be wan -anted to be alive, of good quality, and disease free at the time of planting. All trees shall be
wan -anted for twelve (12) months from the time of planting. The Developer or his contractor(s)
shall post a letter of credit or cash escrow to the City to secure the warranties at the time of final
acceptance.
7. Responsibility for Costs.
A. The Developer shall hold the City and its officers and employees harmless from claims

made by itself and third parties for damages sustained or costs incurred resulting from site
plan approval and development. The Developer shall indemnify the City and its officers
and employees for all costs, damages, or expenses which the City may pay or incur in
consequence of such claims, including attorneys' fees.
B. The Developer shall reimburse the City for costs incurred in the enforcement of this Permit,
including engineering and attomeys'fees.
C. The Developer shall pay in full all bills submitted to it by the City for obligations incurred
under this Permit within thirty (30) days after receipt. If the bills are not paid on time, the
City may halt all development work and construction. Bills not paid within thirty (30) days
shall accrue interest at the rate of 8% per year.
8. Developer's Default In the event of default by the Developer as to any of the work to be
performed by it hereunder, the City may, at its option, perform the work and the Developer shall
promptly reimburse the City for any expense incurred by the City, provided the Developer is first
given notice of the work in default, not less than four (4) days in advance. This Contract is a
license for the City to act, and it shall not be necessary for the City to seek a Court order for
permission to enter the land. When the City does any such work, the City may, in addition to its
other remedies, assess the cost in whole or in part.
9. Miscellaneous.
A. Construction Trailers. Placement of on-site construction trailers and temporary job site
offices shall be approved by the City Engineer. Trailers shall be removed from the subject
property within thirty (30) days following the issuance of a certificate of occupancy unless
otherwise approved by the City Engineer.
B. Postal Service. The Developer shall provide for the maintenance of postal service in
accordance with the local Postmaster's request.
C. Third Parties. Third parties shall have no recourse against the City under this Pem-lit.
D. Breach of Contract. Breach of the terms of this Permit by the Developer shall be grounds
for denial of building permits.
E. Severabili . If any portion, section, subsection, sentence, clause, paragraph, or phrase of
this Permit is for any reason held invalid, such decision shall not affect the validity of the
remaining portion of this Contract.
F. Occgpanc . Unless approved in writing by the City Engineer, no one may occupy a
building for which a building permit is issued on either a temporary or permanent basis until
the streets needed for access have been paved with a bituminous surface and the utilities
tested and approved by the city.
G. Waivers/Amendments. The action or inaction of the City shall not constitute a waiver or
amendment to the provisions of this Contract. To be binding, amendments or waivers shall
be in writing, signed by the parties and approved by written resolution of the City Council.
The City's failure to promptly take legal action to enforce this Contract shall not be a waiver
or release.
H. Recordin . This Permit shall run with the land and may be recorded against the title to the
property -
1. Remedies. Each right, power or remedy herein conferred upon the City is cumulative and in
addition to every other right, power or remedy, express or implied, now or hereafter arising,
available to City, at law or in equity, or under any other agreement, and each and every
right, power and remedy herein set forth or otherwise so existing may be exercised from
time to time as often and in such order as may be deemed expedient by the City and shall

not be a waiver of the right to exercise at any time thereafter any other right, power or
remedy.
I Construction Hours. The normal construction hours under this contract shall be from 7:00
a.m. to 9:00 p.m. on weekdays, from 9:00 a.m. to 5:00 p.m. on Saturdays, with no such
activity allowed on Sundays or any recognized legal holidays. Operation of all internal
combustion engines used for construction or dewatering purposes beyond the normal
working hours will require City Council approval.
K. Soil Treatment Syq�ms. If soil treatment systems are requireA the Developer shall clearly
identify in the field and protect from alteration, unless suitable alternative sites are first
provided, the two soil treatment sites identified during the site plan process for each lot.
This shall be done prior to the issuance of a Grading Permit. Any violation/disturbance of
these sites shall render them as unacceptable and replacement sites will need to be located
for each violated site in order to obtain a building permit.
L. Compliance with Laws, Ordinances, and Regulations. In the development of the site plan
the Developer shall comply with all laws, ordinances, and regulations of the following
authorities:
1. City of Chanhassen;
2. State of Minnesota, its agencies, departments and commissions;
3. United States Army Corps of Engineers;
4. Watershed District;
5. Metropolitan Government, its agencies, departments and commissions.
M. Proof of Title. Upon request, the Developer shall famish the City with evidence satisfactory
to the City that it has the authority of the fee owners and contract for deed purchasers too
enter into this Development Contract.
N. Soil Conditions* The Developer acknowledges that the City makes no representations or
warranties as to the condition of the soils on the property or its fitness for construction of
the improvements or any other purpose for which the Developer may make use of such
property. The Developer further agrees that it will indemnify, defend, and hold harn-Aess
the City, its governing body members, officers, and employees from any claims or actions
arising out of the presence, if any, of hazardous wastes or pollutants on the property, urdess
hazardous wastes or pollutants were caused to be there by the City.
0. Soil Correction. The Developer shall be responsible for soil correction work on the
property. The City makes no representation to the Developer concerning the nature of
suitability of soils nor the cost of correcting any unsuitable soil conditions which may exist.
PROPERTY OWNER CONSENT
Owners of all or part of the subject property, the development of which is governed by the
foregoing Site Plan Permit, affirm and consent to the provisions thereof and agree to be bound by
the provisions as the same may apply to that portion of the subject property owned by them.

Application of Power Systems for Site Plan Review for a 12,300 square -foot expansion to a
27,800 square -foot building.
On September 18, 2007, the Chanhassen Planning Commission met at its regularly
scheduled meeting to consider the application of Power Systems for a site plan review for the
property located at 8325 Commerce Drive. The Planning Commission conducted a public
hearing on the proposed site plan which was preceded by published and mailed notice. The
Planning Commission heard testimony from all interested persons wishing to speak and now
makes the following:
FINDINGS OF FACT
I . The property is currently zoned Planned Unit Development, PUD
2. The property is guided by the Und Use Plan for Office/Industrial.
3. The legal description of the property is: Lot 4, Block 1, Chanhassen Business Center
Second Addition
4. Site Plan Findings
a. The proposed development is consistent with the elements and objectives of the
city's development guides, including the comprehensive plan, official road
mapping, and other plans that may be adopted;
b. The proposed development is consistent with the site plan review requirements;
C. The proposed development preserves the site in its natural state to the extent
practicable by minimizing tree and soil removal and designing grade changes to
be in keeping with the general appearance of the neighboring developed or
developing or developing areas;
d. The proposed development creates a harmonious relationship of building and
open space with natural site features and with existing and future buildings having
a visual relationship to the development;
e. The proposed development creates a functional and harmonious design for
structures and site features, with special attention to the following:

here this evening due to a personal commitment but nothing has changed from his report. I don't
know if anybody has any questions for him that we can work through the city manager. If not,
we'll look forward to welcoming Sergeant Anderley at a future meeting. Chief Geske is here
though however. Good evening Chief.
Chief Greg Geske: Good evening. I was hoping when you mentioned that you're cancelling the
October 8 council meeting, that was because of Fire Prevention Week. ...let's say it's because
of Fire Prevention.
Mayor Furlong: That's fine.
Chief Greg Geske: I would like to announce our open house for fire prevention. We have an
open house on Sunday, October 14th from 1:00 to 4:00. We always have plenty of food there.
Lots of demonstrations from extrication and cutting cars apart to the dive demonstrations. All
the sheriffs department is usually there. The mounted posse with the horse and such. Lots of
education. Things from NSP and Xcel Energy and the ever famous fire truck rides are there and
we'll have our new truck there featuring this year too for rides. Last month was a fairly unbusy
month for us again so that's good to report. I would like to talk a little bit about a call that we

Dillon: I do not. Kind of looks pretty straight forward.
Larson: Did I read in here that the parking, we didn't need to add parking with the addition, is
that correct?
Generous: Right. They have sufficient park on the site. They're showing some proof of parking
so they have, yeah. They have the numbers quantitative wise that our ordinance requires, but
their operation they don't need that.
Larson: Got it. Okay. That was the only one I had.
Thomas: It's self explanatory. I'm good.
Keefe: I had a couple questions. Do we typically sign for the tractor trailer entrance or how do
we you know direct that or enforce it or do we just leave it up to them to?
Generous: Generally they'll put truck entrance. It doesn't make a lot of sense for tractor trailers
to go on the west side.
Keefe: Yeah, I mean it looks like it's a natural way to go but I didn't know if we needed to
require any signage associated with that or anything.
Generous: I don't think so.

Keefe: Okay. It says the area being disturbed is less than one acre. The lot area is 2 1/2 acres or
something along those lines but it does say if it exceeds an acre. Do we not know whether it
exceeds an acre in terms of?
Generous: Our estimate was it was under an acre, but just in case.
Keefe: Yeah. And what do we mean by being disturbed? Is that just.
Generous: Any grading operation.
Keefe: Okay.
Generous: They turn the dirt, it's disturbed and then they may have to go and get a separate
permit.
Keefe: Okay. And then the signage, this is you know, the sign is going to be what, painted on?
Or is it an attached sign or is it?
Generous: No. They're just showing a possible sign location on there. They're not sure that
they'll actually use it. We said if part of their site plan review they should show a location if they
even contemplate that so that it would.
Keefe: Okay. If they add one they can come back for permit on that or something.
Generous: It'd be administrative permitting. It'd be through, they'd have to follow the standards
in the city code.
Keefe: Yeah, okay. And then just one last question in regards to you know walkways or
pathways on this particular site plan. It connects well with the path system or sidewalk or
doesn't that have that or?
Generous: I don't believe there's any out there.
Keefe: Yeah. Is that something that typically we would try to do in this area?
Generous: Well in the newer developments we haven't provided that. In some of the older, like
this was in the mid to early 90's that it came through and we didn't require as much. I know that
on I-ake Drive I believe they have it and then there's a trail down at the end.
Keefe: Alright. That's all I have. Is there an applicant? Like to come up and say, give a
presentation.
Todd Mohagen: I'm Todd Mohagen, Mohagen Hansen Architectural Group. We're the
architects on the project. The owners of the building are here and the tenant, Power Systems. A
representative from that company. Thank you so much. I think there's really no issues that we
have with the exception of there was a note, the last note about the trees. On the west buffer

yard, if we could go to here. There's 10 feet from here to here. We'd prefer not to have over
story trees in there just because it would conflict with the building. The roots and the leaves.
Maybe if we could be a little, we could work with staff on locating those trees. I mean if that's a
requirement, I don't think that's an issue. It's just that we'd prefer that that would limit us to that
area. That it could be in here or there. It could be a pretty small area. Do you have the
landscape plan by chance?
Generous: It should be.
Todd Mohagen: If we could modify that, we would work with staff to locate you know the
appropriate number of trees I think would probably be better. The concern is this would be a
normal sized tree and if we start putting them along here, our concern is that it interferes with the
building.
Keefe: You know in terms of, you know in the staff report it says that they wanted to have some
trees along that end. I mean was consideration taken into account in terms of what the applicant
is saying?
Generous: We can. The 4 trees are just a quantitative, how many trees you need on that western
side. The actual location is something that we work out all the time. We allow people to group
trees. You know itd make sense to put additional trees to the southwest comer of the site. West
of the parking lot in front of the building to provide some of that shading to the building and the
parking lot. Sticking something on the north end isn't an issue.
Todd Mohagen: I guess, we don't have any issue with it. It's just, the way that this reads, I
would read that to mean that that would mean this portion of the building. I mean maybe it's as
simple as saying the southwest. Or near the parking area.
Keefe: Or maybe work with staff. Alright, anything else?
Todd Mohagen: No.
Keefe: Okay. This is a public hearing. If anybody would like to comment or questions, please
step to the podium. Seeing none, we'll close the public hearing. Bring it back here and let's start
over here.
Dillon: You know I think it's, there's kind of just a way to work it out between staff and the
applicant on the trees and just to make a win/win. I'm sure that can be done and I'm totally in
favor.

27,800 square foot one story office warehouse building, plans prepared by Mohagen Hansen
Architectural Group dated February 16, 2007, subject to the following conditions, number I
through 13.
Larson: I'll second that.
Keefe: I guess I would make a friendly amendment to modify 12 to say, the applicant shall work
with staff in regards to the location of trees and shrubs.
Larson: What if we combine 12 and 13?

say, the applicant will work with staff in regards to submitting a revised landscape plan which

SPECIAL PROVISIONS
AGREEMENT dated September 24,2007, by and between the CITY OF CHANHASSEN, a
Minnesota municipal corporation, (the "City"), and Power Systems, (die "Developer").
L Request for Site Plan Approval. The Developer has asked the City to approve a site plan
for a 12,300 square -foot expansion to a 27,800 square -foot building (referred to in this Permit as the
"project"). The land is legally described as Lot 4, Block 1, Chanhassen Business Center Second
Addition.
2. Conditions of Site Plan Approval. The City hereby approves the site plan on condition
that the Developer enter into this Pennit and furnish the security required by it.
3. Development Plans. The project shall be developed and maintained in accordance with the
following plans. The plans shall not be attached to this Contract. If the plans vary from the written
terms of this Permit, the written terms shall control. The plans are:
Plan A --Site Plan prepared by Mohagen Hansen Architectural Group, dated February 16, 2007.
Plan B— Grading, Paving, Utility and Erosion Control Plan prepared by Clark Engineering,
Corporation, dated February 16, 2007.
Plan C—Landscaping Plan prepared Mohagen Hansen Architectural Group, dated February 16,
2007.
4. Time of Performance. The Developer shall install all required screening and landscaping
by June 30, 2008. The Developer may, however, request an extension of time from the City. If an
extension is granted, it shall be conditioned upon updating the security posted by the Developer to
reflect cost increases and the extended completion date.
5. Security. To guarantee compliance with the terms of this Permit, the Developer shall
firrnish the City with a letter of credit from a bank, cash escrow, or equivalent ("security") for
$5,000.00 (boulevard restoration, erosion control, grate replacement and landscaping). If the
Developer requests a Certificate of Occupancy prior to the installation of site landscaping, then the
developer shall provide to the City a letter of credit or cash escrow in an amount sufficient to insure
the installation of said landscaping.

EXHIBIT "A"
GENERAL CONDITION
1. Right to Proceed. Within the site plan area, the Developer may not grade or otherwise disturb
die earth, remove trees, construct improvements, or any buildings until all the following conditions
have been satisfied: 1) this agreement has been fully executed by both parties and filed with the
City Clerk, 2) the necessary security and fees have been received by the City, and 3) the City has
issued a building permit in reliance on the foregoing conditions having been satisfied.
2. Maintenance of site. The site shall be maintained in accordance with the approved site plan.
Plants and ground cover required as a condition of site plan approval which die shall be promptly
replaced.
3. License. The Developer hereby grants the City, its agents, employees, officers and contractors
a license to enter the property to perform all work and inspections deemed appropriate by the City
in conjunction with site plan development.
4. Erosion Control. Before the site is rough graded, and before any building permits are issued,
the erosion control plan, Plan B, shall be implemented, inspected, and approved by the City. The
City may impose additional erosion control requirements if they would be beneficial. All areas
disturbed by the excavation and backfilling operations shall be reseeded forthwith after the
completion of the work in that area. Except as otherwise provided in the erosion control plan, seed
shall be certified seed to provide a temporary ground cover as rapidly as possible. All seeded areas
shall be fertilized, mulched, and disc anchored as necessary for seed retention. The parties
recognize that time is of the essence in controlling erosion. If the Developer does not comply with
the erosion control plan and schedule or supplementary instructions received from the City, the City
may take such action as it deems appropriate to control erosion at the Developers expense. The
City will endeavor to notify the Developer in advance of any proposed action, but failure of the City
to do so will not affect the Developer's and City's rights or obligations hereunder. No development
will be allowed and no building perinits will be issued unless there is full compliance with the
erosion control requirements. Erosion control shall be maintained until vegetative cover has been
restored. After the site has been stabilized to where, in the opinion of the City, there is no longer a
need for erosion control, the City will authorize removal of the erosion control measures.
5. Clean up. The Developer shall maintain a neat and orderly work site and shall daily clean, on
and off site, dirt and debris, including blowables, from streets and the surrounding area that has
resulted ftorn construction work by the Developer, its agents or assigns.
6. Warranty. All trees, grass, and sod required in the approved Landscaping Plan, Plan C, shall
be warranted to be alive, of good quality, and disease free at the time of planting. All trees shall be
warranted for twelve (12) months from the time of planting. The Developer or his contractor(s)
shall post a letter of credit or cash escrow to the City to secure the warranties at the time of final
acceptance.
7. Responsibility for Costs.
A. The Developer shall hold the City and its officers and employees harmless from claims

made by itself and third parties for damages sustained or costs incurred resulting from site
plan approval and development. The Developer shall indemnify the City and its officers
and employees for all costs, damages, or expenses which the City may pay or incur in
consequence of such claims, including attomeys'fees.
B. The Developer shall reimburse the City for costs incurred in the enforcement of this Permit,
including engineering and attomeys'fees.
C. The Developer shall pay in full all bills submitted to it by the City for obligations incurred
under this Permit within thirty (30) days after receipt. If the bills are not paid on time, the
City may halt all development work and construction. Bills not paid within thirty (30) days
shall accrue interest at the rate of 8% per year.
8. Developer's Default In the event of default by the Developer as to any of the work to be
performed by it hereunder, the City may, at its option, perform the work and the Developer shall
promptly reimburse the City for any expense incurred by the City, provided the Developer is first
given notice of the work in default, not less than four (4) days in advance. This Contract is a
license for the City to act, and it shall not be necessary for the City to seek a Court order for
permission to enter the land. When the City does any such work, the City may, in addition to its
other remedies, assess the cost in whole or in part.
9. Miscellaneous.
A. Construction Trailers. Placement of on-site construction trailers and temporary job site
offices shall be approved by the City Engineer. Trailers shall be removed from the subject
property within thirty (30) days following the issuance of a certificate of occupancy unless
otherwise approved by the City Engineer.
B. Postal Service. The Developer shall provide for the maintenance of postal service in
accordance with the local Postmaster's request.
C. Third Parties. Third parties shall have no recourse against the City under this Permit.
D. Breach of Contract. Breach of the terms of this Permit by the Developer shall be grounds
for denial of building permits.
E. Severabili If any portion, section, subsection, sentence, clause, paragraph, or phrase of
this Permit is for any reason held invalid, such decision shall not affect the validity of the
remaining portion of this Contract.
F. Occppan Unless approved in writing by the City Engineer, no one may occupy a
building for which a building permit is issued on either a temporary or permanent basis until
the streets needed for access have been paved with a bituminous surface and the utilities
tested and approved by the city.
G. Waivers/Amendments. The action or inaction of the City shall not constitute a waiver or
amendment to the provisions of this Contract. To be binding, amendments or waivers shall
be in writing, signed by the parties and approved by written resolution of the City Council.
The City's failure to promptly take legal action to enforce this Contract shall not be a waiver
or release.
H. Recordin . This Permit shall run with the land and may be recorded against the fitle to the
property -
1. Remedies. Each right, power or remedy herein conferred upon the City is cumulative and in
addition to every other right, power or remedy, express or implied, now or hereafter arising,
available to City, at law or in equity, or under any other agreement, and each and every
right, power and remedy herein set forth or otherwise so existing may be exercised from
time to time as often and in such order as may be deemed expedient by the City and shall

not be a waiver of the right to exercise at any time thereafter any other right, power or
remedy -
J. Construction Hours. The normal construction hours under this contract shall be from 7:00
a.m. to 9:00 p.m. on weekdays, from 9:00 a.m. to 5:00 p.m. on Saturdays, with no such
activity allowed on Sundays or any recognized legal holidays. Operation of all internal
combustion engines used for construction or dewatering purposes beyond the normal
working hours will require City Council approval.
K. Soil Treatment Systems. If soil treatment systems are required, the Developer shall clearly
identify in the field and protect from alteration, unless suitable alternative sites are first
provided, the two soil treatment sites identified during the site plan process for each lot.
This shall be done prior to the issuance of a Grading Permit. Any violation/disturbance of
these sites shall render them as unacceptable and replacement sites will need to be located
for each violated site in order to obtain a building permit.
L. CgMliance with Laws, Ordinances, and Regulations. In the development of the site plan
the Developer shaU comply with all laws, ordinances, and regulations of the following
authorities:
I . City of Chanhassen;
2. State of Minnesota, its agencies, departments and commissions;
3. United States Army Corps of Engineers;
4. Watershed District;
5. Metropolitan Government, its agencies, departments and commissions.
M. Proof of Title. Upon request, the Developer shall famish the City with evidence satisfactory
to the City that it has the authority of the fee owners and contract for deed purchasers too
enter into this Development Contract.
N. Soil Conditions. The Developer acknowledges that the City makes no representations or
warranties as to the condition of the soils on the property or its fitness for construction of
the improvements or any other purpose for which the Developer may make use of such
property. The Developer further agrees that it will indemnify, defend, and hold harmless
the City, its governing body members, officers, and employees from any claims or actions
arising out of the presence, if any, of hazardous wastes or pollutants on the property, unless
hazardous wastes or pollutants were caused to be there by the City.
0. Soil Correction. The Developer shall be responsible for soil correction work on the
property. The City makes no representation to the Developer concerning the nature of
suitability of soils nor the cost of correcting any unsuitable soil conditions which may exist.

PROPOSAUSUMMARY
'Me applicant, Power Systems, is requesting site plan
approval for an approximately 12,300 square -foot
expansion to their building. The building material and
architecture will be the same as what was approved in
1995.
To the north of the site is the Twin Cities and Western
Railroad track. Across the tracks on property zoned
Industrial Office Park, IOP, is the Autobahn MotorPlex
development. The properties to the east, south and west are
properties within the Chanhassen Business Center. East of
the site is Chuck's Grinding. South of the site is
Commerce Drive and the Paulstarr Building. West of the
site is an office building used for research purposes.
The site was previously altered with the development of the
subdivision and construction of the building. One tree,
west of the building, will be removed with the expansion.
Grading shall be limited to the expanded building pad and
for the additional parking areas.
The proposed expansion continues the architecture and materials from the original approval. Staff
is recommending approval of the site plan subject to the conditions of the staff report.
APPLICABLE REGUATIONS

Chanhassen Business Center Development Standards
BACKGROUND
On April 24, 1995, the Chanhassen City Council approved SPR #95-5 for a 27,750 square -foot
office warehouse building for Power Systems and final plat approval for Chanhassen Business
Center Second Addition creating seven lots and one outlot and the right-of-way for Commerce
Drive.
On January 13, 1992, the City Council approved the preliminary plat for the Chanhassen
Business Center. The PUD was amended on February 8, 1993 to allow for a church as a
permitted use and the final plat for phase I of the project was approved.
The Chanhassen Business Center is an industrial/office park on 93.7 acres. The original plat
consisted of 12 lots and 2 outlots. The ultimate development for this development was to have a
total of 700,000 square feet of building area with a mix of 20% office, 25% industrial, and 55%
warehouse.

ACCESS
The applicant proposes to construct a second entrance to the site, approximately 25 feet from the
cast curb line of the north -south segment of Commerce Drive. Given the low traffic volumes on
Commerce Drive and since the road is not a through street, Staff recommends approval of the
proposed access location on the condition that tractor -trailer units must only use the eastern
drive.
GRADING, DRAINAGE AND EROSION CONTROL
Minimal grading is required for the proposed expansion. Based on the plan submitted, the area
being disturbed is less than one acre; the applicant must verify this information. If the area being
disturbed exceeds one acre, the applicant must obtain the necessary permits from the MPCA and
the Watershed District.
Runoff from the building expansion and the new parking area on the south side will discharge to
a private storm sewer system. The private storm sewer will connect to the public storm sewer at
the proposed driveway access. The public storm sewer was designed to accommodate runoff
from the entire site under fially developed conditions. The applicant must ensure that the
Engineering Department is contacted a minimum of 48 hours prior to connecting to the public
storm sewer.
The applicant must submit a $ 1,000.00 escrow for the replacement grate over the public storm
sewer at the new driveway. The grading plan must be signed by a Professional Engineer
licensed in the State of Minnesota.
UTILITIES
Sanitary sewer and water service for the building expansion will be provided from the existing
building. The water service at the southwest end of the building (proposed addition location)
must be relocated/revised in such a manner that fire suppression water supply is not located
under the proposed addition (Ref. NFPA 24).
GENERAL SITE PLAN/ARCHITECTURE
The applicant is proposing a 12,300 square -foot expansion to an existing 27,750 square- foot
building.
ARCHITECTURAL COMPLIANCE
This property is zoned PUD light industrial/office park. The use of the PUD zone is to allow for
more flexible design standards while creating a higher quality and more sensitive proposal. The
development must comply with the Development Design Standards for Chanhassen Business
Center.

Size Portion Placement
The entry to the building was built as part of the first phase. It consists of a recessed, arched
entryway. The south elevation of die building consists of offices, each with its own window.
Material and Detail
The building is constructed of uniformed ribbed concrete panels painted white. The ribs are
relieved by a two -foot wide smooth band painted blue, which is approximately three feet below
the roof, and a one -foot wide smooth band below the roof flashing.
Color
Building colors consist of white with a blue band.
Height and Roof Design
The proposed addition continues the existing building height (21 feet, four inches) to top of
parapet. Any additional rooftop mechanical equipment must be screened. No wooden fences are
permitted on the roof for screening.
Facade Transparency
For buildings that were built prior to September 24, 2001, the City will encourage the use of
transparent windows or doors as part of any building expansion. However, provided the
expansion, at a minimum, maintains the existing patterns and details of the existing building
architecture, the proposed expansion would not be required to meet the 50 percent transparency
requirement. The most westerly office does not have a window facing south. A window needs
to be added to maintain the existing window patterning.
Site Furnishing
The developer is proposing a patio area on the west side of the building for use by employees.
Community features may include benches and/or tables. Revise the patio to stay within the
setback.
Loading Areas, Refuse Area, etc.
Service yards, refuse and waste removal, other unsightly areas and truck parking/loading areas
were constructed to the east of the existing building.
Landscaping
Minimum requirements for landscaping include 460 square feet of landscaped area around the
parking lot, two trees for the parking lot and bufferyard plantings along the west property line.

The applicant's proposed as compared to the requirements for landscape area and parking lot
trees is shown in the following table.
The proposed landscaping does not meet minimum ordinance requirements for the parking lot or
bufferyard requirements. Staff recommends that the applicant increase plant quantities in order
to meet minimum requirements. The applicant should submit a revised landscape plan to the city
for approval.

Staff recommends that the Planning Commission adopt the following motion and adoption of the
attached findings of fact and recommendation:
"The Chanhassen Planning Commission recommends that City Council approve Planning Case
07-21, Power Systems, for a 12,300 square -foot expansion to a 27,800 square -foot, on -story office
warehouse building, plans prepared by Mohagen Hansen Architectural Group, dated 02/16/07,
subject to the following conditions:
1. The applicant shall enter into a site plan agreement with the City and provide the necessary
security to guarantee erosion control, site restoration and landscaping.
2. A window shall be added to the south elevation of the most westerly office in the building
expansion.
3. Tractor -trailer units are prohibited from using the proposed new (westerly) access.
4. If the area being disturbed exceeds one acre, the applicant must obtain the necessary permits
from the MPCA and the Watershed District.
The applicant must ensure that the Engineering Department is contacted a minimum of 48
hours prior to connecting to the public storm sewer.
6. The applicant must submit a $1,000.00 escrow for the replacement grate over the public

On September 18, 2007, the Chanhassen Planning Commission met at its regularly
scheduled meeting to consider the application of Power Systems for a site plan review for the
property located at 8325 Commerce Drive. The Planning Commission conducted a public
hearing on the proposed site plan which was preceded by published and mailed notice. The
Planning Commission heard testimony from all interested persons wishing to speak and now
makes the following:
FINDINGS OF FACT

I have reviewed the plans for the above building addition received by the Planning
Department on August 17, 2007. Following are my comments, which should be
included as conditions of approval.
I . The building addition is required to have an automatic fire extinguishing
system.
2. All plans must be prepared and signed by design professionals licensed in
the State of Minnesota.
3. The water service at the southwest end of the building (proposed addition
location) must be re-located/revised in such a manner that fire suppression
water supply is not located under the proposed addition (Ref. NFPA 24).
4. Detailed occupancy and building area related code requirements cannot be
reviewed until further information is provided.
5. The owner and/or their representative shall meet with the Inspections
