87-02 HOUSING AND REDEVELOPMENT AUTHORITY CITY OF CHANHASSEN CARVER AND HENNEPIN COUNTIES, MINNESOTA DATE: January 15r 1987 MOTION BY: Swenson RESOLUTION NO: 87-02 SECONDED BY: Robbins RESOLUTION AUTHORIZING THE SALE OF LAND AND THE EXECUTION OF AN OPTION AGREEMENT WHEREAS, the Authority has presented, for its consideration, an option agreement (Agreement) which is attached hereto as Exhibit A; and ~ WHEREAS, the Agreement provides for the sale of certain lands owned or to be acquired by the Authority; and WHEREAS, the lands described by the Agreement lie within the geographic boundaries of the Chanhassen Downtown Redevelopment District (Project Area); and WHEREAS, the purchaser of the land described in the Agreement has proposed to redevelop such lands in a manner which is con- sistent and in accordance with the redevelopment plan (Plan) for the Project Area; and WHEREAS, the Authority has considrred the fair market value of the lands proposed to be-sold pursuant to the Agreement for redevelopment in accordance'with the Plan; and .- . WHEREAS, pursuant to published notice~ the Authority did on February 19, 1987, conduct a public hearing on the Proposed sale of the lands described in the Agreement, the legal description of such lands being attached hereto as Exhibit B; and WHEREAS, the Authority believes that such sale, and the exe- cution of the Agreement are in furtherance of the objectives for which redevelopment is being undertaken and promoted within the Project Area, and in the vital best interests of the City of Chanhassen. NOW, THEREFORE, BE IT RESOLVED by Housing and Redevelopment Authority in and for the City of Chanhassen as follows: 1. The sale of the land described in the Agreement and in Exhibit B is hereby authorized. 2. The Chairman and Executive Director are hereby authorized and directed to execute, on behalf of the Authority, the Agreement attached as Exhibit A. 3. The authorizations contained in paragraphs 1 and 2 are, however, subject to the following conditions precedent: a) agreement be reached concerning the payment and amount of special assessments which may be levied against Parcel A (as described in the Agreement) in connection with the public improvements to be constructed under the Plan; and b) agreement be reached placing northerly, southerly and easterly limits on the area of land within which Parcel E may be located; and c) approval of the Agreement by the Chairman and the Executive Director as to form and content. The Executive Director is hereby authorized to pursue and obtain the satisfaction of the three conditions precedent. Once the Executive Director has satisfied that all such conditions have been satisfied, he shall so notify the Authority in writing. The notification shall be attached to this resolution as Exhibit C. Upon such notification, the Executive Director and Chairman may proceed, without further notice to the Authority, to execute and deliver the Agreement on behalf of the Authority.
