SENIOR COMMISSION MINUTES' REGULAR MEETING August 19, 2005 Chairman Robinson called the meeting to order at 10:00 a.m. MEMBERS PRESENT: Mel Kurvers, Bobbie Headla, and Jean Mancini, Curt Robinson, Pat McGough, and Marilyn Luthy. MEMBERS ABSENT: Dale Geving. STAFF PRESENT: Sharmeen AI-Jaff and Susan Bill. VISITORS: None. Approval of agenda: Mancini moved, Kurvers seconded the motion to approve the minutes. All voted in favor and the motion carried. Approval of Minutes dated April 15, 2005: Mancini moved, Luthy seconded the motion - to approve the minutes. All voted in favor and the motion carried. Update on Volunteer Opportunities: Computer lessons at the senior center have begun. Bakery goods are being delivered to food shelf and group homes. Updated on Senior Parking sign: Target does not want senior signs. Senior Commission Update: The Senior Commission directed staff to do an open house on behalf of the senior commission. They will host a free continental breakfast. The event should be advertised in the paper one week prior to the actual event. Adjournment: Commissioner Mancini moved to adjourn the meeting. Metropolitan Area Agency on Aging Roles and Responsibilities of the Board of Directors The Board of Directors is responsible for the governance of the Metropolitan Area Agency on Aging, Inc. (MAAA), a non-profit corporation. The Board of Directors is responsible for the development and implementation of agency policies. As a federally funded and state designated Area Agency on Aging, the MAAA is accountable for the stewardship and distribution of public funds, the provision of information about services and benefits, and the performance of advocacy on behalf of older persons in accordance with the Older Americans Act. The Board of Directors is an active board that understands and carries out its role as the governing, policy-making body of the organization. Members will hold the Executive Director accountable to the Board, and the Board will be active in promoting the organization's interests in the community. . Presently there are nineteen members serving on the Board of Directors, which meets up to ten times per year. An agenda and relevant meeting materials are mailed to Board members one week prior to each meeting date. The Board organizes its work through its committees. The Board chair appoints members to committees and appoints each committee chair. Committees may include non-board members, with the exception of the Executive Committee. The Executive Committee is composed of officers and chairs of the committees, and may include the immediate past chair who may serve for one year. Each committee is responsible to and reports directly to the Board of Directors, which receives reports and recommendations from the committees and gives assignments and responsibilities to the committees. Board responsibilities are as follows: )- Establish the organization's mission. Allow the Executive Director and staff to address the mission. )- Hire the Executive Director. Provide input to the Executive Director and ensure that the Executive Committee evaluates his or her performance. . )- Establish the broader policy and strategy goals for the organization and focus on progress toward achieving those goals. )- Seek to understand the core internal and external issues facing the organization. 4/15/03 << . Representing the seven-county Twin Cities Area, our policy-making governance board works with staff and public and private organizations to help elders age succesfully. The agency does this by building community capacity, advocating for aging issues, maximizing service effectiveness and linking people with information. In this time of budget stress, our board performs critical tasks such as distributing funds for community services, providing technical assistance to improve service delivery, providing information and assistance services, and building public awareness of aging issues, trends, and needs. We are committed to a diverse workplace and governance. Board members are elected for three-year terms that begin in January. The 19-member board meets once a month, usually late morning on Thursday. The agency provides a stipend for members.
