Elementary School Parking Lot Expansion; Authorize Advertisement for Bids
The attached documents represent the culmination of five months of planning for this project. I am
pleased to report that by completing this work through a change order with Minger Construction, the city
and ISD 112 will realize significant cost savings. Minger Construction is currently mobilized working on
the construction of Coulter Boulevard. A change order is currently being negotiated with Minger
Construction to perform the parking lot expansion work under the current Project 93 -26B. However, in
the event change order negotiations are unsuccessful, authorization to advertise the project for bids is
being requested to ensure the project is not delayed. Contingency dollars held for this project will fund
the parking lot expansions up front. The school district's share of the work will be paid back through an
assessment agreement approved by the district on Thursday, July 24, 1997. District personnel and the
city's planning and engineering departments have reviewed the plans associated with this improvement.
RECOMMENDATION
It is recommended that the city council approve plans and specifications for the Chanhassen Recreation
Center /Bluff Creek parking lot expansions and authorize advertising for bids for the work described in
the plans and specifications if change order negotiations with Minger Construction are unsuccessful.

SPECIAL ASSESSMENT AGREEMENT
AGREEMENT made this day of
1997 between
the CITY OF CHANHASSEN, a Minnesota municipal corporation ( "City ") and
INDEPENDENT SCHOOL DISTRICT NO. 112, a public school corporation
( "Owner ")
RECITALS
A. The Owner is the fee owner of the real property described on Exhibit
"A" ( "Subject Property ")
B. Assessments for bituminous surfacing for a parking facility to benefit the
public to be constructed upon the Subject Property ( "Project ") shall be as follows:
$50,000.00.
C. The City will save substantial administrative expenses for required
hearings if the Owner enters into this Agreement.

D. The parties desire to document this Agreement with respect to special
assessment to be levied against the Subject Property for the project.
NOW, THEREFORE, in consideration of the mutual covenants set forth
below the parties agree as follows:
1. The special assessment for the Project against the Subject Property in the
principal amount of $50,000.00 is agreed upon and confirmed. Payment of the special
assessment shall commence in the year following certification to the County Auditor
of the assessment described herein. At such time, the assessment shall be spread over
five (5) years in equal annual installments, together with 8% interest per year on the
unpaid balance. Interest shall accrue from the date of Project completion.
2. There shall be no other special assessment against the Subject Property
for the Project.
3. The Owner, for itself, its successors and assigns, waives any and all
procedural and substantive objections to the special assessment, including but not
limited to hearing requirements and any claim that the assessment exceeds the benefit
to the Subject Property. The Owner waives objection to the special assessment and
waives any appeal rights otherwise available pursuant to Minn. Stat. § 429.081 or

Minn. Stat. Chapter 459. The assessment shall be deemed to have been adopted on
the day following the signing of this Agreement by both parties.

THIS LEASE, made and entered into this day of ,
1997, by and between the CITY OF CHANHASSEN, a Minnesota municipal
corporation, hereinafter referred to as the "Lessee ", and INDEPENDENT SCHOOL
DISTRICT NO. 112, a public school corporation, hereinafter referred to as "Lessor".
IN CONSIDERATION OF THE MUTUAL COVENANTS, THE PARTIES
AGREE AS FOLLOWS:
1. PREMISES
Subject to the following terms and conditions, the Lessor does hereby Lease to
Lessee that certain real property owned by the Lessor ( "Premises "), located in the
City of Chanhassen, Carver County, Minnesota described on attached Exhibit "A ".
2. PURPOSE /LIMITATION OF USE
The use of the Premises by Lessee its, invitees, guests and licensees shall be
limited to a parking lot to be shared by Lessor and Lessee. Lessee acknowledges that
the Premises shall not be used for any other activities except as a parking lot.
3. TERM
TO HAVE AND TO HOLD said Premises, with appurtenances thereto, just as
they are, for a period of five years commencing , 1997 and
terminating on , 2002 or sooner as provided in this Lease.
4. ACCEPTANCE OF PREMISES
Lessee acknowledges that it has inspected the Premises and accepts the
Premises in its present condition.
5. RENT
The consideration to be paid by Lessee for this Lease shall be as follows: One
Dollar ($1.00).

6. TAXES AND SPECIAL ASSESSMENTS
Lessor shall pay, before any delinquency occurs, real estate taxes and special
assessments, if any, which become due and payable during the term hereof, if any.
7. UTILITY SERVICE
Lessor shall not be required to provide any utility service to the Premises.
S. CONSTRUCTION AND MAINTENANCE OF PREMISES
Lessor shall be responsible for the cost of construction, maintenance and repair
of the Premises.
9. INSURANCE
The Lessee and Lessor shall each obtain and carry casualty and liability
insurance in such minimum amounts as they mutually deem necessary to cover injuries
to invitees, licensees and guests and /or damages to the Premises.
10. INDEMNIFICATION
Lessor and Lessee shall indemnify each other and save each other harmless
against all liabilities, damages and claims, including all reasonable attorneys' fees,
which may be imposed upon, incurred by or asserted against the non - indemnifying
party by reason of any of the following resulting from use of the Premises, except that
each party shall not indemnify the other for claims due to negligence or intentional
misconduct of the other party, its officers, agents, employees, contractors, licensees or
invitees: (a) any personal injury or property damage occurring on the Premises
resulting from the uses described in Section 2 herein; (b) any negligence on the part of
indemnifying party, its agents, contractors, licensees or invitees; (c) any failure of the
indemnifying party to comply with any requirement of any governmental authority;
and (d) any proceedings in obtaining possession of the Premises after the termination
of this Lease by forfeiture or otherwise.
11. SUBLEASE OR ASSIGNMENT
Lessor and Lessee shall not sublease or lease the whole or any part of the
Premises without the prior written consent of the other party.

12. DEFAULT
All rights and remedies of the Lessor herein enumerated shall be cumulative
and none shall exclude any other right or remedy allowed by law. It is agreed that the
following shall be an event of default of this Lease:
a. That Lessee shall fail, neglect or refuse to keep and perform any of the
other covenants, conditions, stipulations or agreements herein contained
and covenanted and agreed to be kept and performed by it, and in the
event such default shall continue for a period of more than thirty (30)
days after receipt of written notice by Lessee from Lessor. Provided,
however, that if the cause for giving such notice involves the making of
repairs or other matters reasonably requiring a longer period of time than
the period of such notice, Lessee shall be deemed to have complied with
such notice so long as it has commenced to comply with said notice
within the period set forth in the notice and is diligently prosecuting
compliance with said notice, or has taken proper steps or proceedings
under the circumstances to prevent the seizure, destruction, alteration or
other interference with said Premises by reason of non- compliance with
the requirements of any law or ordinance or with the rules, regulations
or directions of any governmental authority as the case may be;
Upon each occurrence of a default and so long as such default shall be
continuing, the Lessor may, at any time after written notice of the default and the
Lessee's failure to cure within ten days' of the date of the notice, at its election:
terminate this Lease or Lessee's right of possession, and /or pursue any other
remedies at law or in equity. Upon the termination of this Lease or termination of
Lessee's right of possession, it shall be lawful for the Lessor, without formal demand
or notice of any kind, to re -enter the Premises by summary dispossession proceedings
or any other action or proceeding authorized by law and to remove Lessee and all
persons and property therefrom.
13. QUIET POSSESSION
If Lessee shall pay promptly, abide by and be bound by the conditions and
agreements of this Lease and perform the covenants hereof, the Lessor warrants to
Lessee the quiet, peaceful and undisturbed possession of the Premises during the full
term of this Lease.

14. TITLE
The Lessor covenants that it has full right and lawful authority to enter into this
Lease for the full term aforesaid and that it is lawfully seized of the Premises.
15. WAIVER OF CLAIMS
All property belonging to Lessee or any occupant of the Premises shall be there
at the risk of Lessee or such other person only, and the Lessor shall not be liable for
any damage thereto and Lessee waives all claims against the Lessor for damages to
persons or property sustained by Lessee or any occupant of the Premises.
16. SURRENDER UPON TERMINATION
Upon termination of this Lease, whether through expiration or otherwise,
Lessee shall quietly surrender and deliver up the Premises in the then current
condition, or as they may have been improved, subject to the exceptions herein set
forth and ordinary use and wear by the elements excepted.
17. RIGHT TO INSPECT
Lessor and its agents shall have free access to the Premises during all reason-
able hours for the purpose of examining the same and to ascertain if they are in good
repair, to make reasonable repairs which the Lessor may be required to make
hereunder and to exhibit the Premises to prospective purchasers or tenants.
18. RELATIONSHIP OF PARTIES /NO ADDITIONAL RIGHTS
CREATED
Nothing contained in this Lease shall be deemed or construed by the parties
hereto or by any third party to create the relationship of principal and agent or of
partnership or of joint venture or of any association whatsoever between the Lessor
and Lessee, it being expressly understood and agreed that any act of the parties hereto
shall be deemed to create any relationship between the Lessor and Lessee other than
the relationship of landlord and tenant. Lessee has no rights in the Premises except
that of a tenant.
19. HOLDING OVER /EXTENSION
In the event Lessee remains in possession of the Premises without the consent
of the Lessor after the expiration or earlier termination of this Lease, Lessee shall be
deemed to hold the Premises as a tenant at will. Provided Lessee is not in default

under this Lease, Lessee shall have the option to extend this Lease for successive one
year terms. In case of a hold over or an extension, Lessee remains subject to all
terms, conditions, covenants and provisions of this Lease (which shall also be
applicable during the holdover period). Lessee shall vacate and surrender the
Premises to the Lessor within thirty days of Lessee's receipt of notice from the Lessor
to vacate. No holding over by Lessee, whether with or without the consent of the
Lessor, shall operate to extend this Lease except as otherwise expressly provided
herein.
20. NOTICE
All notices and requests which may be given or which are required to be given
hereunder shall be hand delivered or sent by United States Mail, postage prepaid,
certified with return receipt requested as follows:

the parking lot needs and possible solutions. The meeting was much needed and
provided several new possible ideas.
In summary, the District Administration continues to believe that the east and west
parking lot expansion specifications are to be accomplished as soon as possible by HGA
with the city and school sharing 50% of this cost. The 24% and 76% joint power split is
not aligned to this project as both the city and school need parking lot expansion
equally.
Once the HGA specifications are completed, then the City Engineer will either obtain a
cost for each lot's change - order (from a contractor under contract for area roads) or
publish for sealed bids with a bid alternative for the school west parking lot expansion.
The district does not have any FY97 or FY98 capital or construction budget available
for this project. All available assets have already been recommended for other high
priority district needs. The projects to be currently funded have been identified through
various committee processes. Therefore, once the district lot cost is known, you and I
need to meet to review a process by which a FY99 installment purchase from the city
might be accomplished. As we create a plan, said will require school board action and
approval. Hopefully we can coordinate this effort to a successful conclusion.

1. It was agreed that the accommodations made to date, including on- street parking on Coulter

recognized.

design work for the expansion of both on -site parking lots. This work has been authorized by
the district.
3. Dave Peterson and Todd Gerhardt will seek approval for an agreement in which the city will
construct the lots with the district leasing back the west lot.
4. A final agreement must be approved by the District 112 School Board and the Chanhassen
City Council.

times, I understand the apprehensions school board members and city council members may have
in funding a parking lot expansion. It is not the most glamorous capital investment endeavor
ever proposed. However, not to complete the expansion is analogous to running 25 miles in a
marathon and then going home. We have invested $10,000,000 to date, let us invest another
$1 00,000 (1 % of the total project) to create sufficient parking.

As you are aware, parking at the Bluff Creek Elementary School/Chanhassen Recreation Center
is severely limited. For the past 18 months, officials from both the district and the city have been
working to improve parking accoinmodations at the site. Prompted by a recent rash of parking
violations, officials met again on Wednesday, February 19. That meeting resulted in the
following outcome:
Over 50% of the desired, but nonessential fire lanes were eliminated, gaining approximately
36 permanent and 20 part -time spaces. In addition, it was agreed that another meeting would
be scheduled for March 12 to discuss parking lot expansions.
Previous initiatives have also helped manage the parking:
The north side of Coulter Boulevard was opened for parking from 5 p.m. to midnight,
Monday through Friday and all day on weekends. This provides approximately 30 spaces
during those times.
"Visitor, 15 minute, and 1 hour" spaces have been identified to accommodate quick trips.
These "creative" solutions have lessened the parking crunch, but more work needs to be done.

At present, approximately 100 spaces are available in the community parking lot with just over
85 available in the school parking lot. The school district lot can be expanded by approximately
30 spaces and the city lot by as many as 70 spaces for an additional 100 spaces. The estimated
investment to accomplish this initiative is $100,000. The Chanhassen City Council and Park &
Recreation Commission have set aside $50,000 to be used for this purpose.
It is our hope that the district will also make a commitment to this proposed project. From my
conversations with district personnel, I am cognizant of the tight times at the school district level.
Through this meeting, we hope to further understand your committed obligations and discuss
whether or not this issue can become one of them.
