PROPOSED MOTION
"The City Council accepts bids and awards a contract for the Highover Boulder
Wall Repair to R. J.Valek Construction in the amount of $113,590 and approves
agreements with the Highover Homeowners Association (HOA) and property
owner. Award of the contract is contingent on the City receiving the funding
from the Highover Homeowners Association."

development process, the City secured an outlot at the corner of Lake Lucy Road
and Highover Drive for a future trail corridor. The trail however was never

portion of the boulder wall is on private property. The adjacent homeowner and
the HOA maintain the City -owned property.

wet spring was capped off on June 19n with a 5" rain event in less than 6 hours.

City crews removed the boulders from the street. A portion of the wall continued

Since most of the wall is on City property a wall engineer was contacted to
redesign the portion of the wall that failed. The new wall will include drain tile,

geogrid and sand and good drainage rock to improve the strength of the wall. The wall will be
constructed outside the right -of -way along Highover Drive. A portion of the failed wall will still
need to be constructed on the City's outlot. See attached layout.
Staff also reviewed an option to remove most of the wall and slope the area back. Removing the
wall and regrading the area would create significant impacts to the adjacent property and require
many mature trees to be removed. Staff received a quote in the amount of $91,150.00 for this
work. The adjacent property owner objected to this option since the slope would come up
against the foundation of the house, and make the backyard unusable. Staff has moved forward
with the wall replacement option.
Most of the wall reconstruction is eligible for FEMA funding. The portion of the wall that is on
private property is not eligible for FEMA funding. The draintile and geogrid included in the
design are only 15% eligible for mitigation reimbursement by FEMA.
It is proposed the HOA and the homeowner pay for the wall on private property. The HOA has
agreed to pay $8,000 and the adjacent property owner has agreed to pay $7,786.47 for the
improvement. The property owner wishes to have their portion assessed. Terms of the assessment
are 8 years at 3.25% interest. The City is proposing to pay for additional draintile and geogrid to
strengthen the wall not on private property. The City portion for this work is $8,167.52. FEMA
is expected to pay for the remaining cost of construction and indirect costs. FEMA will
reimburse the City for these costs after the project is completed and the necessary paperwork is
submitted.

The low bid for the project was R.J. Valek Construction out of Spring Park, MN. The contractor
has not worked for the City on any projects. The City did check references and the company's

references were good. R.J. Valek recently reconstructed a boulder wall for the City of
Minnetrista. There work was acceptable.
Funding for the City's share of the project is proposed to be paid for out of the Revolving
Assessment fund.

Recitals
A. A rock retaining wall along Highover Drive in Chanhassen as depicted on the
attached Exhibit "A" (Retaining Wall ") has fallen due to heavy rains in June.
B. The parties agree that the Retaining Wall should be realigned and reconstructed.
C. The City intends to solicit bids to reconstruct the Retaining Wall.
NOW, THEREFORE, the parties agree as follows:
The City has had prepared plans and specifications for the reconstruction of the
Retaining Wall (collectively the "documents "). The HOA approves the documents.
2. The I-10A will pay Eight Thousand Dollars ($8,000.00) as its share of the cost of
preparing the documents and the reconstruction of the Retaining Wall. The City will advertise
for bids for reconstruction of the Retaining Wall. If the bids are satisfactory to the City and the
HOA, the HOA will deposit with the City its estimated share of the cost of preparing the
documents and constructing the Retaining Wall and the City will award the contract for
construction of the Retaining Wall.
The City makes no warranties, expressed or implied, to the BOA concerning the
Documents or the reconstructed Retaining Wall.
4. If the City awards a bid for the reconstruction of the Retaining Wall, the HOA
agrees that if any section of the Retaining Wall needs repair or replacement in the future the City

will not repair or replace the Retaining Wall but may remove the Retaining Wall and regrade the
area. The HOA grants permission to the City to enter the property and do the work.

THIS AGREEMENT, dated NO9wty4 -11 9 , 2014, by and between Kenneth R. Peitz
and Lisa Marie Peitz, husband and wife ( "Owners ") and the City of Chanhassen, a Minnesota
municipal corporation ("City").
Recitals
A. Owners hold fee title to the property legally described in Exhibit A ( "Property").
B. A rock retaining wall along Highover Drive in the City of Chanhassen and partially
located on the Property as depicted on the attached Exhibit B ( "Retaining Wall ") has fallen due to
heavy rains in June.
C. The parties agree that the Retaining Wall should be realigned and reconstructed.
D. The City has agreed to construct the portion of the Retaining Wall lying within the
Property and Owners have agreed to provide a temporary construction easement for the work and
that a portion of the cost of the project may be assessed against the Property.
E. Owners contend maintenance, repair, and replacement of the Retaining Wall located
on the Property is entirely the obligation of the Highover Homeowners Association, Inc. (the
"HOA ") pursuant to the Declarations of Covenants, Conditions and Restrictions for Highover which
Document was recorded on January 9, 1998 as Document 220810 in the office of the Carver County
Recorder ( "the CCRs'). Owners are executing this Agreement to expedite the City's
commencement of the construction project but reserve all rights against the HOA.
NOW THEREFORE, in consideration of their mutual covenants, the parties agree as
follows:

A. Retaining Wall Construction. City will construct the Retaining Wall
consistent with the City approved plans and specifications ( "Plans ").
B. No Warranties. The City makes no warranties, expressed or implied, to
the Owners concerning the Plans or the reconstructed Retaining Wall.
C. Restoration of Temporary Easement Premises. As a condition of the
temporary construction easement granted under Paragraph 2.A. of this Agreement, the City shall,
upon completion of construction of the Retaining Wall and prior to termination of the temporary
construction easement, restore the ground surface of the temporary construction easement
premises to its original condition so far as is reasonably practicable with the exception of any
grade changes, bank sloping, ditching, fills, slope construction, cuts and any removal of earth,
other materials, trees and other vegetation.
2. OWNERS' RESPONSIBILITIES.
A. Temporary Construction Easement. Owners hereby consent and grant
unto the City, its agents, successors and assigns, a temporary construction easement over, across, on,
under and through the land situated in the County of Carver, State of Minnesota, as legally
described on the attached Exhibit "C" for construction of the Retaining Wall consistent with the
Plans. This easement shall commence upon execution of this Agreement and expire the earlier of (i)
completion of the construction of the Retaining Wall improvements as determined by the City or (ii)
August 1, 2015. This easement shall include the right of ingress to and egress from the temporary
easement premises for the purpose of constructing and inspecting the Retaining Wall, at the will of
the City, its agents, successors and assigns. The Owners grant the uses under this paragraph without
divesting themselves of the right to use and enjoy the above described temporary easement
premises, subject only to the right of the City to use the same for the purposes provided herein.

Owners, for themselves, their heirs, successors and assigns, covenant with the City,
its successors and assigns, that they are well seized in fee title of the above described temporary
easement premises; that they have the sole right to grant and convey the easement to the City; that
there are no unrecorded interests in the temporary easement premises; and that they will hold
Grantees harmless from any breach of the foregoing covenants.
B. Maintenance. Following construction of the Retaining Wall, the City
shall have no obligation to maintain, repair, or replace the Retaining Wall
C. Release. Owners hereby release and agree to hold harmless the City, its
employees, officers, agents, successors and assigns from and against any and all liability, claims,
losses, judgments, damages or costs associated with the Plans and the City's construction of the
Retaining Wall on the Property.
3. SPECUL ASSESSMENT. The City will assess the Property Seven Thousand
Seven Hundred Eighty-six and 47/100 Dollars ($7,786.47) for the Retaining Wall project. The
assessment shall be spread over eight (8) years, together with three percent (3 %) interest per year on
the unpaid balance. Interest shall accrue from the date of the adoption of the special assessment roll.
The first installment shall be due and payable with taxes in 2016. The Owners waives any and all
procedural and substantive objections to the public improvement and special assessment, including
but not limited to hearing requirements and any claim that the assessment exceeds the benefit to the
Property. The Owners waive any appeal rights otherwise available pursuant to Minn. Stat. §
429.081. If the special assessment is not timely paid or is set aside for any reason, then, instead of
paying the special assessment, the Property Owners shall pay the City on demand an amount
equivalent to the unpaid special assessment, together with any legal fees the City may incur.

A RESOLUTION ACCEPTING BIDS AND AWARDING CONTRACT
AND APPROVE AGREEMENTS FOR THE
HIGHOVER BOULDER WALL REPAIR PROJECT

WHEREAS, pursuant to an advertisement for bids for the Highover Boulder Wall Repair Project,
bids were received, opened and tabulated according to law, and the following bids were received complying
with the advertisement:
AND WHEREAS, it appears that R.J. Valek Construction is the lowest responsible bidder.
NOW THEREFORE, BE IT RESOLVED by the Chanhassen City Council:
1. The mayor and clerk are hereby authorized and directed to enter into a contract with R.J. Valek
Construction in the name of the City of Chanhassen for the Highover Boulder Wall Repair Project,
PW 1161), according to the plans and specifications on file in the office of the City Engineer and
enter into Agreements with the Highover Homeowners Association and property owner.
2. The city clerk is hereby authorized and directed to return forthwith to all bidders the deposits made
with their bids, except that the deposits of the successful bidder and the next lowest bidder shall be
retained until a contract has been signed.
