Notice of Termination
Please let this letter serve as Notice of Termination pursuant to sections 19 and 11 of that certain Vacant
Land Purchase Agreement by and between the City of Chanhassen ("Seller') and RBSC Chanhassen, LLC
("Buyer") dated April 21, 2015, as amended by that certain Amendment to Vacant Land Purchase
Agreement dated August 10, 2015 ("Purchase Agreement').
The Purchase Agreement conditions, in Section 19, and in Contingency 19.A (3), the Buyer's performance
on Buyer obtaining all permits, licenses and approvals for Buyer's intended use of the Property, to Buyer's
satisfaction. Given this, Buyer is exercising its right to terminate the Purchase Agreement and requests
that the Earnest Money be promptly returned in accordance with Section 19A.
Buyer formally withdraws its request for consideration of Site Plan Review by the City Council on Monday,
December 14th.
