Encroachment Agreement between City and Chan Three(reserved for recording information) ENCROACHMENT AGREEMENT AGREEMENT made thisJ� ' day of {VWmbeP , 2020, by and between the CITY OF CHANHASSEN, a Minnesota municipal corporation ("City"), and CHAN THREE DEVELOPMENT, INC., a Minnesota corporation ("Chan Three" or "Owner") 1. BACKGROUND. Crean Three is the fee owner of certain real property being platted as Lots 1, 2, 3, 4, and 5, Block l; Lots 1, 2, 3, 4, 5, 6, 7, 8, 9, 10 and 11, Block 2; Lots 1, 2, 3, 4 and 5, Block 3; Lots 1, 2 and 3, Block 4; Lots 1, 2, 3, 4, 5, 6 and 7, Block 5; Outlot A; and Outlot B, The Bluffs of Lake Lucy, Carver County, Minnesota ("Subject Property"). The City owns easements for drainage and utility purposes over portions of the Subject Property ("Easement Areas"). The Owner desires to install and construct multiple retaining walls on the Subject Property which encroach on the City's Easement Areas as legally described and depicted on the attached Exhibit "A" (consisting of 5 pages). 2. ENCROACHMENT AUTHORIZATION. The City hereby approves the encroachment in its Easement Areas on the Subject Property for the construction and installation of the retaining walls subject to the conditions set forth in this Agreement. Further conditions of encroachment approval are as follow: 1 2120261 • The City shall have no responsibility to maintain or repair the retaining walls located within the City's Easement Areas. • The retaining walls located on the Subject Property must not impact or increase water drainage on the abutting properties or cause any adverse drainage patterns or erosion to the abutting properties. • Any retaining wall constructed on the Subject Property will be 4' or less in total height unless an engineered design for walls over 4' total height is submitted and approved by the City's Engineer prior to construction or installation of the retaining wall. • Chan Three, its successors and assigns, are fully responsible and liable for any and all damage caused to any of the retaining walls or resulting from construction of the retaining walls within the City's Easement Areas. • Chan Three, its successors and assigns, will maintain the retaining walls located on the Subject Property and own and maintain the retaining walls located in Outlot A and Outlot B. Further, Owner agrees that the retaining wall shall be constructed consistent with all applicable federal, state and local laws and regulations. The City recognizes that the Owner may assign its rights and responsibilities related to the retaining walls to a Homeowner Association. Owner, its successors or assigns, shall include the terms of this Agreement in any future Declarations that assign responsibility for the retaining walls to a Homeowner Association. 3. HOLD HARMLESS AND INDEMNITY. In consideration of being allowed to encroach in the City's Easement Areas, Owner, for itself, its successors and assigns, hereby agrees to indemnify and hold the City harmless from any damage caused to the Subject Property, including any retaining wall located in the City's Easement Areas, caused in whole or in part by the encroachment into the City's Easement Areas. 4. TERMINATION OF AGREEMENT. The City may, at its sole discretion, terminate this Agreement at any time by giving the then owner of the Subject Property thirty (30) days advance written notice, except that no notice period will be required in the case of an emergency condition as determined solely by the City and this Agreement may then be terminated immediately. The property owners shall remove that portion of the retaining wall to the extent it impacts the City's Easement Areas to the effective date of the termination of this Agreement. If 2 212026v1 the owner fails to do so, the City may remove the retaining wall to the extent it impacts the City's Easement Areas and charge the cost of removal back to the owners for reimbursement. 5.
